LIMITED ENVIRONMENTAL DUE DILIGENCE Executive Summary Lockwood, Andrews and Newnam Inc. (LAN) requested Xstrategic to submit a proposal to conduct a Limited Environmental Due Diligence Transaction Screen for a number of parcels associated with the McCampbell properties located in San Patricio County. The due diligence was conducted in support of the Corpus Christi Regional Economic Development Corporation (CCREDC) requirements for a development-ready designation under the Qualified Site Program. The limited environmental due diligence was performed within the scope and limitation of the ASTM Standard Practice E1528-14. This transaction screen is designed to provide LAN with an assessment on the environmental conditions of commercial real estate where a Phase I Environmental Site Assessment was deemed to be unnecessary by the user due to the user and other parties not seeking CERCLA LLPs at this time. This practice is intended primarily as a commercially prudent approach to conducting an inquiry designed to identify potential environmental concerns in connection with a property. This process was performed on oil and gas and agricultural property located two miles north of Ingleside, Texas referred to in the report as the subject property. This assessment was performed within general scope and limitations as described in the ASTM Standard Practices E1528-14 for Limited Environmental Due Diligence Process. This due diligence included a windshield screening effort on 10, November, 2017 as well as records reviews. An assessment was made, conclusions outlined and recommendations stated. Property Description The subject property is located approximately 2 miles north of the central business district of Ingleside, Texas. Land uses of the subject property parcels in Figure 1 are primarily oil and gas production and cattle grazing. Onsite operations consist of maintenance of the oil and gas features, easements, rights-of ways, and caliche roads. There are two structures on parcel 67236 of the property outlined in Figure 1. The property is bounded to the north by Texas Highway Bypass 35 (27.927745, - 97.231444); to the southwest by state highway 361(27.892344, -97.234559); to the west by County Road 93 (27.904132, -97233534) and to the east by County Road 1069/ Main St. (27.896528, -97.198220) (Figure 1). The McCampbell-Porter Airport is adjacent to the subject property and is located at 3141 FM 3512, Aransas Pass, TX 78336. The airport is for public use and county owned. The west side of the subject property is bound by additional farm and ranch land. Texas Water Development Board (TWDB) records were not reviewed for this sope. Summary of Findings A recognized environmental condition (REC) IS the presence or likely presence of any hazardous substances or petroleum products in, on, or at a property: (1) due to release to the environment; (2) under conditions indicative of a release to the environment; or (3) under conditions that pose a material threat of a future release to the environment. Limited Environmental Due Diligence Transaction Screen REC is not intended to include de minimis conditions that generally do not present a material risk of harm to public health or the environment and that generally would not be the subject of an enforcement action if brought to the attention of appropriate government authorities. A controlled recognized environmental condition (CREC) Refers to a REC resulting from a past release of hazardous substances or petroleum products that has been addressed to the satisfaction of the applicable regulatory authority (e.g., as evidenced by the issuance of a no further action (NFA) letter or equivalent, or meeting risk-based criteria established by regulatory authority), with hazardous substances or petroleum products allowed to remain in place subject to the implementation of required controls (e.g., property use restrictions, AULs, institutional controls, or engineering controls). The following was identified during the course of this assessment: McCampbell Property San Patricio County Xstrategic did not identify any controlled recognized environmental conditions during the course of this screening. A historical recognized environmental condition (HREC) Refers to a past release of any hazardous substances or petroleum products that has occurred in connection with the property and has been addressed to the satisfaction of the applicable regulatory authority or meeting unrestricted use criteria established by a regulatory authority, without subjecting the property to any required controls (e.g., property use restrictions, AULs, institutional controls, or engineering controls). The following was identified during the course of this assessment: Xstrategic did not identify any historical recognized environmental conditions during the course of this screening. Author directs reader to Appendix A: Records Check Report and Details for more information regarding REC findings. OUT OF SCOPE ITEM(S) One additional out of scope action was performed at the request of the client. An Environmental Lien Search and Report (Appendix B) was performed. The report provides results from a search of available current land title records for environmental cleanup liens and other activity and use limitations, such as engineering controls and institutional controls on the parcels outlined in Figure 1. The following sources were searched: Parcel information and/or legal description Ownership information Official land title documents recorded at jurisdictional agencies such as recorders office, registries of deed, county clerks offices, etc. 4 LAN_McCampbellProperties_Xstrategic_November,2017

Access a copy of the deed Environmental encumbering instrument(s) associated with the deed Supplied to the client in Appendix B are copies of any environmental encumbrance(s) found during the records review and a copy of the deed or cite documents reviewed. There were no Environmental Liens found There were no Activity and Use Limitations (AULs) found. Conclusions Xstrategic conducted a windshield survey over approximately one-fourth of the subject property on the North and East parcels (Figure 1) where most of the oil and gas features exist (refer to the REC report in Appendix A and photos in Appendix E). There were four areas of interests (AOIs) screened and photographed (Figure 2). No potential environmental concerns were found during the windshield survey. According to the satellite imagery, there are two structures located on the south parcel 67236 (AOI5 on Figure 2). On the east parcel A-176 there is what looks to be a fill material (AOI7 on Figure 2), possibly stockpiled from the drainage feature it sits adjacent to in this same parcel. Neither location was accessible on the date of the windshield survey. Both AOIs should be included in any future site assessment; the drainage feature should be assessed with regard to runoff. This Limited Environmental Due Diligence Transaction Screen has revealed no evidence of recognized environmental conditions in connection with the subject property. Based on the conclusions of this screening Xstrategic recommends if, the owner(s) desire to qualify for one of the Comprehensive Environmental Response, Compensation, and Liability Act, that a Phase 1 Environmental Site Assessment be conducted according to the ASTM E1527 or ASTM E2247 as appropriate. Introduction Xstrategic LLC (Xstrategic) has conducted a Limited Environmental Due Diligence Transaction Screening in general conformance with the scope and limitations of ASTM Standard Practice E1528-14. This practice does not satisfy the requirement of the Environmental Protection Agency Standards and Practices for All Appropriate Inquiries (AAI) (40 CFR Part 312). The screening was performed for the property located west of Aransas Pass, Texas and is bordered to the North by Highway Bypass 35; to the Southwest by Highway 361; and to the East by County Road 1069 in San Patricio County. Any exceptions to, or deletions from, this scope of work are described in the report. Purpose The purpose of this practice is to define a good practice in the United States of America for conducting a transaction screen for a parcel(s) of commercial real estate where the user wishes to conduct limited environmental due diligence (that is, less than a Phase I Environmental Site Assessment). If the driving force behind the environmental due diligence is a desire to qualify for one of the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA) Landowner Liability Protections (LLPs), this practice does not meet the standards set out in ASTM E1527: Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process or ASTM E2247: Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process for Forestland or Rural Property McCampbell Property San Patricio County Scope of Work The limited environmental due diligence was performed by conducting a windshield survey through an accessible one-fourth of the total property delineated in Figure 2. 9 The goal of conducting this transaction screen was to identify any potential environmental concerns. That is, the possible presence of any hazardous substances or petroleum products on the property under conditions that indicate the possibility of an existing release, or a threat of a future release of any hazardous substances or petroleum products into structures on the property or into the ground, ground water, or surface water of the property. 9 LAN_McCampbellProperties_Xstrategic_November,2017

The transaction screen does not address requirements of any state or local laws or of any federal laws. Users of this report are cautioned that federal, state, and local laws may impose environmental assessment obligations that are beyond the scope of this screening. As far as Xstrategic s knowledge at the time of this screening, there were no known current or historical handling of hazardous substances on parcels screened. Objectives McCampbell Property San Patricio County Records Review Practically Reviewable records pertaining to the subject property from environmental databases both federal and state, review state and local records for any indications of recorded release(s) to the environment that may pose a material threat of future release not including de minimis conditions. Site Reconnaissance Perform visual observations of approximately ¼ of the delineated area in Figure 2 via windshield survey of the subject property, record observation route as seen in Figure 2. Photographic documentation in conjunction with map describe each observance clearly. Areas of Interests (AOIs) were generated by review of historical aerial imagery and the Environmental Records Search. Assumptions Xstrategic believes that information obtained from the records reviews concerning the subject property is reliable. However, Xstrategic does not warrant or guarantee that the information provided by any source is accurate or complete. Limitations Xstrategic prepared this report for the sole use of the Client and should not be reproduced or disseminated without the written approval of Xstrategic and the Client. Xstrategic has retained a copy of this report. No additions or deletions are permitted without the expressed written consent of Xstrategic. The subject property information provided herein is based on review of practically reviewable information relevant to the property without performing extraordinary analysis of irrelevant data. The form of information provided herein, represent a greater than one-mile environmental records search, which exceeds ASTM 1527/1528 and EPA All Appropriate Inquiry rule. The information provided in this report is dependent on the availability of historic documentation and accuracy of the records reasonably ascertainable. Environmental concerns not addressed in this report are beyond the scope of a Limited Environmental Due Diligence Transaction Screen or not applicable to the 10 LAN_McCampbellProperties_Xstrategic_November,2017

property in question and include, but are not limited to, the following: lead in drinking water, water well locations, ACMs and LBP, Wetlands, Regulatory compliance, Cultural and historic resources, Endangered species, High voltage powerlines. User Reliance All reports, both verbal and written, are for the use and benefit of LAN. Other third parties may come into possession of this report and materials contained within, in all or part. No third party shall have rights of recourse or recovery whatsoever under any course of action against Xstrategic LLC, or its vendors or contractors. Any unauthorized use prior to or without written permission of Xstrategic, user shall be responsible to protect, indemnify and hold Xstrategic, Client and their respective officers, employees, vendors, successors and assigns harmless from any and all claims. Limiting Conditions Limitations inherent to the Limited Environmental Due Diligence Process are referenced in the ASTM E-1528-14. Subject property specific limitations and exceptions are discussed below. Interviews with past property owners and/or operators were not reasonably ascertainable. Xstrategic conducted site windshield survey over approximately ¼ of the properties described in Figure 2. This limitation was due to portions of the property in accessible by road and no access available via the gate to the two structures on parcel 67236 (AOI5 on Figure 2). Interior and Exterior Observations General Site Observations The site was visually and physically observed for structures and water bodies in the likelihood of identifying RECs in connection with the subject property. There were no buildings or water bodies to obstruct observance of the subject property and no features identified as likely to have been used as an avenue for hazardous substances or petroleum products releases or spills. No wells or cisterns were observed on the property during this screening. No domestic wastewater is disposed of via sewer system were observed on the subject property. No septic systems were observed on the subject property. The two structures located at AOI5 were not accessible during the windshield survey. Oil and Gas recovery was occurring on the subject property during this screening. In lieu of the recent hurricane (Harvey, August 25, 2017) there was no evidence of illegal dumping of household or industry debris on the subject property. Conditions of Subject Property and Adjacent Properties Subject property was vegetated and well maintained. Adjacent properties include farmland, the McCampbell-Porter County Airport, a residential area and the South Pacific rail line. All properties were maintained in good condition. With that said, there were no indications of domestic or industrial pollution observed. Potential Environmental Hazards No hazardous materials or petroleum products were observed on the subject property. No evidence of the use of reportable quantities of hazardous materials or wastes was observed on the subject property. No small quantities of general maintenance supplies were observed. No leaks, stains, or indications of spills were observed. Two aboveground storage tanks were observed at AOI2 and AOI4. They were fenced to prevent cattle entry and fencing was well maintained at the time of the windshield survey. Kaiser Francis Oil Co. signage visible at tank fence. See photos Appendix E No underground storage tanks present, nor was there any evidence of former underground tanks occurring on the subject property. No strong, pungent or noxious odors were evident during the reconnaissance effort. No indications of present or past pools of liquid was observed on the subject property. No stressed vegetation was observed on the subject property. There does not appear to be any potential environmental hazards that would pose a significant threat to the environmental integrity of the subject property at this time. Conclusions, Opinions and Recommendations McCampbell Property San Patricio County This environmental limited due diligence effort has revealed no evidence of recognized environmental conditions in connection with the subject property. Based on the conclusions of this assessment, Xstrategic does not recommend any further assessment on parcels the windshield survey occurred on. It is the recommendation of Xstrategic to have a qualified professional take a look at the south AOI5 and AOI7 and the drainage feature (Figure 2) to rule out any potential environmental concerns.
