2013 NEGOTIATED COMMERCIAL PROPERTY SALE DISPOSAL TERMS AND CONDITIONS 1. NEGOTIATED COMMERCIAL PROPERTY SALE DISPOSAL TERMS AND CONDITIONS. The University of Alaska, office ( University ) is offering for sale, on a negotiated basis, an individual land parcel, and all improvements and any appurtenances including a 56,500 square feet, five-story office building located at 4500 Diplomacy Drive, Anchorage, Alaska ( Commercial Property ) to a Purchaser with the financial capability to purchase the Commercial Property on the terms and conditions and within the time frame acceptable to the University. This sale of commercial property ( Property Sale ) is subject to these Terms and Conditions and a Commercial Property Purchase Agreement ( Purchase Agreement ). This Property Sale is described in the Disposal Plan available from the University at www.ualand.com. 2. PURCHASE AGREEMENT. The University intends to enter into a Purchase Agreement for the sale of this Commercial Property with a Purchaser that has the financial capability to complete the sale within the University s time frame. 3. EVALUATION. The disposal of Commercial Property may have implications for the University beyond the financial terms. Therefore, the University will determine, in its sole discretion, whether the disposal of this Commercial Property and all the terms of the sale are in its best interests. In determining its best interests, the University will consider and evaluate the following: a. Whether the terms of the sale, including the total price, and financial terms of the sale are in the University s best interests. b. Whether the Purchaser has the financial and administrative ability to close this sale within the University s time frame. c. Whether the Purchaser s plan for the use of the Commercial Property is an appropriate use that conforms to all applicable ordinances, regulations and restrictions. 4. RESERVATION OF RIGHTS. The University reserves the right to discontinue the Property Sale if the University determines, in its sole discretion, it is not in the University s best interest to go forward with the sale. The University reserves the right to further negotiate, modify and make other changes to the disposal of this Commercial Property. The University reserves the right to waive any defects as to form or content of this Property Sale. The University reserves the right to waive any informality in the transaction. 5. EXAMINATION OF FINANCIAL BACKGROUND. The minimum sale price for the Commercial Property will be at or above fair market value to be determined at the sole discretion of the University. 9. BOARD OF REGENTS APPROVAL. According to Board of Regents Policy 05.11.042, the University must give public notice of the disposal and seek public comment. Also the Property Sale is subject to Board of Regents approval under Board of Regents Policy 05.11.060(B)(4).
