TERMS AND CONDITIONS OF SEALED BID SALE Each bid to purchase shall be submitted on the form issued by the Imperial Irrigation District s Real Estate office. Each bid shall be presented in a sealed envelope plainly marked "Sealed Bid Sale No. 2012-01-0001. If the bid form is not signed by the bidder, the bid will be rejected. If the sealed envelope is opened prior to the sale because of improper marking, the bid may be disqualified. Deposit Requirement: Do not mail currency. All signed bids shall be accompanied by a 10% deposit of the bid price by either personal or business check, cashier's check, certified check, or money order, payable to the Imperial Irrigation District. Property Conveyance: Upon acceptance of successful bid by the Imperial Irrigation District s Board of Directors, Bidders will be provided with a Quitclaim Deed to convey the District s fee title interest to the property. Bidders are responsible for recording the Quitclaim Deed, and for payment of recording fees and associated documentary transfer tax. It is incumbent upon Bidders to contact the Imperial County Recorder s office to determine the proper amount of the fees and tax. Bid Notification: The successful bidder will receive written notice that his/her bid has been accepted. All deposits of unsuccessful bidders will be returned after the announcement of the successful bidder. If two or more high bids equal in amount are submitted, the sale, at the option of the Imperial Irrigation District, may be canceled or extended. If the sale is extended, only those bidders who submitted the high bids in equal amounts at the original sale will be provided with forms on which to submit revised sealed bids, which will be opened on a date and at a time set by the Imperial Irrigation District. The minimum acceptable bid at the extended sale shall be the amount of the high bid at the original sale. The Imperial Irrigation District further reserves the right to reject any and all bids and to cancel the sealed bid sale at any time prior to recordation of the tax deed. Excluded Property: Notwithstanding anything in these terms to the contrary, the property shall not include: All Imperial Irrigation District facilities, including but not limited to all fixtures, equipment, and structures of every kind and nature, including but not limited to checks, gates, pipes, drain boxes, siphons, poles, transmission and distribution lines, transformers, appurtenances thereto and anything incident to or related in any way with the operation and maintenance for the development, distribution and transmission of energy, communications and conveyance water for all uses and purposes. These terms shall be broadly interpreted. No water rights owned or held by Imperial Irrigation District by virtue of being an irrigation district or the fee title holder to the property, are being conveyed to Bidder with the transfer of title to the property or otherwise, and Imperial Irrigation District shall continue to hold those rights in trust for the benefit of the owner of the property to the extent provided by federal and State statutes, regulations and common law.
