Resolution of the Township of Freehold Monmouth County, New Jersey No: R-07-142 Date of Adoption: May 8, 2007 TITLE: RESOLUTION AUTHORIZING PERSON TO PERSON TRANSFER OF LIQUOR LICENSE NO. 1316-36-009-002 (FREEHOLD HOTEL ASSOCIATES, L.L.C. TO GIBSON PLACE HOTEL, L.L.C.) - - - R E S O L U T I O N - - - WHEREAS, an application has been filed for a Person-to-Person Transfer of Plenary Retail Consumption License Number 1316-36-009-002, heretofore issued to Freehold Hotel Associates, L.L.C., for premises located at Route 537 and Gibson Place, Freehold Township, New Jersey; and WHEREAS, the submitted application form is complete in all respects, the transfer fees have been paid, and the license has been properly renewed for the current license term; and WHEREAS, the applicant is qualified to be licensed according to all standards established by Title 33 of the New Jersey Statutes, the regulations promulgated thereunder as well as the pertinent local Ordinances and conditions consistent with Title 33; and WHEREAS, the applicant has disclosed and the issuing authority has reviewed the source of all funds used in the purchase of the license and the licensed business and all additional financing obtained in connection with the licensed business. NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Freehold does hereby approve, effective May 22, 2007, the transfer of the aforesaid Plenary Retail Consumption License to Gibson Place Hotel, L.L.C., and does hereby direct the Township Clerk/A.B.C. Board Secretary to endorse the license certificate to the new ownership as follows: This license, subject to all its terms and conditions is hereby transferred to Gibson Place Hotel, L.L.C., effective May 22, 2007. BE IT FURTHER RESOLVED that a copy of this Resolution certified by the Township Clerk, to be a true copy be forwarded to each of the following: 1

WHEREAS, the Director of Public Works, in a memorandum dated May 3, 2007, recommends that a contract for the WMPG Furnishing and Delivery of Gasoline and Diesel Fuel be awarded to John Duffy Fuel Co.; and, WHEREAS, the Director of Finance has certified to the Township Clerk that funds are available for this Contract in the following budget accounts: 5510-4307 NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the Township of Freehold hereby awards a two year contract for the Western Monmouth Purchasing Group Furnishing and Delivery of Gasoline and Diesel Fuel in the estimated amount of $642,850.00 for contract year one and $645,850.00 contract year two for an estimated two-year total of $1,285,700.00; and, BE IT FURTHER RESOLVED that a certified copy of the within Resolution be forwarded to the Assistant Township Administrator, the Director of Finance, the Director of Public Works, the Director of Finance, Freehold Borough, and all bidders.

TOWNSHIP OF FREEHOLD, ET AL. - - - R E S O L U T I O N - - - WHEREAS, New Jersey Housing and Mortgage Finance Agency instituted suit against the Township of Freehold in the Superior Court of New Jersey, Monmouth County, Chancery Division, bearing Docket No. F-10262-07; and WHEREAS, the Township Committee is of the opinion that there are meritorious defenses to the litigation. NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township of Freehold that the Township Attorney is hereby authorized to defend the Township in this litigation and to take such action as he deems reasonable in the defense of the litigation. BE IT FURTHER RESOLVED that a copy of this Resolution certified by the Township Clerk to be a true copy be forwarded to the Township Attorney. 1

(LONGHORN STEAKHOUSE) SITE PLAN NO. SP 761-06 - - - R E S O L U T I O N - - - WHEREAS, on February 15, 2007 the Freehold Township Planning Board granted final site plan approval to Rare Hospitality International, Inc. (Longhorn Steakhouse), Site Plan No. 761-06, Block 70, Lot 20.07 located on Monmouth County Route 537; and WHEREAS, in accordance with its Planning Board approval, the Developer is required to enter into a Developer s Agreement with the Township of Freehold; and WHEREAS, the Township Attorney has prepared a Developer s Agreement for this site plan. NOW, THEREFORE, BE IT RESOLVED by the Mayor and Township Committee of the Township of Freehold that the Mayor is hereby authorized to execute and the Township Clerk to attest the Developer s Agreement between the Township of Freehold and the Developer in accordance with the approval granted by the Freehold Township Planning Board.
