Unit Availability Requirements Title Change can nly be perfrmed when the unit is NOT COMMITTED with any Internal r External prgram. A signed riginal agreement is required. The Buyer and Seller may cmplete a separate frm. The Seller submits their riginal cntract with all the riginal frms. Step 2 Return this dcument with the escrw fee and the first payment. Interval Servicing will verify the details f the transactin and upn cmpletin, prepare new Buyer s dcuments. Escrw funds may, at the discretin f Interval Servicing, be held in a cmingled bank accunt that may r may nt bear interest; and n such interest, if accrued, will be credited t the Escrw transactin r distributed amng the Parties. 3. Indemnificatin: Bth Parties agree that this Agreement is nt an agreement fr the purchase r sale f said Prperty r substitute fr such agreement theref; that it is recmmended each Party seek qualified legal cunsel as each deems apprpriate; and that Interval Servicing has nt prvided advice, cuncil r ther recmmendatins r assertins either written r verbal with respect t either Party r the Prperty. Bth parties acknwledge that the use and benefits (e.g. Ryal Resrts Signature Club) f said Prperty are subject t the rules and terms f use as mandated by the Resrt; that the respnsibility fr disclsure f such lies exclusively between the Buyer and Seller, and that Interval Servicing is nt liable fr such disclsure at any time. 4. Clsing: Bth Parties agree t execute and cnvey with expediency all further dcuments, including withut limitatin, riginal cntracts r membership agreements (Seller), duly ntarized cntracts r membership agreement (Buyer), r ther frms r dcuments frm either Party necessary t effectuate the transactin cntemplated herein within ten (10) calendar days f receipt r ther ntice. Clsing will cmmence fllwing the expiratin f the perid set frth in sectin 5 belw and nce all funds, including withut limitatin, the Purchase Price, Nn-Refundable Escrw Fee, transactin csts and extraneus expenses are received and funds have cleared (estimated ten (10) t furteen (14) business days frm depsit). Funds will be disbursed in accrdance t the prvisins t this agreement and/r any mutually agreed revisin theret. This transactin shall be deemed clsed upn successful cnveyance f Prperty t Buyer. 5. Terminatin & Default: Either Party may terminate this Escrw Agreement upn delivery f written ntice t Escrw Agent via certified US mail. Receipt f such terminatin ntice must be received within seven (7) business days frm executin f this Agreement; and after such perid, bth Parties irrevcably agree that Escrw Agent shall be empwered t perfrm their duties in accrdance with this Agreement. Bth Parties agree that a terminatin f this Agreement in n way inhibits the full frce and perfrmance f any such private sales agreement if ne exists. Bth Parties agree that upn default r terminatin f either party, slely with respect t this Agreement and exclusive f all ther agreements r arrangements, either written r verbal, that the result f such default r terminatin will be the return f all dcuments and funds received frm either Seller r Buyer respectively excluding the nn-refundable escrw fee. If fr any reasn, within the Escrw Perid, either Party fails t perfrm in accrdance t the terms f this Agreement, then this Agreement, withut ntice, will be terminated and all dcuments and funds received frm either Seller r Buyer respectively will be returned exclusive f the nn-refundable escrw fee. 6. General Prvisins: This Agreement shall be binding upn, and shall inure t the benefit f Seller and Buyer and their respective successrs, heirs, executrs, administratrs and assigns. This Agreement is tandem t and des nt supplant a Title Change Agreement. Where questins f title, unit descriptin r specifics might arise, the Title Change Agreement shall prevail. 7. Yur Membership must be in gd standing r paid in full. The Club Service and Annual Maintenance fee must be paid prir t the transfer. This Agreement shall be gverned by and interpreted in accrdance with the laws f the State f Flrida. This Agreement cnstitutes the entire agreement between the parties with respect t the subject matter heref and supersedes all prir negtiatins, representatins and agreements between the parties. This Agreement may nly be amended by written instrument submitted by Seller r Buyer fr executin by all f the parties.
