Public Notice Invitation to Bid 2017 PRECAST CONCRETE BOX CULVERTS Montrose County is soliciting sealed competitive bids from qualified vendors to design, fabricate, and deliver two (2) Precast Concrete Box Culverts. Submitted bids must be enclosed in an sealed opaque envelope 2017 Box Culverts Bid and delivered to Montrose County Road & Bridge, Attn: Dean Cooper, 949 North 2nd St, Montrose, CO 81401, no later than Wednesday, December 7, 2016 at 11:00 a.m. our clock. The bids will be opened immediately thereafter and read aloud. Bids received after the time due will not be considered and will be returned to the bidder un-opened. 2017 Precast Concrete Box Culverts General Conditions Printed Form for Bids: All bids must be submitted using the bid documents attached hereto and must be completed in ink or typewritten. Signatures shall be of an authorized vendor representative that has binding authority on behalf of the Vendor. Faxed bids are not accepted. The County reserves the right to reject; for any reason whatsoever, any and all bids and to waive any informality or irregularity in a bid. Bids Due: It is the bidder s responsibility to deliver the bid offer at the proper time to the proper place. Any Bids received after the scheduled closing time will not be considered for award. In order to ensure consideration, the Bid should be submitted in an opaque, sealed envelope marked: 2017 Box Culverts Bid and delivered to Montrose County Road and Bridge, c/o Lynda Glover, 949 North 2 nd Street, Montrose, CO 81401 no later than 11:00 am (our clock) Wednesday, December 7, 2016. Modifications and Withdrawal of Bids: Modification or Withdrawal of the bid will be permitted at any time prior to the bid opening. The notice shall be submitted in a sealed envelope. The envelope exterior shall identify the bid as per the solicitation instructions followed by the words Notice to Withdraw or Notice to Modify, as applicable. The notice need only request withdrawal or modification; no other information is required. If a Notice to Modify is submitted prior to the submission deadline, the bidder or proposer shall submit a new replacement bid or proposal separately, following solicitation instructions. No verbal agreements or conversations with any agent or employee of the County, either before or after execution of the Contract Documents, shall impact or modify any of the terms or obligations contained in any of the Contract Documents. Opening of Bids: Bids will be accepted up to 11:00 am (our clock) Wednesday, December 7, 2016 at the Montrose County Road and Bridge Department, 949 N. 2 nd St., Montrose CO 81401. Bids will be publicly opened and read aloud promptly thereafter. Bids not received on or before the deadline will be returned to the bidder un-opened. Evaluation of Bids: The County may award the bid to the lowest responsive, responsible bidder. In reviewing the bids it receives, the County reserves the right to reject, for any reason whatsoever, any and all bids, and to waive any informality or irregularity in a bid. The action to award a contract is subject to approval by the Board of County Commissioners. The submission of a bid does not in any way commit the County to enter into an agreement with that bidder. A responsive bidder conforms in all material respects to terms set out in the Invitation to Bid. A responsible bidder has the capability in all respects to perform in full the bid requirements, and the integrity and reliability that will assure good faith performance. 3

Award Date This Bid is anticipated to be awarded at a regularly scheduled meeting of the Board of County Commissioners on December 19, 2016. Meetings are open to the public, with meeting schedules and agendas available on the County website at http://www.montrosecounty.net. All bidders will be notified of the decision by mail or email. Disqualification of Bidders: Montrose County may disqualify bidders for any, but not limited to, the following causes: a) failure to use the bid documents furnished herein; b) lack of signature by an authorized representative on the bid documents where indicated; c) failure to properly complete the bid documents and provide any and all required information; d) evidence of collusion among bidders; Collusion Clause: Each bidder by submitting a bid certifies that it is not party to any collusive action. Any and all bids will be rejected if there is evidence or reason for believing that collusion exists among the bidders. An acknowledgement form is included and must be signed and returned with the bid. Taxes: The County is exempt from State retail tax and Federal excise tax. 2017 Precast Concrete Box Culverts Bid Schedule Delivery is to be made to the following jobsites: 1) Falcon Rd at C Canal (from Hwy 50, take Hwy 348 west approximately 4.6 miles to 5500 Rd., then south on 5500 Rd approximately 1.0 miles to Falcon Rd, then west on Falcon Rd approximately 0.56 miles). 2) 6400 Rd at Selig Canal (from Hwy 50, take Falcon Rd east for approximately 3.64 miles to 6400 Rd, then south on 6400 Rd for approximately 2.1 miles). Misc Requirements: Shop Drawing(s) and structural calculations are to be stamped by a Professional Engineer and submitted to Montrose County for review prior to fabrication. Depth of cover is up to 4 ft. Threaded rebar splicing system is required on each end section (threaded cast-in anchors and threaded rebar dowels) unless waived by the County. The price of this hardware shall be included in culvert unit prices. Inlet edges to be chamfered 4 x 4 (requirement waived on skewed ends). Culvert Specification 4 sided box; AASHTO LRFD Bridge Design Specifications or ASTM C-1577 as applicable, Type I/II sulfate resistant Portland cement standard, T&G joints without seals or gaskets, rebar splicing system. Length is estimated and is subject to change at time of order. Changes will be subject to unit rate per foot as bid. PURCHASE ORDER TERMS AND CONDITIONS I. DEFINITIONS: 1. BUYER means agent for Montrose County. 2. VENDOR means the party, its agents, employees, contractors or subcontractors, with whom the BUYER is contracting. Any reference to Seller, Subcontractor, Contractor or Supplier shall also mean VENDOR. 3. Purchase ORDER or ORDER, means the name or title of the instrument for contracting, including all documents, exhibits and attachments referenced therein, and, once accepted by VENDOR, constitutes the entire agreement between BUYER and VENDOR for the sale and purchase of those goods, supplies, materials, articles, items, parts, components or services herein specified. II. CONDITIONS OF PERFORMANCE: (A) ACCEPTANCE: 1. This ORDER is BUYER S offer to purchase the goods and/or services described on the reverse hereof from VENDOR. BUYER S placement of this ORDER with VENDOR is expressly conditioned upon VENDOR S acceptance of all terms and conditions of purchase contained on or attached to this ORDER. 2. Any additional or different terms or conditions which may appear in any communication from VENDOR are hereby expressly objected to by the Procurement & Contracts Department, and no such additional or different terms or conditions in any printed form of VENDOR S shall become part of this contract despite BUYER S acceptance of goods or services unless agreed to in writing by BUYER. 3. Any goods and/or services provided by VENDOR prior to issuance of a valid ORDER by BUYER shall be at VENDOR S risk. 4. VENDOR S commencement of work or delivery of the goods or services subject to this ORDER shall be deemed an effective mode of acceptance of this Purchase ORDER. 5. All goods and/or services purchased under this ORDER must be received and invoiced by December 31. 6. When required, VENDOR shall obtain, at its own expense, proof of insurance coverage, to include worker s compensation, property damage, public liability, personal injury and employer s liability, and any other applicable insurance deemed necessary by BUYER. The Certificate of Insurance shall name Montrose County as additional insured and shall contain a notice of cancellation date of not less than thirty (30) days. The Montrose County Procurement & Contracts Department must receive this Certificate of Insurance before an ORDER will be issued to VENDOR. (B) TERMINATION: BUYER reserves the right to terminate this ORDER, or any part hereof, for its sole convenience. BUYER also reserves the right to terminate this ORDER, or any part hereof, for cause in the event of any default by VENDOR if the VENDOR fails to comply with any of the terms and conditions of this ORDER. In such event, a Notice of Termination will be served upon VENDOR. After receipt of such Notice of Termination, VENDOR will not be paid for any goods or services, or for any costs incurred by VENDOR that VENDOR could reasonably have avoided. (C) SHIPPING INSTRUCTIONS: All goods are to be shipped freight prepaid, F.O.B. destination, unless otherwise stated. Where BUYER has so authorized in writing, goods may be shipped F.O.B. shipping point, but VENDOR shall prepay all shipping charges. (D) DELIVERY: Time is of the essence. This ORDER may be terminated if delivery is not made or services are not performed by the date specified on the reverse side hereof. (E) INVOICING: VENDOR shall submit invoices in duplicate to billing address shown on face of ORDER. (F) INDEMNIFICATION: VENDOR shall defend, indemnify and hold harmless BUYER against all damages, claims or liabilities and expenses (including attorney s fees) arising out of, or resulting in any way from, any defect in the goods or services purchased hereunder, or from any act or omission by VENDOR. VENDOR shall take precautions to protect BUYER S property and persons from damage or injury arising out of its work and shall comply with all fire, safety and other applicable regulations prescribed by any governmental agency and by BUYER. (G) TAXES: Montrose County is exempt from all Federal, State and local taxes. A tax-exempt certificate will be supplied upon request. (H) ASSIGNMENT: VENDOR shall not assign this contract or the right to payment due hereunder, without BUYER S prior written consent. (I) LIENS, CLAIMS AND ENCUMBRANCES: VENDOR warrants and represents that all goods will, when delivered hereunder, be free and clear of all liens, claims or encumbrances of every kind. (J) INSPECTION/REJECTION: All goods and services purchased hereunder are subject to BUYER S inspections and approval. Payment for the goods delivered or services performed shall not constitute acceptance thereof. BUYER shall have the right to inspect such goods or services and to reject any or all that are, in BUYER S judgment, defective or non-conforming. (K) WARRANTIES: VENDOR warrants and guarantees to Montrose County that the items furnished under this Purchase ORDER are free from all defects in workmanship and materials. The VENDOR further warrants and agrees to remedy any defects found and replace the item(s), if necessary, at its expense and at no cost to Montrose County. (L) INFRINGEMENTS: VENDOR warrants that BUYER S purchase, installation and/or use of goods or services covered hereby will not result in any claim of infringement, or actual infringement of any patent, trademark, copyright, franchise, or other intellectual property right. 8

(M) DRAWINGS OR SPECIFICATIONS: Any drawing or specifications prepared by VENDOR are to become the property of BUYER and shall be marked Property of Montrose County and shall be stored separately when not in use. Such drawings or specifications will be sent to the Procurement & Contracts Dept., 161 S. Townsend Avenue, Montrose, CO 81401, when ORDER is completed. (N) OTHER CONDITIONS: 1. VENDOR shall carry on its work so that the premises shall at all times be clean, orderly and free from debris and, upon completion, shall remove all equipment and unused materials from the project. 2. VENDOR shall abide by BUYER S work and safety rules when work or services are performed on BUYER S premises. BUYER has the right to exclude personnel from BUYER S premises who do not abide by such rules, and at BUYER S election, to declare a default under the ORDER. 3. VENDOR shall comply with all applicable requirements contained in federal, state and local government statutes and their rules, regulations and ordinances while performing on this project. (O) LAW: The laws of the State of Colorado shall govern this ORDER, and the venue of any action brought hereunder may be laid in or transferred to the County of Montrose, State of Colorado. (P) SOLE SOURCE CONTRACT: To the extent this contract may be construed to be a sole source contract within the meaning of sections 15 through 17 of Article XXVIII of the Colorado Constitution, and to the extent these constitutional provisions have not been enjoined or invalidated by a court of competent jurisdiction, the requirements and limitations of these constitutional provisions are hereby incorporated in this contract. (Q) NOTIFICATION OF IMMIGRATION COMPLIANCE REQUIREMENTS FOR SERVICE CONTRACTS: Vendor acknowledges notification of and agrees to abide by the requirements of CRS 8-17.5-102 prohibiting use of illegal alien labor in the performance of County contracts. Signed addendum is attached. (R) Nothing under these Terms and Conditions shall be deemed a waiver by the County of the Colorado Governmental Immunity Act 24-10-101 to 120 C.R.S., or otherwise available to the County.
