National ID: : Passport No. 483810825 5) The chronological description of successive chain of title and ownership (covering the transfer of ownership for 25 years) of the scheduled property more fully described in the schedule given below is as follows: Whereas, the schedule property was under sabek Tejgaon Police Station hale Mouza Bhola Samair, Gulshan Residential Area which was acquired by the Rajdhani Unnayan Kartipakha (RAJUK) earlier Dhaka Improvement Trust Act for Gulshan Residential Area Project. Thereafter, earlier DIT presently Rajdhani Unnayan Kartapakha (RAJUK) prepared a plan for residential plot at Gulshan Area and declared that plots as residential area and offered application for allotment from the citizen. Than Mr. Golam Ali Rashid applied for plot and accordingly the DIT on 02.08.1965 allotted him the plot. Thereafter, that Mr. Golam Ali Rashid after receiving the allotment letter paid all the installments of the said plot and requested the Dhaka Improvement Trust (DIT) to execute the lease deed by way of registration in favour of him. On 15.09.1965 Dhaka Improvement Trust (DIT) registered the lease deed no. 9117 in favour of Mr. Golam Ali Rashid by entering in the Book No.01, Volume no. 90 from page no. 541 to 550. Thereafter, Mr. Golam Ali Rashid applied before the Dhaka Improvement Trust (DIT) for transfer permission on 13.03.1970. By his application the DIT has given a permission to transfer his plot/land in favour of Mrs. Shireen Rahman. Page 3 of 12

Thereafter, obtaining sale permission on 10.04.1970 from the DIT Mr. Golam Ali Rashid on 17.04.1970 and registered the lease deed no. 5761 in favour of Mr. Shireen Rahman by entering in the Book no. 1, Volume no. 85 and page no. 45 to 48 and thereafter, Mr. Shireen Rahman enjoying peaceful possession of the plot/land. Thereafter, Ms. Shireen Rahman being in possession of the schedule land and obtaining permission for transfer on 5.01.1972 sold the schedule land to Sufia Chowdhury vide Registered Sale Deed No. 9701 dated 18.04.1973. Said Sufia Chowdhury died leaving behind 4 daughters, namely (1) Ayesha Chowdhury, (2) Mst. Taslima Chowdhury, (3) Mst. Ferdousi Chowdhury and (4) Mst. Bushra Chowdhury; and said Sufia Chowdhury transferred the schedule land to her aforesaid four daughters by way of gift on 15.04.1980. Said four sisters after getting joint permission for partition of schedule land from RAJUK on 10.12.1998 took their individual portions. By dint of that position, Mst. Ferdousi Chowdhury and Mst. Bushra Chowdhury got their names mutated against their respective portions as Plot No. B/20 which is the schedule land on 7.07.2003 vides Memo No. Rajuk/Estate/2397; Thereafter, said Mst. Ferdousi Chowdhury and Mst. Bushra Chowdhury appointed Sky touch Apartment Limited, represented by its Managing Director Eng. Zaoadul Karim as their attorney giving several powers including power to transfer, take care, look after, develop the schedule land, etc. vide Registered Deed of Power of Attorney No. 575 dated 14.01.2004 and said Attorney got the same approved duly from RAJUK on 11.01.2005 vides Memo No. Rajuk/Estate/188; Thereafter, said Skytouch Apartment Limited got the Noksha permitted vide Memo No. Rajuk/Noksha/Toshi-184/04/392 dated 24.04.2004 constructed and developed the schedule building in the schedule land. Thereafter, said Sky touch Apartment Limited sold the schedule apartment to the instant Principal Ms. Niluofer Mahmood and another vide Registered Gulshan sub registry office, Dhaka Sale deed No. 3309 dated 24.04.2008. By this way, the instant Principal Ms. Niluofer Mahmood another became the owner of the Schedule this land mutation Case Ac land tejgoan No 15044/08-09, Date 26/04/2009. Jote 93/22. Page 4 of 12

6) Purpose for the execution of the Irrevocable General Power of Attorney : Since the Principal Ms. Niluofer Mahmood and another is a very aged person; hence it is not possible for her to look after the Scheduled Property and to take all necessary decisions and carry out all necessary works including paying revenue, fees, bills and other charges to the concerned authority, etc. For that reason, the Principal Ms. Niluofer Mahmood another wants to execute this Deed of Power of Attorney for appointing Ms. Atiya Niloufer Mahmood as her lawful Attorney to look after the schedule property and to take all necessary decisions and carry out all necessary works including paying revenue, fees, bills and other charges to the concerned authority, etc. 7) Description of Power(s) given to the Attorney: Now Therefore By These Presents, I, Niluofer Mahmood another the Principal do hereby nominate, constitute and appoint Atiya Niloufer Mahmood to be my true and lawful Attorney to do all or any of the following acts, Sale deeds, matters and things in respect of the Scheduled Property:- 1. To look after the schedule property and to take all necessary decisions and carry out all necessary works including paying revenue, fees, bills and other charges to the concerned authority, etc. 2. To incur any cost, expense or expenditure that may be necessary for carrying out the purpose of this Deed. 3. To cause mutation if necessary in the land and revenue records, up-to-date the khatians if required, pay all taxes, charges, duties and pay for the services and utilities in relation to and for the Scheduled Property. 4. To transfer the Scheduled Property or any part thereof to any third party by way of sale or otherwise in relation to the Scheduled Property entered into between the Attorney and myself or as may be deemed necessary in interest of all parties including the Attorney who has interest attached to the Scheduled Property. 5. To receive the proceeds from the transfer of the Scheduled Properties or any part thereof pursuant to sale or otherwise from the third party. 6. To obtain credit facilities from banks and financial institutions against security including creation of mortgage over the Scheduled Property for the purpose of management and development of the Scheduled Property or any part thereof. 7. To take all steps for the registration of sale deeds, deeds of conveyance and mortgage deeds relating to the sale/transfer/assignment or disposal or mortgage of the Scheduled Property or any part thereof, and further, to obtain any other sanction or permission from any authority for sale, transfer, assignment or disposal or mortgage of the Scheduled Property. 8. To negotiate and execute the necessary transfer deeds, sale deeds, assignments or otherwise and present those for registration, to admit execution and get the same registered and to vest the Scheduled Property or any interest or any part thereof in the Page 5 of 12

transferee, together with all rights of the owner in, upon, or to the Scheduled Property or any interest or any part thereof as if the same had been sold to the transferee by me as the owner. 9. To realize, receive and take payment of any consideration or purchase money or other moneys that may become payable to me in connection with such sale, transfer or assignment or disposal of the Scheduled Property or any interest or any part thereof as aforesaid and upon receipt thereof to give and grant sufficient and effectual receipts or discharges for the same. 10. To represent me before the Government of the People s Republic of Bangladesh or any other governmental authorities, banks and financial institutions, company, corporation or body in connection with the transactions referred to hereinabove and sign and execute whatever instruments that may be necessary for obtaining the approval, if required, of such transactions by any governmental agency or any other organization or institution for the purpose of completion of the sale/transfer/assignment/disposal of the Scheduled Property. 11. To appear, represent and act in all courts or arbitration and before judicial and revenue authorities, either in the original or appellate side as well as in any government department, local authority, autonomous, semi-autonomous authority or other body corporate, and to initiate/prosecute or defend or to take part in all or any action, application, suit, appeal, proceeding, and for such purposes to subscribe, sign and verify all plaints, written statements and memorandum of appeal, to swear affidavit, and to do all acts, deeds and things which may be necessary in relation thereto and to execute any power or vokalatnamas by signing on my behalf to prevent the impairment of the Scheduled Property or to preserve and protect the interests of the Attorney. 12. To accept summons or other legal processes or notice in any suit or legal proceedings and to represent in such court, civil or criminal or revenue court including High Court Division and Appellate Division of the Supreme Court of Bangladesh or any tribunal or before any officer of government office or authority whatsoever. 13. To appoint and retain lawyers and advocates and to remove such retainers from time to time and again to appoint as occasion shall require for the aforesaid purposes. 14. To apply for withdrawal, withdraw and receive all moneys that may be deposited in any court or office concerning the Scheduled Property or any part thereof in case of acquisition or requisition of the Scheduled Property or any part thereof by any Governmental Authority. 15. To appear before any District Registrar or Sub-Registrar or other officers or authority having jurisdiction in that behalf in relation to the Scheduled Property and any interest and any part thereof for registration and acknowledge and register pursuant to the provisions and regulations in that respect for the time being in force, all instruments and writings including sale deeds, deeds of conveyance, mortgage deeds executed and signed either by me directly or under the authority of these presents and to present for Page 6 of 12

registration and to admit execution thereof and do all such acts and deeds in that behalf as may be, or the Attorney may seem, proper and expedient. 16. To affirm or swear such affidavits as may be necessary from time to time in respect of the Scheduled Property or any part thereof under any law in respect of the Scheduled Property or any part thereof. 17. To appoint any person as sub-agent to carry out any of the powers stated here in full or in part and to remove such sub-agent as it may deem necessary by the Attorney. 18. In general to do, execute and perform all such further and other acts, deeds, matters and things whatsoever which though not specifically mentioned herein the Attorney shall or may think necessary or proper to be done in and about or concerning the Scheduled Property or any interest or any part thereof, affairs or otherwise in and about the premises or which may be incidental to the effectuating of any of the powers and authorities herein contained. AND I do hereby ratify and confirm whatever the said Attorney shall lawfully do or cause to be done by virtue of these presents. AND the powers conferred on the Attorney hereunder are to protect the interests of the Attorney already created in the Scheduled Property and shall not impose any duty upon the Attorney to exercise any such power. Further this Irrevocable General Power of Attorney shall remain valid and in full force even after the death of the Principal. This POWER OF ATTORNEY has been made in consideration of Tk. 50,00,000.00 (Taka Fifty lac) and myself for consideration as mentioned above in relation to the Scheduled Property and shall be and I shall not execute any other power of attorney in favour of any one in connection with the Scheduled Property or any interest or any part thereof. I HEREBY UNDERTAKE AND AGREE TO RATIFY WHATSOEVER THE ATTORNEY SHALL LAWFULLY DO OR CAUSE TO BE DONE UNDER THESE PRESENTS AND TO INDEMNIFY THE ATTORNEY AGAINST ALL COSTS AND EXPENSES INCURRED BY THE ATTORNEY. 8) Tenure of the Deed of Irrevocable General Power of Attorney: This Irrevocable General Power of Attorney shall remain valid and in full force even after the death of the Principal.
