Notice of Sale Pursuant to 272.001(a) of the Texas Local Government Code, Texas Southmost College ( Seller ), a political subdivision of the State of Texas, provides this public notice of real property and invitation to bid on real property owned by Seller. Texas Southmost College (TSC) is accepting bids from individuals/companies interested in the purchase of all condominiums owned by TSC at the Fort Brown Villas I and II, in accordance with the terms, conditions, and requirements set forth in this invitation to bid. This invitation provides respondents with the information necessary to prepare and submit bids for consideration by the College. I. The location and legal description of the property is as follows: The Fort Brown Villas I and II Condominiums are located at 1900 University Blvd (1900 E. Elizabeth St.), Brownsville, Cameron County, Texas, and legally described as (see Exhibit B). II. General Instructions 1. College will accept Proposals until Monday, January 9, 2017 at 2:00 p.m. local time. Proposals in print format shall be submitted to the TSC Purchasing Office located at Tandy 110; 80 Fort Brown; Brownsville, Texas 78520 in attention to Ms. Patricia G. Saldivar, Coordinator of Purchasing. Subsequently, proposals will be read aloud in Tandy 212 Conference Room of the Fort Brown Campus at 2:30 p.m. local time. 2. Submit three (3) copies of the bid in print format and one (1) copy of the Proposal in electronic format including any supplemental material referenced within the Proposal. The electronic copy shall be submitted in a USB/Flash Drive or in a CD in the same envelope as the hard-copy (print format) original Bid. 3. Bid(s) must be received on or before the time and date specified above to the point-ofcontact identified below. College delivery hours are from Monday thru Friday from 8:00 a.m. to 5:00 p.m. except during holidays and other College closures. 4. Due to the holiday season, no deliveries will be accepted by the College from December 21st to January 3, 2017. Freight companies are usually informed about this closure and will deliver any packets until after this date. However, it will be the sole responsibility of the Respondent to make sure that bid packages are delivered by the specified deadline. 5. Late Proposals will be returned to the Respondent unopened. 6. The College will not accept Proposals delivered by telephone, email or facsimile (fax). 3
7. Submittals properly received will not be returned to Respondents. 8. Each sealed bid shall include the legal name of the prospective purchaser and a statement whether the prospective purchaser is a sole proprietor, a partnership, or a corporation. If a corporation, the corporation shall also give the date of incorporation and have a corporate seal affixed. 9. Each sealed bid shall be signed by the person or persons legally authorized to bind the prospective purchaser to a contract. 10. Prospective purchasers, in their sealed bid, shall signify that they have read and understand all conditions concerning the site, as outlined in this invitation for bid and that their bid is made in accordance with the invitation to bid. 11. Responses to inquiries which directly affect an interpretation or change to this Invitation to Bid will be issued in writing by the College as an addendum and faxed or mailed to all parties recorded by the College as having received a copy of the Invitation to Bid. All such addenda issued by the College prior to the time that proposals are received shall be considered part of the Invitation to Bid, and the Respondent shall be required to consider and acknowledge receipt of each addendum in its Proposals. 12. Only those inquiries the College replies to by addenda shall be binding. Oral and other interpretations or clarifications will be without legal effect. Seller will be conducting a pre-bid conference on Monday, December 19 in Tandy 212 Conference Room at 10:30 a.m., 80 Fort Brown St.; Brownsville, Texas. A guided tour of the Fort Brown Villas I and II property will be included as a part of the conference agenda. We highly encourage potential respondents to attend this conference since it may be the only opportunity to view the properties before the submittal of offers. Attendance to the pre-submittal conference is optional. III. Contents of the Sealed Bid 4
1. The sealed bid shall contain the price being offered for the purchase of all condominiums. Bidder/buyer must submit an offer for all the condominiums listed in the condominium occupancy list. 2. The bid shall be for a cash sale. 3. The bid shall include proof of the bidder s financial ability (bank statement, credit limits, etc.) or a copy of a pre-approval statement from a lender to undertake said bid and shall include a timeline for completion of the sale. IV. Negotiation and Execution of Contract 1. After acceptance of the highest and best bid, the successful bidder will be required to enter into an earnest money contract for the purchase of the property. The successful bidder shall deposit $1,000.00 with the Seller s escrow agent. 2. The earnest money contract will be executed only upon final approval by the Seller s Board of Trustees. 3. Said earnest money contract shall provide for a timely closing date, but no closing shall take place until after January 19, 2017. At closing, in addition to any additional terms as may be made a part of the said earnest money contract, the Seller shall deliver a Special Warranty Deed. Said deed shall provide that the property will be sold as is, where is with all faults. Seller has not made and specifically disclaims any warranties or representations of any kind or character, express or implied (exclusive of the Warranty of title) with respect to the property, including but not limited to (1) the value, condition, merchantability, suitability, or fitness of the property for any particular purpose; (2) the manner of quality of construction or of the materials incorporated into the property; and (3) the manner, quality, or state of repair or lack of repair of any improvements. This provision shall be made a part and included in said special warranty deed. 4. The successful bidder/buyer shall pay all costs of sale ( closing costs ), except for preparation of the deed, the cost of an owner s policy of title insurance, and one-half of any escrow fee. 5. Seller will not pay for any other costs except for the costs specifically mentioned in this invitation to bid. Bidder/buyer should consider the price being offered and all costs of any additional requirements solicited by the buyer such as; real estate agent commissions and property assessments. 6. Bidder/Buyer must consider the lease agreement expiration date as the date the buyer can take possession of the condominium purchased. (See condominium occupancy list). V. Reservation of Rights 5
1. Seller reserves the right to accept or reject any or all bids as provided by the Texas Local Government Code. 2. Seller reserves the right to waive any formalities or technical inconsistencies, delete any requirement or specification from this invitation, or terminate this solicitation when deemed to be in College s best interest. 3.
