A Bidder shall not be relieved of his bid nor shall any change be made in his bid because of mistakes. 2. (OR SHORTLY THEREAFTER, SCHEDULE PERMITTING) - 2 - Date of Submittal The minimum bid for the sale has been set at two hundred eighty-two thousand two hundred dollars ($282,200). No oral or written bid below this amount will be considered. Bidder must purchase the subject real property in an "AS IS" condition. A down payment, payable to the District in a non-negotiable form specified herein, in the sum of ($ ) including the requisite $10,000 deposit. 2. In the event this proposal is accepted by the Board of Supervisors, said amount shall be credited to the cash down payment. 3. This proposal is for the purchase of the real property described in Resolution No. F2012-25 in accordance with the terms and conditions set forth below and is an irrevocable offer after the bid proposals have been opened on February 5, 2013. ADDITIONAL TERMS: A. In the event that there are no successful oral bids made through the public competitive bidding process, and two or more of the acceptable written proposals are for equal purchase price amounts and are also the highest written proposals, then, the successful bid shall be determined as follows: The one accompanied by the largest deposit shall be the successful bid.

150813 B. The successful bid, less any deposit, shall be paid within sixty (60) days of the date of the acceptance thereof. C. Title insurance shall be at the purchaser's option, and shall be at purchaser's expense. D. The sale is subject to final acceptance and approval by the District's Board of Supervisors. E. Conveyance of title shall be by Quitclaim Deed to the successful Bidder or his duly authorized agent and pursuant to an Agreement for the Purchase and Sale of Real Property entered into between the District and the successful Bidder. Title shall be subject to covenants, conditions, reservations, restrictions, easements and rights of way of record, if any. No guarantee, either expressed or implied, is made by the District regarding any permitted land use of the subject property or any possible change in land use zone or the availability of public utility services to the property. Lack of success in obtaining any certain land use permits or utility services for the property shall not be a basis for the successful Bidder to refuse to complete the purchase. F. The assistance of licensed real estate brokers in procuring and submitting bids on behalf of the prospective purchaser is permitted, however, the District, pursuant to Resolution No. F2013-02, will not pay, nor be responsible for paying, a broker's or agent's commission. All of the amount specified herein as the offered purchase price shall be exclusive of any commission the Bidder may be obligated to pay a broker or agent. In the event any such real estate broker or agent is used by the Bidder, then, in that event, such broker or agent must possess a valid California Real Estate Broker's License, and such broker's participation as the submitting broker must be validated in writing by the Bidder in the Bidder's Indemnification of Liability and Certification form provided in the bid proposal documents. In addition, a Broker's Certification form must be completed and attached to the Bid Proposal Form at the time of submission. G. An escrow, to be handled by a separate company, may be requested by the successful Bidder; however, all costs thereof shall be at the Bidder's expense. H. All real property transfer taxes and recording fees, if any, shall be paid by the successful Bidder. I. All amounts due and any necessary documents required of the Bidder to complete the sale shall be delivered to the District by Bidder, or a duly authorized agent, within sixty (60) days of the date that the successful bid is accepted by the Board following the public bid proposal opening date. J. If prior to the recordation of the Quitclaim Deed to the successful Bidder or his duly authorized agent, the successful Bidder fails to make any payment at the time due, or to perform any covenant or agreement when such performance is required under the terms of this resolution, then the District may, at its option, declare a cancellation and termination of the sale by written notice to the successful Bidder, and at the expiration of ten (10) days following the depositing of such notice by first class mail, postage prepaid and addressed to the successful Bidder at his address designated at the time his bid was submitted, the sale shall be ended and of no further effect. - 3 -

IN THE EVENT THE DISTRICT DECLARES A CANCELLATION AND TERMINATION OF THE SALE, PURSUANT TO PARAGRAPH "J", THEN THE DISTRICT SHALL RETAIN TEN THOUSAND DOLLARS ($10,000.00) OF THE DEPOSIT SUBMITTED WITH THE BID AS LIQUIDATED DAMAGES FOR SUCH FAILURE TO CARRY OUT THE SALE OF THE PROPERTY. F2012-25 DECLARATION OF SURPLUS REAL PROPERTY AND NOTICE OF INTENT TO SELL A PORTION OF DISTRICT OWNED REAL PROPERTY WHEREAS, the Riverside County Flood Control and Water Conservation District (District) is the owner of certain real property, consisting of approximately 48,657 square feet of land, located at the end of E Street in the City of Corona, County of Riverside, Assessor's Parcel Numbers 118-183-006, -022, -023, -024 and -047 (Property); and WHEREAS, the District hereby finds that this Property is no longer needed, nor will be needed in the future, for District purposes; and WHEREAS, following adoption of this resolution, the District will provide written offers to sell to other public agencies or housing sponsors pursuant to the California Surplus Lands Act (Government Code Section 54220 et seq); and WHEREAS, in the event that no public agencies or housing sponsors desire to accept the District's offer to sell, the District intends to consider proposals from the general public for the purchase of the Property on the terms and conditions set forth by this resolution; and WHEREAS, the District further finds that the sale of this Property offers the best economic return and reduces the District's real property maintenance responsibilities.
