We must have a quorum (26) to conduct the meeting. Voting on the election of directors and the earthquake insurance will be by secret ballot, in accordance with state law. SECRET BALLOT FOR 2014 Election Of Directors To Board Of Directors Five Directors are to be elected for a one-year term. Each condominium unit has a total of five votes. Per the Association's By-laws, the votes may be cumulative. For example, all five votes can be used for one of the nominees or you may spread your votes amongst the nominees. Please indicate your vote below by placing a number on the appropriate line(s). Ballots are invalid if the total number of votes exceeds five. Listed below are the nominees. See enclosed Nominee statements. Name: Debbie Austin (Incumbent) Kevin Fisher (Incumbent) James Fedalen Jim Stockwell Lou Yuster (Incumbent) Votes EARTHQUAKE INSURANCE CONTINUATION The proposed action is for the Association to continue earthquake and volcanic eruption insurance from its general liability carrier, State Farm Insurance. Because the Association budget does not presently contain a provision for earthquake insurance, if the Association does continue earthquake insurance, the cost would be added to your common area fees as a special assessment. The new premium for the earthquake policy will be $7,435 ($2,400 less than last year). If a majority of owners voting vote in favor of continuing the coverage, the premium will be paid for via a special assessment to the owners. The computation of the special assessment per unit will be determined using the percentages in Exhibit B of the CC&Rs for condominium buildings portion plus equal shares of the balance (for the office, the manager's unit, the garage and pool facilities). The special assessment for each type of unit is expected to be: two bedroom units - $122.98, two bedroom and loft units - $144.55, three bedroom units - $149.77 and three bedroom and loft units- $223.71. If passed, this special assessment will be billed October 1,2014. The Association's insurance agent at State Farm has indicated that the earthquake insurance coverage, if not renewed, will not be available next time the policy is renewed. Please note your approval or disapproval of the proposed action. In order for this action to be approved by the Association, a majority of Members voting must approve the proposed action. VOTING INSTRUCTIONS 1. You may vote by mail or bring your ballot to the annual meeting. 2. Vote by placing a mark on the appropriate lines. 3. Place ballot in small envelope labeled "Ballot Envelope". Seal this envelope. 4. Place Ballot Envelope in the green envelope addressed to "MEADOW RIDGE Election Inspector". SIGN YOUR NAME ON THE UPPER LEFT HAND CORNER OF THE ENVELOPE addressed to the inspector. 5. Mail the ballot to "MEADOW RIDGE Election Inspector" or bring your ballot to the annual meeting at 9:00 am at the Pool Area at Meadow Ridge on August 30, 2014. 6. To be counted, your ballot must be received by the MEADOW RIDGE Election Inspector no later than the call for the close of elections at the annual meeting on August 30,2014. 7. Once a ballot is received by the Election Inspector, it shall be irrevocable.

NOMINEE STATEMENTS Debbie Austin (Incumbent) Unit 15: I am running for a position on your Board of Directors for 2014-2015. It has been my great pleasure to serve on the Board this year. As a homeowner, prior to being elected to the Board, I attended HOA meetings for three years, to familiarize myself with the operational activities of the Board and to bring forward issues that I felt represented homeowners and their guests. As a Board member I have continued to do so. This past year I served as Secretary and was responsible for coordinating the meeting agendas and recording the minutes, and as well as having an equal voice as one of your five elected directors. The year presented many challenges but I believe this next year will incorporate some exciting changes. My goal last year was to make Meadow Ridge a more welcome place for our owners as well as their guests, and I think we made much progress. I was instrumental in getting the parking rules relaxed so that owners and their personal guests need not worry about parking fees, when parking is readily available. I also led the development of a remodeling process for homeowners, who wish to enhance their decks or add a mudroom (process posted on HOA website). I also proposed and researched new pool furniture and am delighted to report that this summer, we will have new furniture including a table and chairs at pool side, as requested by homeowners. My 30 years of experience as a human resources consultant, and past service on multiple Boards has served me well. This coming year I would like to continue to review our rules and regulations to see what makes good sense for our association. I would also like to work toward making our HOA meetings more accessible to homeowners in terms of both meeting place and time. My main goal, however, is to keep costs down for all owners, and as my husband and I spend time each month in Mammoth, keep my eye on the operation of our beautiful complex. Our Board is pleased to have been able to keep HOA dues the same as last year. Also, no assessments were required this past year, a picture quite different, than the challenges we faced when this Board took office in September, 2013. While much was helped by low snow removal costs, it was also the work of an excellent Board management team. In July, Meadow Ridge will have new onsite management. The announcement of this change concerned many homeowners. My goal for Meadow Ridge is to have the best, most productive onsite management in place, a team who will do everything it can to make our complex a welcoming experience for owners and their guests; to work productively each day, immediately respond to the needs of owners and guests, and work with our vendors to keep our costs down. I ask for your vote so that I may supervise a seamless transition to new management, and continue oversight of our onsite managers. Thank you for considering me.

Kevin Fisher (Incumbent) Unit 26: My name is Kevin Fisher and I am a practicing attorney in Los Angeles. I have served on the Meadow Ridge board for several years and I have been an owner in Meadow Ridge for over 9 years. My family and I love Mammoth and we have been very happy to call Meadow Ridge home when we are there. During my tenure on the board I have worked with other board members to insure that Meadow Ridge stays beautiful and enjoyable for both owners and guests while remaining cost conscious about HOA dues. I believe that Meadow Ridge has a lot to offer and I will work hard as a continuing board member towards effective, responsible management of the property and its facilities so that it will continue to be a truly special place. James Fedalen, Unit 34: An attorney with 35 years business and real estate experience including substantial experience with homeowner associations. Spending more and more time in the mountains and at Meadow Ridge. Enjoys all seasons. Wants to see Meadow Ridge continue to be a well-run association. Jim Stockwell, Unit 35: I am an original Meadow Ridge homeowner and served on previous Boards for many years. I designed the meadowridgehoa.com website and have maintained it for the past 7 years. I would like to join the new Board in working towards the continued success of our beautiful project. Lou Yuster (Incumbent) Unit 40: This year the Board had to make some very difficult decisions. We already know they will be beneficial to our complex and all our homeowners. Meadow Ridge is moving forward in the very capable hands of our new manager, Shane Flanagan. Many of you have already seen evidence of what a great job he is doing. Due to the water shortage in Mammoth, it is our responsibility to reduce our water use, by at least 20%...Shane and I are working on this issue, and have already made several changes to comply: such as reduced mowing, water less on the periphery, and we plan to place more drought resistant plants next spring. Our water use is already significantly less. (I will be giving a complete update, and plan, at the Labor Day Annual Meeting). Shana and I are onsite, almost all summer, and about half time the rest of the year. This gives me the opportunity to be sure that all is progressing, and that our property is being well maintained. I am always available to discuss any concerns or issues you might have. I would like to continue on the Board, and have the opportunity to help all of us retain the beauty of Meadow Ridge, while remaining fiscally prudent. I appreciate your previous trust, and request your continued support.
