Appendix IV Proposed Terms General Requirements 1. The Falcon Business Centre is an important economic development facility within Oldham, it provides much needed business space for small businesses. In 1994 and 1995 the centre was refurbished to provide managed workspace and offices using grant funding. However, due to the severe financial pressure on the Council, it has not been possible to commit further investment and management. 2. Accordingly, the Council is now seeking an organisation to invest in and manage the Business Centre and exploit its potential. 3. This organisation will: Be selected on the basis of their experience, proposals for the Centre and financial offer Have experience of managing multi-occupied facilities such as this Be required to provide proof of funding to the Council and will have the financial resources to invest in the facility Prepare a Business Plan setting out their proposals for the Centre, including capital investment, marketing, tenant management, etc. Submit proposed heads of terms, addressing: o Lease Term o Premium o Annual rent o Rent review frequency and basis of rent review o Repairs o Insurance o Alienation o Termination provisions o o Informal Tender Evaluation Landlord obligations Council costs - The successful tenderer will pay a contribution to the Council s legal and surveyor s fees of 15,000 (fifteen thousand pounds). 1. Appendix V Guidance Notes for completing Form of Tender These explanatory notes are intended to accompany the Form of Tender and set out the prescribed form for completion. Any submissions which do not comply with the instructions within this document may be considered to be non-compliant and therefore may not be assessed. Tenderer Tenderers must insert the name, address and contact details of the proposed organisation that will take the lease. Submission Tenderers are required within their Submission to respond to those issues detailed in Form of tender, specifically: a. Details of their experience - The Council is seeking to ensure that a lease for the Falcon Business Centre is granted to an organisation that has the capability and expertise to ensure a viable future. The Council s evaluation of tenders will be weighted accordingly. b. Proposed Lease Terms Tenderers are invited to submit lease terms that are appropriate having regard to the proposal for the business centre. As a minimum tenderers should address those issues in Appendix IV of these marketing particulars. c. A Business Plan that addresses their proposal for the business centre, including capital investment, marketing, tenant management, staffing, etc. d. Financial Contribution - Tenderers are invited to submit a financial offer that is appropriate having regard to their proposal for the business centre, this can be by way of rent and/or a premium in GBP ( ). e. Proof of Funding The Council requires that proof of funding is attached to all submissions. This may be in the form of an accountants or bankers letter. The Council s evaluation of tenders will be weighted as detailed in Appendix IV. 3. Conditions of Purchase Tenderers must list any conditions they wish to attach to the offer. If these conditions are likely to have an impact on their proposal, indicative budget costs should be placed against these conditions. 4. Solicitors Details Tenderers must provide the name of the legal practice acting on their behalf, along with a representatives contact details. This contact should be aware that the tenderer has submitted a tender. If solicitors are contacted and have not received instruction, the submission may be declared invalid.
