Overview The Caddo Parish School Board is issuing a REQUEST FOR PROPOSAL (RFP) for a person and/or firm to provide real estate brokerage services for the sale of CPSB properties; specifically, the building formerly known as Alexander Learning Center, 1545 Coty Street, Shreveport, LA, Lots 31 Thru 48, Block, 2, OPO subdivision, 171306-19-31 Thru 48 and a tract adjoining same, per city plat 171306-19-51 Imps AND M. J. Moore, 6660 Quilen Road, Shreveport, LA 71108 Lots Twenty (20) to Thirty Seven (37) both inclusive, Block Q of Sunset Acres Subdivision, as per plat recorded in Conveyance Book 300, Page 494 of the Records of Caddo Parish, Louisiana, said lots containing 18.36 acres. in Caddo Parish, Louisiana. The successful applicant must be licensed in the State of Louisiana as a commercial real estate agent/firm with a proven record in commercial property sales. Responsive applicants meeting these basic requirements will have their information reviewed by designated staff at the Caddo Parish School Board. PURPOSE The Caddo Parish School Board (CPSB) is actively managing its properties in an effort to comply with the directives from its Strategic Plan. This management includes right-sizing the district, which includes the selling of property that is vacant and of no further benefit to the district. Contact the Purchasing office at SCOPE OF WORK The Caddo Parish School Board is looking for a commercial real estate agent/firm, licensed in the State of Louisiana, to act as an intermediary between itself and potential buyers. Responsibilities include, but are not limited to, promoting, listing, showing and otherwise facilitating the sale of the specified property within six (6) months of contracting with the CPSB. TERMS & CONDITIONS: LISTING AGREEMENT The Agreement will be between PROPOSER OF THE SUCCESSFUL SUBMISSION, (hereinafter referred to as Broker ) and the CADDO PARISH SCHOOL BOARD, (hereinafter referred to as Owner ) for PROPERTIES AS ASCRIBED ABOVE. For and in consideration of the services to be performed by Broker, Owner shall said Broker as its sole and exclusive Broker to sell the above described property for the authorized price acceptable to Owner. 2. The listing shall be for a six (6) month period commencing on the date of the owner s approval and signature of an Agreement. Owner shall retain the right to cancel the contract at any time for any 4

reason prior to the sale of the subject property without any further obligation to Broker under the Agreement, including but not limited to the payment of the commission in the event Owner sells the property after the date of termination or cancellation except as provided herein. 3. Owner agrees to pay selected Broker a sales commission in the amount of five percent (5%) of the total sales price of the property for the compensation of said Broker hereunder in the event of a sale. This commission shall be earned and paid in full at the same time the sale is closed and title passed from Owner to Buyer. In the event the subject property is sold by Owner within one hundred eighty (180) days of the termination, cancellation or expiration of the Agreement to any person to whom said property was submitted by Broker prior to the termination, cancellation or expiration of the Agreement and provided Owner had knowledge of such submission and said Broker had notified Owner in writing within five (5) business days of the termination date of the Agreement, the commission at the rate specified in the Agreement shall be due and payable to Broker by Owner at the same time the sale is closed and title passed from Owner to Buyer, but only in the event that the Broker provides to owner sufficient facts to show that the Broker submitted the property to the prospective buyer that led to an uninterrupted series of events resulting in the sale of the property. In no event shall Broker s limited right to a commission after expiration, termination or cancellation of the Agreement be considered an extension or renewal of the Agreement. Notwithstanding the above, in the event that the subject property is sold to a prospective buyer by or through another licensed Broker with whom Owner has signed an exclusive right to sell contract, and if a commission dispute arises between Broker and another real estate broker or agent, Broker will pursue its claim to a commission via established Northwest Louisiana Association of REALTORS bylaws and policies and procedures as well as Louisiana Real Estate Commission existing laws and rules. Owner shall not be obligated to pay commission or fees above the total amount agreed upon herein without regard to the dispute between licensed Brokers and/or Agents. 4. In the event any deposit is made by a prospective buyer and it is forfeited under the terms of any sales agreement, Broker shall pay to Owner the full amount of the forfeited deposit. 5. In marketing Owner s property, Broker may procure or attempt to procure a purchaser through buyer s agents in accordance with the Agreement, and in the event of a sale made through buyer s agents, all the terms of the Agreement, including the commission agreement of Paragraph 3, shall apply. In no event shall the Agreement obligate Owner to payment of any compensation in excess of the five percent (5%) sales commission provided for in Paragraph 3. 6. Owner acknowledges the obligation to sell this property if the agreed price and terms are met by a party ready, willing and able to buy. Owner retains the absolute control over the process of negotiation and consummating or not consummating the closing. Owner shall be free to accept or reject any terms, or conditions of the contract, and to close or not to close the sale of the subject property. 5

7. Owner shall disclose to Broker and to any and all prospects through Broker or otherwise, any and all information of which Owner is knowledgeable regarding any material defects in the physical condition of the property, and any improvements located thereon, including but not limited to the presence and location of hazardous contaminated substances and underground storage tanks, in, on, or about the property. 8. Owner warrants that there are no known defects in Title to the property, or any disputes affecting the same, except as follows: 9. Agency Disclosure: Broker shall designate its choice as the Owner s Designated Agent, the only legal agent of the Owner. Owner is advised that all potential purchasers will be represented by the Designated Agent with whom they are working, regardless of their brokerage affiliation. Owner is advised to refrain from discussing the terms upon which Owner might sell with anyone other than the Designated Agent. Broker reserves the right to name additional Designated Agents when, in Brokers discretion, it is necessary. Owner recognizes that the Designated Agent will attempt to interest purchaser clients in the property, and that this will, with subsequent written consent of purchaser clients and Owner, constitute Disclosed Dual Agency. 10. It is the policy of Broker to work with buyers in an effort to market Owner s property. Owner authorizes licensees of Broker in matters regarding Louisiana Real Estate Commission Agency Disclosure, to sign on Owner s behalf as Owner s representative, any disclosure forms presented to Broker by outside agents representing clients/prospects, for the purposes of informing Listing Broker and Owner/Seller whom they represent; and Broker s Designated Agent as Owner s representative shall maintain all said forms on file in their offices, copies of which shall be provided to Owner upon execution. 11. It is understood by Owner that Broker is authorized to (a) advertise the property in newspapers, or by other printed means and on electronic advertising networks, such as the Internet: Yes; (b) place signs on the property: Yes; (C) place a lockbox (key safe) on the property; No. Owner hereby releases and holds Broker, and its agents and employees, harmless from any responsibility or liability in connection with the foregoing activities, unless resulting from the negligence and/or fault of the Broker and/or Designated Agent, their agents and employees. Owner agrees to hold Broker and/or Designated Agent harmless for any losses resulting from personal injury on the property other than those caused by the negligence or intentional wrongdoing of the Broker and/or Designated Agent. Broker and/or Designated Agent agree to release, hold harmless and indemnify Owner for any claims resulting from Broker and/or Designated Agent actions beyond their scope of authority in the Agreement, and any claims resulting from the negligence and/or fault of the Broker and/or Designated Agent, their agents and employees. 12. This listing will be filed with a commercial listing service, to be referred to its members, so that such members may procure or attempt to procure a purchaser for the property. 6

13. Owner agrees to direct all inquiries regarding said property to Broker via Designated Agent and immediately advise Broker via Designated Agent of such inquires. The rights and obligation of the parties hereto shall extend to their respective heirs and assigns. The Agreement, and any parts of the Agreement, shall not be assigned without mutual written consent of the parties. Listing Agreement and Receipt of Copy of this listing is hereby acknowledged, and all terms stated are hereby agreed upon: PROPOSAL CONTENT Provide an overall description of the history, size, structure and capacity of you and/or your firm. Describe you or your firm s experience during the last two years providing marketing services for commercial buildings of like size and type. Specify the types of services provided and provide a list of clients the District may use as references. Identify key individuals who would support this offering, and describe relevant degrees, certifications, or experience. Identify the resources that will be dedicated to the implementation of this campaign. Discuss your or your firm s ability to provide the described services and why you or your firm is qualified to act as a Real Estate Broker. DOCUMENTATION OF RESPONSES Respondents to this request will be recorded in the presence of one or more witnesses. Your or your firm name and address, RFP number, opening date and time, and RFP title should be shown on the outside of the envelope/container. The CPSB assumes no responsibility for unmarked envelopes/containers being considered for an award. Qualification statements received after the time specified will be recorded and then returned unopened. SUBMISSION REQUIREMENTS To achieve a uniform review process and allow for adequate comparability, responses to this request must be bound or contained in a three ring binder, organized in the manner specified below and tabbed as indicated: Tab A Letter of Introduction Tab B - Statement of the submitter s understanding of the work to be done and make a positive commitment to perform the work and meet submittal deadline requirements. Tab C - Provide information on similar work that you have performed. Please include a reference contact name, phone number, and email address for each organization presented. Please provide a list of current contracts to include size, scope, and percent completion. Tab D Copies of applicable occupational and professional licenses and/or certifications. SUBMISSION OF PROPOSAL: Proposals may be mailed to Caddo Parish School Board, Purchasing Department, P.O. Box 32000, Shreveport, LA 71103 or hand delivered to 1961 Midway Street, Shreveport, LA 71108 OR submitted electronically on www.bidexpress.com. All proposals must be received no later the 10:30 a.m. on THURSDAY, JULY 19, 2018 Any proposals received after that time will not be accepted under any circumstance, regardless of the reason. Hard-copy submissions must be accompanied by one CDR or flash drive with a digital version of submittal in pdf format. SELECTION PROCESS AND METHOD OF AWARD Selection Criteria In reviewing potential service providers, the District will consider at least the following, not necessarily in order of priority: Cost of Service (Percentage) Demonstrated competence, expertise, and ability. Demonstrated success in identifying measures that promote and support a successful competitive bid process. Demonstrated expertise in campaign development. Reputation for services. Qualifications of individuals assigned to provide listed services. Track record of successful ventures. 9

CONFLICT OF INTEREST A conflict of interest exists wherever an individual could benefit directly or indirectly from access to information or from a decision over which they may have influence and also includes a perceived conflict where someone might reasonably perceive there to be such benefit and influence. A conflict of interest occurs when a staff member or consultant attempts to promote a private or personal interest that results in an interference with the objective exercise of their job responsibilities, or gains any advantage by virtue of his/her position. Conflicts of interest may be real, potential or perceived. Any conflict of interest should be clearly and explicitly noted in any proposal submission. In accordance with CPSB policy DFL, no member or immediate family, as defined in R.S. 42:1102, of the school board or legislature shall perform the services of appraiser or real estate broker for this venture. DEBARMENT CLAUSE: Before submitting the Request for Qualifications, please read the following information: The prospective lower tier participant certifies, by submission of his bid, that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction by any Federal or State Department or agency. Where the Prospective participant is unable to certify any of the statements in this document, such prospective participant shall attach an explanation to this bid response. 10
