MODE OF SUBMISSION OF TENDER The tenderers are requested to submit their offer in the following manner: 1. Envelope marked Number 1- super-scribed Tender for Sale of BPCL owned Housing Complex, 17 nos. flats at Municipal no. 18/163, B/1, Vibhav Nagar, Agra, U.P. : Techno-Commercial Bid and shall contain the Tender Forms Techno-Commercial Bid along with the tender document duly signed on every pages by the authorized signatory with a covering letter in the prescribed format, along with requisite EMD. 2. Envelope marked Number 2- super-scribed Tender for Sale of BPCL owned Housing Complex, 17 nos. flats at Municipal no. 18/163, B/1, Vibhav Nagar, Agra, U.P. : Price Bid and shall contain the Tender Form Price Bid duly signed by the authorized signatory with a covering letter in the prescribed format. 3. Envelope marked number 1 & 2 shall be put in a large envelope of adequate size. INSTRUCTIONS FOR FILLING / SUBMITTING TENDERS 1. Sealed item rate tenders are hereby invited for Sale of BPCL owned Housing Complex, 17 nos. flats at Municipal no. 18/163, B/1, Vibhav Nagar, Agra, U.P. The bidder shall submit his/ her offer as detailed in the Mode of Submission of Tender as detailed on page no. 3. 2. Tenders shall be submitted in sealed cover to Manager (Admin Facilities) HRS North, Bharat Petroleum Corporation Limited, 5 th Floor (Admin Dept.), Plot no. A - 5 & 6, Sector -1, Udyog Marg, Noida 201301, upto 3.00 p.m. on 27-01-2011 in their office. Late Tenders shall be summarily rejected. 3. Techno-commercial bids shall be opened in the presence of bidders on 27-01-2011 at 4.00 p.m. The date of opening of price bids shall be intimated to the short listed bidders at a later date. 4. The tenderer should study the tender documents carefully and understand the conditions, specifications etc. before quoting. If there are any doubts, he should obtain clarifications, but this shall not be a justification for late submission or extension of opening date/time of the tender. Tender should be strictly in accordance with specifications and tender documents. 5. The tender should be submitted in the prescribed tender schedule format as detailed in this tender document. 6. The tenderer should quote for all items in the tender schedule. The rates should be expressed both in figures and in words, where discrepancy exists between the two; the rates expressed in words will prevail. Similarly, if there is any discrepancy between the unit rate and the amount, the unit rate will prevail. 7. All Tenders and subsequent communications relating thereto, if any, should be submitted in cover (sealed) boldly super scribed on the outer cover, Tender Number, Closing Date and Time and sent by Registered Post or Courier so as to reach the concerned authority as laid out in the tender form before the closing date and time or dropped in the tender box kept in the concerned authority's office before closing date & time with the permission of the concerned authority. 8. The rate should be quoted in the same units as mentioned in tender schedule. 9. All entries in the Tender Documents should be in ink/typed. Corrections, if any, made while filling the Tender, must be attested by dated initials of the tenderer. Over writing of figures shall 4
not be permitted. Every page of the Tender Document shall be signed by the Tenderer or his authorized signatory at the end of last entry thereon. 10. The quoted rates shall be valid for a period of at least 180 days from the date of opening of the tender. 11. Canvassing in connection with Tenders submitted by the Tenderers who resort to canvassing shall be liable to rejection. 12. Tenders containing additional conditions are liable to be rejected. 13. Tenders which do not fulfill all or any of the Conditions or are incomplete in any respect are liable to be rejected. 14. Techno-Commercial Bid should contain EMD of Rs.14,00,000/- (Rupees Fourteen Lakhs Only) in the form of Demand Draft drawn on any Nationalized Bank/reputed Bank in favour of Bharat Petroleum Corporation Limited payable at Noida. Offers submitted without EMD in the techno-commercial bid envelope is liable to be rejected. No interest shall be payable for the EMD amount held by us 15. EMD will be refunded to the unsuccessful bidders without interest within 180 days from the last date for the submission of the tender. In case of any undue delay in the refund of EMD amount due to unforeseen reasons at BPCL end or due to any postal/courier delays, BPCL is not liable for any claims of interest or any disputes arising out of this. 16. EMD of the successful bidder will be retained till the acceptance of offer and or may be adjusted against total payment. 17. Conditional tenders, tenders received late or tenders not conforming to the Terms and Conditions prescribed in the Tender Documents will be rejected. BPCL reserves the right to reject any or all tenders without assigning any reason whatsoever and / or to carry out technocommercial discussions before opening the price bid / negotiation after opening the price bid with the tenders in the manner considered suitable by BPCL. 18. Tenderer may have to attend the concerned office of BPCL for negotiations / clarifications required by them in respect of their quotations without any commitment on the part of BPCL. In case of negotiations, the Tenderer should send the confirmation of such negotiations so as to reach BPCL within 3 working days from the date of negotiations, failing which BPCL reserves the right to ignore the quotation. 19. When the Party signing the Tender is not the sole Proprietor, the necessary Power of Attorney authorizing the party to act on behalf of the Proprietor or the Organisation should be produced before signing the Agreement. 5
20. Tenderer should specially note the following : i. Rates quoted by the Tenderer shall be valid for a period of Six months from the date of opening the tender. ii. The Price Bid shall be unconditional. The conditional tender shall be rejected. iii. On completion of the technical evaluation, the commercial bids of only those bidders whose bids are technically acceptable will be opened. The commercial bids will be opened in the presence of the bidders whose bids have been technically accepted. The technically qualified bidders shall be informed in advance the date/time of opening commercial bids. Bidders or their duly authorised representatives shall be allowed to participate in the tender opening after submission of appropriate documents in support of their identity. TENDER TERMS AND CONDITIONS 1. The purchaser shall confirm that all the statements made by them and documents enclosed are true to the best of their knowledge. 2. The Transfer Fees or any other charges or contributions or outgo and all other expenses demanded by and / or payable for transfer of the above mentioned premises to Society or to any entity / authorities etc. in by either parties shall be borne by the purchaser. 3. The stamp- duty (and registration charges, if any) payable on the Instrument of Transfer / Transfer Deed / Deed of conveyance and on all other documents shall be borne by the purchaser. 4. The drafts of all documentation that may be finalized by and between BPCL and the purchaser shall be final and binding on the purchaser. 5. The successful bidder is required to pay initially 10% of their bid price within 20 days from the date of acceptance of their offer in writing. Remaining / balance payment (after adjusting EMD & aforesaid initial payments) is to be paid at the time of signing the sale deed which shall not be in any circumstances later than 60 days from the date of acceptance of their offer in writing. All above payments are to be made by Demand Draft in favour of Bharat Petroleum Corporation Limited payable at Noida. No other instrument of payment is admissible. 6. In case successful bidder/purchaser fails to pay initial payment as stated above within aforesaid period, the EMD shall stand forfeited and the contract/bid shall stand terminated. Neither party shall have any claim against the other of any sort or nature whatsoever. 7. In case successful bidder/purchaser for whatever reason fails to pay balance consideration or defaults in completing the transaction of signing & registration of sale deed within 6
"aforesaid period, the EMD & initial payment (10% of bid price) shall stand forfeited and the contract/bid shall stand terminated. Neither party shall have any claim against the other of any sort or nature whatsoever. 8. In all disputes and / or differences arising out of or relating to or concerning this offer and the contract, if any, between the purchaser and BPCL concerning and / or relating thereto and / or relating to the above mentioned premises, the Civil Courts of Mumbai shall have exclusive jurisdiction. 9. All charges/taxes to local authority shall be payable by Purchaser from the date of signing of the sale deed and onwards. 10. Successful bidder shall co-operate with BPCL and will sign all forms / applications for the sale and transfer of property by BPCL. 11. The advertisement released in this context will form part of the Contract. 12. Genuine interested parties shall quote Lumpsum amount for entire property including all 17 nos. flats, along with facilities such as DG Set, Water Treatment Plant, Children Playground, Bore wells and Pumps etc. 13.
