Vendor Terms and Conditions For City of Revere Fall Festival Saturday, September 23 rd 2017 This Vendor Agreement is between ( Vendor ) and the City of Revere for the vendor to take part in the Fall Festival on Broadway. Section 1. Grant of Space Upon acceptance of the Vendor application, signed contract and receipt of payment, City of Revere will grant Vendor the right to use a designated area within the festival on Saturday, September 23rd from 9:00am Noon (set up) and 1:00pm 5:00pm (festival). The festival will take place on Broadway in Revere between the corner of Park Ave. and Broadway and Beach St. and Broadway. A site map will be provided upon request. Please note that food trucks will be designated to a specific area across from the American Legion Building around the area of 250 Broadway Revere, MA. Food trucks are to arrive on time as coordinated by truck management and the festival coordinator. Trucks will be provided with needed space with the condition that trucks leave no less than 8 of space between themselves and other food trucks. Section 2. Laws and Permits a. Vendor must comply with all relevant local, state and federal laws. Vendors are responsible for collecting and paying any applicable sales and meals taxes. b. Vendor is responsible for obtaining and paying for any and all permits and taxes that are required for its operation, including state sales tax. c. Vendors are responsible for obtaining any applicable permits and licenses. Permit fees are an additional cost paid directly to the City of Revere. To obtain permit, please contact Nick Catinazzo, Public Health Director for the City of Revere. He may be reached at (781) 286-8176. d. A fuel storage permit is required for all diesel or propane generators not fueled directly from a vehicle fuel tank. e. An opening burning/cooking permit shall be required for any vendor providing these services. f. In addition to health department permits, all food and beverage vendors including food trucks must contact the Revere Fire Department s Deputy Chief, Paul Cheever, to apply and pay for their permits ($25 fee) as well as set up an inspection of their truck. Inspections may take place the day of the festival; however, vendors will do so at their own risk. We strongly recommend trucks call to set up an inspection prior to the event. Section 3. Use of Space; Vendor Conduct a. Vendor s use of the Space is non-transferable. Vendor may not allow anyone else to use the Space without the express written permission of festival organizers. b. The City of Revere or the festival itself offers no guarantees or warranties of any kind. The fall festival occurs rain or shine. No refunds or rain checks will be given. There will be no refunds whatsoever if any unforeseen acts of God, terrorism, or war result in the cancellation of the event. No refunds if vendor does not meet the City of Revere Special Event Food Licensing requirements or fails to pass their fire inspection. c. Vendor must keep its truck and all merchandise within the allotted boundaries of the Space. Space will be assigned. Failure to remain in space will result in vendor being asked to pack up and leave the event. d. No amplified music is allowed within vendor space. e. Vendors must be set up and ready for operation by Noon the day of the festival and must vacate Broadway space by one hour after the official closing time of the fall festival. Once truck is in place, it will not be allowed to leave for any reason, unless there is an emergency and has been given permission from event organizers or Revere Police. f. No outside vehicles besides the food trucks are permitted on Broadway after 9:00am or before 6:00pm unless authorized by event Director or the Mayor s Office. Merchandise or supplies must be transported by hand or on a small cart. Each vendor is responsible for his/her parking arrangements unless notified otherwise. g. Vendor must remove their own trash and grease from the space and dispose of trash in containers provided by the City of Revere. Vendors must leave the Space trash-free and in the same condition as when provided. Vendor will be charged $150 penalty for any debris or trash left on site with photographic evidence. h. Vendor must wait until any hot coals are cool to the touch prior to dumping in trash. Dumping hot coals in trash is a safety hazard and will result in a $1000 fine. i. Vendors shall not sell, distribute, or consume any alcoholic beverages at the festival during the entire period of the festival. Failure to comply will result in the forthwith and automatic closure of the vendor s space. j. Vendor shall be subject to unannounced inspections. Failure to comply will result in temporary closure of booth until compliance. Non-compliance will result in automatic forfeiture of all fees and deposits to the City of Revere. k. Vendor shall be subject to and shall comply with all of the vendor rules and regulations of the City of Revere Department of Health, including complying with all regulations applicable to temporary food establishment. If propane is used, fire extinguishers must be present to code. l. The number of vehicles and loading schedules will be determined by event organizers. m. Set up and Breakdown Procedures will be coordinated by the City of Revere and event organizers. 3

n. Smoking of any type, including cigars and cigar rolling, is not permitted at the food vending area. o. Gasoline generators will be allowed at the festival although some restrictions may apply. Please contact event organizers or Revere Fire Deputy Chief Paul Cheever for details. Diesel fuel generators are encouraged as an alternative option to gasoline but will be required to have with yellow metal refill cans only. Limited to no more than 10 gallons on site. p. Other than food trucks, propane use shall be limited to 200 lbs on site during operation. Tanks not currently in operation shall be stored offsite. (This is for the smaller propane cylinders.) Larger cylinders can be accepted subject to Fire Department approval. q. Tents above and adjacent to cooking areas shall be flame resistant A certificate or proof of approval by a UL testing laboratory shall be submitted before use. The certificate shall have the following information: a. Name and address of the owner of the tent b. Date the fabric was last treated c. Trade name or kind of chemical used to treat d. Name of person or firm who conducted the treatment e. Name of testing agency and testing standard. r. Aisle spacing behind and between street vendors shall be maintained as outlined on the master plan. Vendors who extend upon the lease/permit limits of their area will be required to comply with the limits immediately. Upon second offence, the vendor will be asked to leave the festival immediately with the assist of the Revere Police. s. This event has placed restrictions on deep fryers. Deep fryers without hoods will not be allowed. Deep fryers must have a matt placed underneath. t. Vendors must present an action plan on how to dispose of grease. This action plan is to be shared with event organizers and health and fire departments if necessary. Section 4. Advertising Any Vendor wishing to advertise must do so at its own expense. Any advertising must be approved by the City of Revere or event organizers prior to publication. Section 5. Indemnification and Release Vendor will release and will hold harmless event organizers and volunteers and the City of Revere from any and all claims arising from any injuries, losses or damages (whether to person or property) caused by Vendor, Vendor s merchandise, or Vendor s participation in the fall street festival. Vendor agrees to indemnify event organizers and volunteers and the City of Revere from any and all expense arising because of any such claim. Section 6. Causes for Denial of Selling Privileges; Disciplinary Action a. Any Vendor who seeks to evade, or refuses to make payment of, the proper rental fees will be denied selling privileges. 4

b. Use of racial or ethnic slurs, profanities, derogatory language and other inappropriate behavior will not be tolerated within the festival and will be cause for denial of selling privileges. c. If the City of Revere learns of written or verbal complaints against a Vendor showing reasonably conclusive evidence that the Vendor has practiced deception by either: (i) displaying or selling merchandise packaged to misrepresent the quality or condition of such merchandise, or (ii) giving false information regarding the origin, variety, quality, condition or value of the merchandise, the City of Revere may revoke this contract or take other appropriate action. d. The City of Revere may take appropriate action against any Vendor who fails to comply with relevant laws (federal, state and local), this Vendor Contract, or other rules established by the City of Revere. Such actions may include, but are not limited to, revocation of this contract, permanent denial of selling privileges, or other relief deemed necessary by City of Revere. The city or event organizers may impose additional rules and regulations, as the city or event organizers deems necessary. Event organizers will notify Vendor of these additional rules. Section 7: Insurance a. All Vendors are required to submit to the City of Revere Certificates of Insurance naming the City of Revere as Additional Insured and evidencing the following types of insurance and coverage limits. b. General Liability Certificate: $1,000,000 General Aggregate limit, $1,000,000 per Occurrence and Products-completed operations limit. c. Auto Insurance: $1,000,000 Combined Single Limit Each Accident. d. Workers Compensation Coverage: $100,000 each accident, each employee and $500,000 policy limits. e. All Vendors Business Name or d.b.a. name must be shown on the certificate. Section 8: Hold Harmless Agreement Through submission of application materials and Vendor s signing of this Agreement, Vendor agrees to hold the City of Revere, its personnel, event organizers, and volunteers, harmless for any and all losses, expenses, demands and claims against the Fall Festival and or City of Revere, sustained or alleged Section 9: Additional Information a. Should an emergency occur that would require fire or emergency personnel to pass through the festival, all vendors assigned space in the north bound lane or odd side of Broadway will be required to move to make way for emergency vehicles. 5
