AREA OVERVIEW Please Email Colliers International Principal Confidentiality Agreement Colliers International ( Sales Agent ), has available for study certain information ( Evaluation Materials ) regarding 12335 S 248 th Avenue, Plainfield, IL 60544 Property ) and its Owner ( Owner ). We are prepared to furnish the Evaluation Materials to you in connection with discussions concerning your possible investment in the Property only on the condition that you agree to treat the Evaluation Materials confidentially and agree specifically as follows: 1. The Evaluation materials furnished to you will not be used for any purpose other than to evaluate a possible investment in the Property by you as a Principal exclusively for your own account; 2. You will not make any of the Evaluation Materials available, or disclose or distribute, either orally or in writing, any of the contents of the Evaluation Materials, to any person other than your counsel, analyst(s), equity partner(s), or potential lender(s) (hereinafter Excluded Persons ); 3. You agree at Seller/Agent s request to execute a certification confirming that all Evaluation Materials have either been returned and/or destroyed; 7. You acknowledge that you have not dealt with any broker other than Colliers International concerning investment in the Property; 8. You understand and acknowledge that any disclosure or misappropriation of any of the Evaluation Material in violation of this Agreement may cause Owner irreparable harm, the amount of which may be difficult to ascertain, and therefore agrees that Owner shall have the right to apply to a court of competent jurisdiction for specific performance and/or an order restraining and enjoining any such further disclosure or breach and for such other relief as Owner shall deem appropriate. Such right of Owner is to be in addition to the remedies otherwise available to Owner at law or in equity; 9. This Agreement shall continue in full force and effect at all times; 10. This Agreement and each party s obligations hereunder shall be binding on the representatives, assigns, and successors of such party and shall inure to the benefit of the assigns and successors of such party; provided, however, that the rights and obligations of Recipient hereunder are not assignable; 11. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. The parties hereby irrevocably consent to the jurisdiction of the federal, state and county courts located in Chicago, IL., Cook County; or county courts of Cook County or, in any action arising out of or relating to this Agreement, and waive any other venue to which either party might be entitled by domicile or otherwise; 12. If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing party in such action shall be awarded its attorneys fees and costs incurred; 13. This Agreement expresses the full and complete understanding of the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous proposals, agreements, representations and understandings, whether written or oral, with respect to the subject matter. This Agreement may not be amended or modified except in writing signed by each of the parties to the Agreement; 14. All notices required or permitted hereunder shall be in writing, and shall be deemed delivered: (a) when hand delivered, (b) when sent by prepaid express or courier delivery service, (c) when send by facsimile transmission actually received by the receiving equipment, or (d) three days after deposit in the US Mail, certified, postage prepaid, return receipt requested, in each case address set forth below the respective signatures below, or to such other address as shall be designated by notice duly given;
AREA OVERVIEW 15. Each person signing below on behalf of a party represents that they have the authority to execute on behalf, and therefore bind, such party; 16. This Agreement may be executed in any number of counterparts, each of which shall be identical and all of which, taken together, shall constitute one and the same instrument. This Agreement may be executed by electronic signature or facsimile transmission and each party to this Agreement agrees that it will be bound by its own electronic or facsimile signature and that it accepts the electronic or facsimile signature of each other party to this Agreement as fully binding as if original signatures were affixed to the Agreement; and 17. The parties agree and understand that no contract or letter agreement providing for or with respect to the entering into or consummation of the sale of the Property or any other transaction will be deemed to exist between the parties or their affiliates by virtue of this Agreement unless and until a definitive agreement has been executed and delivered with respect thereto. The parties agree that unless and until a definitive agreement has been executed and delivered, neither party will have any legal obligation of any kind whatsoever with respect to the Project or other transaction or otherwise by virtue of this Agreement, except for matters expressly stated herein.
