1 Expression of Interest EXPRESSION OF INTEREST FOR THE ACQUISITION OF THE FORMER SWAN DISTRICT HOSPITAL SITE LAND ASSET SALES PROGRAM The Department of Lands is leading the Government s Land Asset Sales Program, an orderly coordinated program for the disposal of surplus land assets. The Western Australia Land Authority (LandCorp) acts as Project Manager on behalf of the State Government who adds value to the assets by de-constraining the sites and preparing them ready for sale. 2 The Property 2.1 Former Swan District Hospital Site History Swan District Hospital was a 193 bed general hospital with outpatient services under the auspice of the Western Australian Department of Health. The catchment area of the hospital covers the eastern section of the Perth metropolitan area. There had been calls for a government hospital in Midland since the early twentieth century. Deputations to the Minister were made in 1934, 1944, and 1946 before the request received support in 1948. In 1950 the Minister for Health, Dame Florence Cardell Oliver, approved the acquisition of Spring Hill Estate, the site of the current hospital. The existing Spring Hill Estate residence (circa 1904) was considered for reuse as a Maternity Hospital, but it was assessed to be unsatisfactory for the proposed use. The Public Works Department Principal Architect, Albert E. Paddy Clare was therefore made responsible for the planning a new 25 bed Maternity Hospital which was completed in 1954. Despite a need for general beds in the area it was not until 1960 that the loan funds were forthcoming for a 40 bed general ward wing. The wing was opened in 1963 and included major and minor operating rooms and recovery rooms; laboratory services; physiotherapy treatment rooms; X-ray suite; laundry and boiler; among other features A further 40 bed expansion to the General Wards occurred by 1971 which provided for acute beds and staff accommodation. The main wards were organised on a double corridor system, with a central core and perimeter wards. Each wing had its own toilet block which was intended to reduce staff work load. A nurse s station was centrally located in each corridor, with each station attending to twenty beds. In 1984 a psychogeriatric extended care unit was constructed at the south of the site which contained 24 beds and 30 day spaces. The hospital s basic services of catering and stores were expanded at this time. In 2001 this wing was expanded to provide beds for general psych patients. In the late 1980 s an Ambulance Station was built on the south east corner of the site adjacent to Great Northern Highway. In 1993 a major expansion occurred with the completion of Block A Operating Theatres, Therapies and General Ward. This Block, strategically located in the centre of the site, was planned to become the main entrance in any future redevelopment of the hospital which involved the replacement of earlier buildings. In 1996 a Dental Surgery was built in the northeast corner of the site. Swan District Hospital over a 60 year period has been the primary health services provider to the Eastern Metropolitan Region. The Swan District Hospital site was identified as surplus when in 2015 the new 307 bed Midland Health Campus was opened and the new hospital s state-of-the-art facilities will deliver new and expanded services to public patients with 50 per cent more beds than the former Swan District Hospital. The Health Campus will enable many more local people to access healthcare closer to home. This new campus forms part of the Bigger Picture for the health portfolio. The Swan District Hospital (SDH) Site comprises a single lot with a land area of approximately 10 hectares and being Lot 10266 on Deposited Plan 185055 (Vol/Fol: LR3147/345); the site is a Crown Reserve owned by the State of Western Australia and is managed under a Management Order to the Minister for Health. 2 Swan District Hospital Site EOI

If a sale of the site proceeds, the Management order will be surrendered and a Freehold Title will be created on the transfer of the land by the State acting through the Department of Lands. Located in Middle Swan, the site is bounded by Eveline Road to the north and Great Northern Highway to the east with the only access from Eveline Road. It is approximately 15 kilometres north east of Perth CBD and 2.5 kilometres north of the Midland Central Business District. The site is adjacent to the Swan River which is approximately 700 metres to the west. The site has varied topography, with areas of gradual slope with the majority of the landform being generally flat. Blackadder Creek traverses the eastern portion of the landholding in a southwesterly direction, and this area is the subject of a 30 metre exclusion zone in recognition of Aboriginal Heritage. A variety of land uses surround the site with La Salle College to the south, Midland Brickworks to the west, Reserves and Recreation to the south-west and low density residential to the east of Great Northern Highway. The site contains 15 buildings ranging between 1 and 2 storeys together with 12 off street carparks. Preliminary condition reports, on the suitability of the existing buildings for reuse, supports 2 buildings (Blocks A and G) as being suitable for adaptive re-use. The site is currently zoned Urban under the MRS and Local Scheme Reserve Public Purposes under the TPS which will require a TPS Amendment and a Local Structure Plan to enable the site to be redeveloped to urban. The City of Swan is predicting significant growth in its aged population over the next 20 years, especially within existing population centres such as Midland and Guildford and growth areas such as Ellenbrook, Bullsbrook and the Urban Growth Area to the north west of Midland. The City is therefore keen to enable the development of suitable accommodation within the region to meet current and future growth needs for their ageing population. The City believes the former Swan District Hospital site provides an ideal location to meet current and future needs. The City is keen therefore to support and assist in the development of the site for this purpose. No suspected asbestos containing materials were observed on the site during the course of detailed site investigation. However, some of the older buildings have been constructed using asbestos materials and any potential buyer or developer should consider this situation when preparing an Expression of Interest for the site. 2.2 The Opportunity LandCorp on behalf of the State of Western Australia acting through the Department of Lands is seeking Expressions of Interest from Proponents to master plan a development at the now vacated former Swan District Hospital site. You are now invited to express your interest in the Site by providing: (a) Your vision for the Site and initial plans of your proposed development. This may include the reuse of all, part or none of the existing buildings. (b) Details of your company profile and project delivery team. (c) Details of previous relevant project experience including provision of examples of working with design guidelines and imagery of previous projects. (d) Details of your financial capacity to purchase the Site and undertake your proposed vision. (e) Details of proposed development milestones to completion of built form. (f) An indicative purchase price for the Site if zoned appropriately for your intended use. 3 Swan District Hospital Site EOI

3 Selection Criteria and Requirements 3.1 Evaluation Process - EOI LandCorp will score each Proposal against the Selection Criteria in Section 3.2 and make a recommendation to the Department of Lands. The Department of Lands may or may not accept any proposal at its sole discretion. LandCorp will inform all proponents of the evaluation within approximately 6 weeks from the closing date. The following evaluation methodology will be used in respect of the Expression of Interest: proposals are checked for completeness and compliance. Proposals that do not contain all information requested may at LandCorp s sole discretion be excluded from evaluation; proposals are assessed against the Selection Criteria and one or more Proponents may be invited to make a presentation to the Panel; and 3.2 Information to be Provided and Weighted Selection Criteria Proponents must submit the following in no more than three pages per criteria: a company profile including proposed delivery team (10%); details of previous relevant project experience including provision of examples of working with design guidelines and imagery of previous projects (10%); details of financial capacity to purchase and undertake your proposed development (30%); details of proposed development milestones to completion of built form (10%); and an indicative purchase price for the Site if zoned appropriately for your intended use (40%). the most suitable Proponent or Proponents as recommended by LandCorp and accepted by the Department of Lands, in its absolute discretion, may be short-listed and invited to refine their proposal and submit a formal offer to purchase the Site. The assessment panel for this EOI process will consist of suitably qualified and experienced representatives from LandCorp, Department of Lands and independent advisors from other areas as selected by LandCorp. An independent Probity Advisor has been appointed to provide probity oversight of the disposal process. 5 Swan District Hospital Site EOI

5 Evaluation Process 5.1 Evaluation Methodology Proposals will be evaluated and assessed by the assessment panel. Proposals will be assessed by the panel in its absolute discretion and will include, but not be limited to, those requirements set out in the evaluation criteria. LandCorp will give weighting to those factors as indicated in section 3.2 appropriate in its absolute discretion. LandCorp may also engage external expert advice to assist with the assessment. 5.2 Evaluation of Proposals LandCorp at its sole discretion may elect not to assess proposals where the Proponent has failed to submit an indicative purchase price or any other requested information. LandCorp is under no obligation to assess any submission solely in accordance with the Evaluation Criteria or at all, and may have regard to any other criteria it considers appropriate. Without limitation, LandCorp may do any of the following: LandCorp reserves the right to engage an independent financial assessor to conduct a financial assessment of the Proponent at any time to satisfy it that the Proponent has adequate financial capability to undertake the proposed development(s). For the financial assessment to be completed, a representative from the nominated independent agency may contact the Proponent concerning the financial information required; take into account information received from any source as to past or current performance of the Proponent and as to the Proponent s ability to carry out the development in a manner satisfactory to LandCorp; seek further information from any Proponent (to the exclusion of others) and meet with them to discuss their submission as it considers appropriate; and at the sole discretion of the evaluation panel, one or more Proponents may be invited to make presentations of their proposals to the evaluation panel prior to the finalisation of the evaluation process. 5.3 Acceptance of Proposal The Department of Lands may in its absolute discretion accept or reject any submission. Without limitation, the Department of Lands may do any of the following: decide not to proceed at all; instruct LandCorp to negotiate the terms of a possible sale contract with one or more of the Proponents to the exclusion of other Proponents and terminate those negotiations at any time; consider alternate Proposals; and reject all Proposals received. The preferred Proponent(s), if any, may also be required to make refinements to the design or their proposed development. 5.4 Evaluation Panel The evaluation panel will be advised by a Probity Advisor (as a non-participating member) and may include external representatives from industry or government authorities as required by LandCorp. It is anticipated the evaluation panel will require approximately five weeks from the closing date to complete the evaluation process. 5.5 Selection and Notification The successful Proponent(s), if any, will be contacted and negotiations to purchase the site may commence utilising the Department of Lands Contract and Conditions of Sale as the basis for sale contract. All Proponents will be notified in writing regarding the outcome of their submission. 7 Swan District Hospital Site EOI

6 Further Information for Proponents 6.1 Enquiries A Proponent may submit a question in writing via email about this EOI to the appointed sales agent listed below. If the question is considered by LandCorp to be such that it believes the question and response should be provided to all Proponents, the Proponent who submitted the question will be so advised and given the opportunity to withdraw the question. If the Proponent elects to proceed, then LandCorp will provide the question and answer to all Proponents (without identifying the originating Proponent). 7 General Information 7.1 Commerciality and Governance LandCorp aims to ensure the broad policy principles applied by the State Supply Commission are appropriately incorporated into its procurement processes and practices. LandCorp s guidelines relate to: value for money; open and effective competition; integrity, ethics and probity; ensuring quality; complaints and communications; and forward procurement reporting. 7.3 Confidentiality Subject to the provisions of relevant legislation, confidential technical and financial detail received from Proponents will be treated in confidence. A Proponent should clearly indicate if any part of its proposal constitutes intellectual property or information which it claims is confidential. Global claims of confidentiality over entire proposals from Proponents will be disregarded. Confidential information will be kept confidential, but LandCorp reserves the right to determine if a claim of confidentiality is justified. LandCorp will respect Proponent s intellectual property rights but LandCorp may require a Proponent to substantiate any claim of intellectual property. 7.2 Probity An independent Probity Advisor has been appointed to oversee this EOI. The Probity Advisor s role is to ensure: information exchanged between LandCorp and Proponents is held in confidence; the agreed submission and evaluation processes are followed at all times; fairness and impartiality are observed; and the assessment criteria are considered in a consistent and uniform manner at all times. In this regard, The State is not obliged to proceed with any proposal. 7.7 Costs Costs and expenses incurred by Proponents or in any way associated with the preparation and submission of their proposal will be entirely borne by the Proponents. 7.8 Disclaimer Proponents must rely on their own investigations and satisfy themselves in relation to all aspects of their EOI. LandCorp or the State and its employees, officers, consultants and advisers give no warranty as to the accuracy of information provided. To the maximum extent permitted by law, LandCorp and the State and its employees, officers, consultants and advisors exclude all liability for any incorrect or misleading information or failure to disclose information whether in connection with this document or any document attached or related to it. This document or any document attached or related to it may be subject to review or change at any time without notice. Subject to relevant legislation, matters raised and that are agreed by LandCorp to be confidential will be treated as confidential. However, LandCorp reserves the right to determine if any written questions or response to such questions will be made available to other Proponents. In the event of a claimed confidential enquiry, Proponents will be advised by LandCorp if its intention to distribute general enquiries and response, thereby enabling Proponents to withdraw any enquiries. 8 Additional Conditions of EOI 8.1 Proponent May Request Clarification or Elaboration A Proponent may request in writing clarification or elaboration on any of the EOI documents. Proponents should be aware that any clarification or elaboration might also be given to other interested parties including other Proponents. Requests must be made in writing to the appointed sales agent noted in section 6.1. 8.2 LandCorp is Not Responsible for Inaccurate or Inadequate Information All the EOI information that LandCorp or the State provides to a Proponent, whether in the EOI documents or not, is provided in good faith to assist Proponents to put forward a proposal. LandCorp gives no warranty to the accuracy of the information. It is the Proponent s responsibility to interpret and assess the relevance of the information provided. LandCorp is not liable for any loss, damage or expense suffered by a Proponent as a result of any inaccuracy or omission in the information provided. 8.3 Proponent Must Inform Itself It is the Proponent s responsibility to make all necessary investigations for it to become thoroughly informed about the subject matter of the EOI, your proposed development and the nature and location of the work to be undertaken to complete the development. 8.4 LandCorp May Vary the EOI LandCorp may vary the scope of the EOI, or the conditions of the EOI, by giving written notice of the variation to all Proponents at any time before the closing date for submission of the EOI. 8.5 Governing Law The EOI documents and the EOI are governed by the law of Western Australia. 8.6 Intellectual Property Copyright in all EOI documents (including, without limitation, this document and any other agreements to which LandCorp is a party or prepared by or on behalf of LandCorp) belongs to, and remains the property of LandCorp, other than drawings and documents to be provided by the Proponent in accordance with this EOI. LandCorp expressly reserves the right to use such documents for other transactions to which LandCorp is a party. 8.7 No Contract Submission of a proposal does not in any way create a contract nor does it create an obligation to enter into a contract on the part of LandCorp or the State no binding contract shall come into existence until a sale contract is executed by the State and a Proponent. 8.8 No Change of Offer After Closing Date A Proponent may not change its submission after the closing date, unless LandCorp invites it in writing to do so. 8.9 No Right of Recourse A Proponent agrees that it is not entitled, in any jurisdiction, to challenge any decision by LandCorp and the State, including the following decisions to: negotiate with one or more Proponents; enter into a contract with a Proponent; or cancel this EOI at any time. 11 Swan District Hospital Site EOI

8.10 LandCorp has Absolute Discretion LandCorp has absolute discretion in relation to the evaluation of an EOI received. After evaluation of all EOI, the State may (in its absolute discretion and before, during or after any negotiation with one or more Proponents) decide not to enter into any contract. 8.11 Acceptance of Terms of EOI By submitting a proposal a Proponent agrees to the Terms of this EOI. 12 Swan District Hospital Site EOI

ATTACHMENT 4: Financial capacity to purchase and undertake your proposed vision (30%) LandCorp may request information from a third party to satisfy itself that they have adequate financial capability to undertake the development. LandCorp reserves the right to engage an independent financial assessor to conduct financial assessments of Proponents at any time. For the financial assessment to be completed, a representative from any independent agency nominated by LandCorp may contact the Proponent concerning the financial information required. The financial assessment is specifically for use by LandCorp for the purposes of assessing financial capacity and will be treated as strictly confidential information.
