HEADS OF AGREEMENT THIS AGREEMENT IS MADE BETWEEN: Clayton Road Nominees Properties Pty Ltd ACN 616 552 571 (the Vendor) AND... (the Purchaser) IN RESPECT OF Unit..., 536-546 Clayton Road, Clayton South (the Property) being the unit so marked on the plan annexed hereto RECITALS: A. The Vendor has agreed to purchase the land comprising 536-546 Clayton Road, Clayton South; B. The Vendor intends to develop and subdivide the land to create 31 individual warehouses each on their own title; C. The Purchaser wishes to purchase one of the warehouses once the Vendor s development is complete; D. The parties intend that this agreement set out non-binding terms upon which they intend to contract once the Vendor has executed a contract for the purchase of the land. NON-BINDING TERMS Price: $... Deposit: Initial deposit of $2,000.00 on execution of this heads of agreement to be held by the vendor s solicitor pending execution of formal contract.
