Those also present were Bob Gundaker, Deb Frost, Ed Lindsay, Scott Toth and Deb Clemente, as well as Superintendent Mark Thieme and Kendra Byrne from Towne Properties. A quorum was present. Directors Absent: Bob Neff Imperial HOA Treasurer s Report - Bob Neff Imperial Golf Estates Homeowners Association Annual Board of Director s Meeting Jan. 27, 2014 As of Dec. 31, 2013 Operating Cash $102,513 Reserves $460,716 Total Cash & Reserves $563,229 Account Receivable $52,368 Other Current Assets $55,035 Total Current Assets $618,264 Total Current Liabilities $145,073 Total Assets $618,950 Treasurer s Report Imperial Homeowners Association ended both the year of December 2013 in a strong financial position. As just highlighted a moment ago, the balance and income statement ended the year with a strong cash position with operating cash at over $100,000 and reserves at over $450,000. This produced a total asset position of almost $620,000. The key number of total reserves, the ability of Imperial HOA to maintain and replenish the community s hard assets grew by over $100,000 during the course of the year from $360,000 to $460,000. A concerted effort has been and will continue to be made to grow our reserves. Two areas that will continue to be focused upon in terms of reserves are storm water drainage and roadways. Given the overall age of Imperial and the type of drainage system that we depend upon, the year-end balance for drainage grew to over $190,000 from $160,000 the prior year. Additionally, we spent over $17,000 on drainage expense and improvements during the year. In fact, we spent $9,000 more that we had budgeted in this area due to situations that arose during the year. This is precisely why we are growing this reserve fund and will continue to do so. Imperial maintained our financial position at the same time we continued to reduce the accounts receivable to very manageable levels. To add some perspective to this, two years ago accounts receivable reached almost $250,000 of which over $150,000 was unpaid special assessment (the back gate road). We are now at about $50,000, a normal level and the special assessment has been almost eliminated. This has been a long and somewhat painful process that involved collections, attorneys, negotiations, and writesoffs. 1

As a result, we had a bad debt write-off of $9,000 during the year and will have an additionally smaller amount during the upcoming year. Hopefully, we will recover additional funds due Imperial. As you can see reducing receivables has been a major area during the recent past. Briefly, some year to date numbers. For the full year Imperial HOA had total operating expenses of $822,437, which was $17,889 under budget. Total grounds care came in at $113,000 and included landscaping, irrigation, and roads. Total administrative expenses were $180,000 and included payroll, management fees, legal, and office expenses. While total grounds expenses were over budget by about $31,000, total administrative expenses were under budget by $31,000 offsetting each other. Total incomes for the full year was slightly over $1,000,000 and included maintenance fees (member fees), sales and transfer fees, newsletter income, and various other fees and was over budget by $31,000. As a result of the offsets and income being over budget total operating income was $31,000 over budget by the same amount. After netting out the cost of utilities and interest income, net operating income was 13,232 for the full year. This was our year to date net income for the full year 2013. Regarding transfer fees for the full year, Imperial recorded total transfer fees of $21,500 or 43 homes sold and transferred. This was $6,500 greater that the amount budgeted based upon a $500 transfer fee. You will hear more on this subject during the course of the meeting as a result of the need to increase this fee area. About 350,000 are guests. All the computers have been upgraded this year with backups installed as well in the Access Control Gate House. We are working with Towne Property Management to ease the processing and payment of new windshield transponders. Residents may apply for them on-line now at Greaterimperialboard.info. Please note the smart passes still have to be applied to your vehicle by the Property Management Staff. The beautification committee is, and has been, doing an excellent job with the entrance to Imperial. We are working on methods of irrigation to help in this process long term. We did punch a well this year, however the water was too high in chlorides. We are continuing to look at ways we can improve the irrigation at reasonable costs to enhance the beauty of our entrance. Our contribution to the GIB well will remain the same this year as it was in 2013. The GIB is currently showing a positive cash flow and the books will close the end of this month. Superintendents Report: Mark Thieme January 30, 2014 Drainage; Countess, Empress, Countess and Princess drainage was completed, landscaping repaired and road and sidewalks repaired. The imminent failure of the eminently failing drain on Countess will be the next on the repair list. Maintenance; Working on equipment maintenance and shop repairs were put aside because of the large drain projects. Perimeter; 100' of fence was replaced on the north perimeter where there was a breach. Monument wall; Fixtures and wiring were replaced in the monument area. Architectural Review Board Report: (Vice President Toth) Monthly Report Architectural Review Board January 30, 2014 The ARB committee reviewed 12 requests for the period December 20, 2013 to January 30, 2014 and they were all approved including new pavers on pool deck, new landscaping, a new circular driveway, removal and replacement of palm tree, replace pool cage, replace 2 roofs with metal roofs, replace 8 windows, replace 2 driveways with pavers and approval of deposit refund.

Discussion was held concerning changing the signage to clearly indicate to people they must enter through US 41 entrance if they do not have a pass. respond. Deb Frost made a suggestion that the BOD research having the entire Association conform to one style of mailbox. The board agreed to put a moratorium on the requirement of new home owners to purchase a new mailbox if current mailbox appears to not conform. This would be reviewed again in context of decision on one confirming mailbox for all residents. The Amendment changes for Article X- Transfer of Ownership and Leasing Lots will be recorded and a date for the start of the new transfer fee will be advised. Discussion was held concerning the Amendment change to Article IV Covenants for Maintenance Assessment. The BOD will review further. The meeting was adjourned at 9:26 a.m. Good News Item: North Naples Fire District has broken ground on the new Fire Station 48 on Thursday that will be located on the east side of Livingston just north of Entrada. They are estimating about 1 ½ years for construction completion and for Station 48 to be open for operations.
