Period of Lease: The period of lease shall be THREE YEARS, which can be extended further with mutual consent of both the parties. 4. Enhancement in rent: The rent shall be enhanced by 10% over the previous year s rent. 5. Evaluation & Award Criteria: Evaluation of bids shall be done separately premiseswise and H-1 bidder(s) for respective premises shall be considered for leasing out the different premises. 6. Other Charges: Apart from Lease Rent, Maintenance Charges shall be payable based on the actual expenditure during the lease period to be worked out at the end of financial year. However, till such time the actual Maintenance Charges are worked out ad-hoc monthly payment towards Maintenance Charges shall be made by Lessee along with the Lease Rent on previous year's Maintenance Charges, which will be subject to adjustment upon finalization of Maintenance Charges. Charges, Service Tax on both Lease Rent and Maintenance Charges, as applicable from time to time, shall be paid by the Lessee to NFL along with monthly rent. 7. Mode of Payment: During the period of lease, the Lessee shall pay to NFL Lease Rent together with Maintenance Charges and applicable Service Tax on both Lease Rent and Maintenance Charges on or before 7 th day of the month, in advance, for every calendar month without any deductions, whatsoever, except permissible under law. 8. Delayed Payment: Any delay / default in making payment of monthly lease rent and maintenance charges by the lessee on or before 7 th day of the month, in advance, shall attract interest charges equivalent to SBI PLR + 2%. 9. Earnest Money Deposit: The Offeror shall be required to furnish Earnest Money Deposit as prescribed below along with his offer by way of DD in favour of National Fertilizers Ltd. The Earnest Money shall be refunded to the unsuccessful bidder(s) after finalization of the contract for lease of premises. 10. Security Deposit: Lessee shall pay Security Deposit equivalent to three months' Lease Rent, excluding Maintenance Charges, in advance, at the time of occupation of the demised premises. The Earnest Money deposited by the successful bidder shall be adjusted towards initial Security Deposit and the Lessee shall make payment of the balance amount of Security Deposit at the time of occupation of the demised premises. The Security Deposit shall not carry any interest and shall be returned to the Lessee upon expiry of the lease agreement against peaceful handing over of possession of the demised premises by the Lessee to NFL and after settlement of dues. 11. Documents : The bidders shall have to submit the following documents along with their offer: (i) (ii) (iii) PAN allotted by Income Tax Department, Certificate of Incorporation or Registration or Partnership Deed, and Memorandum / Article of Association. 12. Execution & Registration of Lease Agreement: The Lessee shall be responsible for execution and registration of lease agreement with NFL (including cost of Stamp Duty), cost of which shall be borne by the Lessee. 13. The Lessee will not, without the previous consent and permission of NFL, in writing, sell, mortgage or sublet or in any other manner transfer or part with the possession of the whole or any part of the demised premises or create third party interest. 14. The Lessee shall abide by the bye-laws and regulations of the local authorities including NOIDA in relation to the demised premises. 15. The Lessee shall comply with the provisions of Fire Prevention and Fire Safety for or in connection with the demised premises as notified by the Government and applicable from time to time. 16. Lessee shall not store any inflammable or injurious articles in the demised premises that may cause damage either to the demised premises or to any other property, assets, objects belonging to NFL. 17. The Lessee shall not conduct in the demised premises or any part thereof any offensive acts or dangerous trade/business, manufacture or occupation nor shall do or cause to be done in the demised premises or any part thereof any act, matter or thing that may cause any annoyance or nuisance or cause damages to NFL or the neighborhood nor shall use or allow the same to be used for illegal and immoral purposes. 18. If the Lessee fails to hand over the peaceful and vacant possession of the demised premises to NFL after the expiry of this lease or upon its earlier determination by NFL, the Lessee s occupancy will be treated as trespasser and Lessee shall be evicted as trespasser from the said premises. The Lessee shall be liable to pay penal charges/damages at double rate of rent per month till trespass continues, on account of use and occupation till vacant possession is given and the lease shall not be deemed to be renewed. 19. This lease shall be governed by Indian Laws and the Courts of Delhi (for premises located at NOIDA), Mumbai (for premises located at Mumbai) and Bhopal (for premises located at Bhopal) shall have exclusive jurisdiction. 20. The Lessee will not allow any encroachment to be made or easement to be acquired on or over the demised premises and if any encroachment or easement shall be made or threatened to be made or anything is done or threatened to be done by any person which if not stopped might confer on him a right of easement against the demised premises the Lessee will forthwith give notice thereof to NFL and permit him and his authorized representatives to enter the demised premises to inspect the same at reasonable time. 21. NFL shall pay all rates, property taxes, ground rent, house tax, charges of whatever character, assessment and outgoing assessed, charged, imposed or payable to Govt. Deptt. / Authority in respect of the demised premises. 22. Any notice required to be served hereunder shall be sufficiently served on the Lessee if left addressed to or sent to it by pre-paid Registered Post/Speed Post or Through Courier to its address given above and shall be sufficiently served on NFL if left addressed or sent to him by pre-paid Registered Post/Speed Post or Through Courier to its address given above and the same shall be deemed to be good notice when it ought to in due course of post be delivered at the address to which it is sent. 23. Arbitration: 23.1 Except where otherwise provided in the contract, all matters, questions, disputes or differences whatsoever, which shall at any time arise between the parties hereto, touching the construction; meaning, operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after tenancy or whether before or after termination shall after written notice by either party to the contract be referred to the arbitration of Functional Director / Chairman & Managing Director, National Fertilizers Limited or his / her nominee. 23.2 The Arbitration & Conciliation Act, 1996 or any statutory modification or reenactment thereof and the rules made there under shall govern the Arbitration proceedings. 23.3 The lessee hereby agrees that he shall have no objection if the arbitrator so appointed is an employee of NFL and he had to deal with the matter to which the contract relates and that in the course of his duties as such he has expressed his views on all or any of the matter in dispute or differences. 23.4 If the arbitrator to whom matter is referred, vacates his / her office by any reason whatsoever then the next arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit. 23.5 It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of resolving the disputes / differences arising out of the contract by and between the parties hereto, the Arbitrator or the Arbitral Tribunal shall not award interest on the awarded amount more than the rate SBI PLR / Base Rate as applicable to NFL on the date of award of contract. 24. NFL will take comprehensive insurance cover for the demised premises inclusive of furniture & fixtures and furnishing etc. provided by NFL, if any. 25. The Lessee shall use the demised premises for locating its offices only. 26. Lessee will not make any structural additions or major alterations in the premises let out and shall not remove any fittings, fixtures etc. attached to the said premises. 27. 28. The premises at Mumbai and Paryawas Bhawan, Bhopal shall be leased out on as is where is basis. The prospective bidder(s) is/are requested to visit these premises to inspect the condition of the building. All necessary repairs, renovation, etc. shall have to be carried out by the successful bidder(s) at his/her/their own cost. 29. The premises at NOIDA shall be leased out in furnished condition. NFL will undertake required repair and maintenance of the portion of building proposed to be let out to the Lessee before handing over possession of building. All kind of maintenance and repairs of office furniture / fixtures / fittings / office equipments including replacement, such as, bursting of pipes, leakages in electricity structural repairs, electrical consumables such as tube lights / bulbs / fans / chokes and its replacements etc., if any, will be carried out by NFL at its own cost. Apart from this, the following facilities shall be provided at the premises located at NOIDA: a. Intercom facility with instruments on each work station free of cost. In case 0 facility is required, the same shall be extended on chargeable basis. b. LAN facility on each work station but the server shall have to be provided by the Lessee. c. Existing entry from the side door between C & F Wings at Ground and First Floors shall be operative for the Lessee. d. Canteen facility to the employees of the Lessee to the extent available. e. Charges towards electricity on working days beyond normal working hours and on Saturday / Sundays / Holidays will be borne by Lessee, if used. The hourly rates of uses will be computed on the basis of actual cost incurred by NFL in last two quarters. f. NFL will allow the Lessee to install Split ACs / Window ACs at Lessee s costs. Electricity charges for such Split ACs / Window ACs would be borne by the Lessee on actual basis for which separate Electric Meter would be provided by NFL to Lessee. 30. The Lessee shall keep interiors of the premises in good order and conditions and shall not remove any fittings attached to the said premises. However, the Lessee may erect temporary partitions for making any cabins etc. and / or may remove / alter the fittings, door and windows, etc. at their own cost with prior permission of NFL and shall restore back the same on vacation of building / termination of lease. 31. The Lessee will permit NFL and their agents, surveyors and authorized representative(s) to enter into the said premises at all reasonable times for purpose either of inspection or repair of the said premises or for any other analogous purpose. 32. NFL, at its sole discretion, shall allow parking of vehicles of the lessee or its employees within the office premises to the extent available free of charge. In this regard, please refer to the detailed terms and conditions of lease agreement. 33.
