The property, 32 Ferncliff Road, is improved with a two-story, single family home built in 1928 and is classified as Old Style architecture. The house is 2,195 square feet, featuring two full baths, one half bath, four bedrooms, one fireplace, a full basement, and an unfinished attic. The sole building lot is 10,454 square feet with 100 feet of frontage. The property consists of two tax lots considered merged for zoning purposes. The home is located in the A-4 zoning district, which requires a minimum building lot of 7,500 square feet with no less than 60 feet of frontage. The Village of Scarsdale is soliciting sealed bids for the sale of real property located at 32 Ferncliff Road. The property at 32 Ferncliff Road is identified on the tax map as Section 11, Block 10, Lots 61 & 62, attached. Site Description 32 Ferncliff Road, Lots 61 and 62 This property consists of two tax lots, Lots 61 and 62, considered merged for zoning purposes and is one building lot of 10,454 square feet with 100 feet of frontage. The two story house was built in 1928. The Old Style house has 2,195 square feet, with 2 full baths and 1 half bath, 4 bedrooms, 1 fireplace, full basement and attic. The tax lots are considered merged pursuant to Village Code Chapter 310-67B and are located in an A-4 zoning district which requires lots to be a minimum of 7,500 square feet with 60 feet of frontage. The property taxes for these two tax lots for 2016 (School, County and Village) totaled $23,008.18. Taxes are subject to change on an annual basis. The land survey and GIS map for the property are attached to this bid solicitation. The parcel is not encumbered by any sanitary, storm or water easements and all utilities, water, sanitary sewer and storm sewer are available to the property. The successful bidder will be required to obtain resubdivision approval in the form of a lot merger of tax lots into a single buildable lot. Terms and Conditions of Sale 1. All offers are subject to the final approval by resolution of the Village Board of Trustees. The Village Board of Trustees reserves the right to accept or reject any and all bids and to select the bid which, in the opinion of the Village Board, will be in the best interest of the Village. 2. A cashier s check (bank check) or certified check in the amount of ten percent (10%) of the total amount of the bid set forth on the attached Bid Submission Sheet must be submitted with the bid. Checks of unsuccessful bidders will be returned within five (5) days of the Village Board s acceptance of the qualified bidder. In the event the successful bidder fails to comply with the terms and conditions of the sale, the Village shall retain the bid deposit as liquidated damages and the next highest qualified proposal, as determined by the Village, will be considered. Should said proposal be accepted, the bidder will be subject to resubmitting the ten percent (10%) deposit within five (5) business days upon notification and all other terms and conditions as outlined throughout this document. 3. All submissions must be provided on the Bid Submission Sheet, as provided herein and all entries must be completed in full. 4. All submissions must be accompanied by a fully executed Non-Collusion Statement, attached hereto. 5. The successful responder must execute a Purchase and Sale Agreement with the Village and close and accept title to the property from the Village within thirty (30) days of the 1
Village Board acceptance of the proposal unless another date and time is mutually agreed upon. The responder must submit the full amount of the bid price in the form of a certified check, cashier s check or wire transfer at closing. 6. The properties are sold as-is and conveyed by quit claim deed subject to zoning laws, existing covenants and any easements and restrictions of record. The Purchase and Sales Agreement will incorporate the terms and conditions of the Bid Solicitation and any material conditions in the successful responder s bid as agreed to by the Village. Failure to execute the Purchase and Sales Agreement or to submit the balance of the full bid price within the period cited in paragraph #5, above, may result in default under terms of paragraph #10, below, and the Village will retain the full amount of the ten percent (10%) deposit as liquidated damages. 7. The bidders, to the extent applicable, shall bear the costs of any additional studies, surveys, plans and fees necessary to prepare a comprehensive proposal under this Bid Solicitation. All inspections and due diligence necessary for submissions of proposal must be completed in full by the bid submission date stated in this Bid Solicitation. Further inspections and research performed after the acceptance of the successful proposal by the Village Board shall not be considered an allowable contingency permitting the bidder to alter his/her submission, or be relieved from the obligation under the Bid Solicitation. 8. It is the purchaser s responsibility to register deeds with the Office of the Westchester County Clerk and pay for all closing and associated costs including, but not limited to the New York State transfer tax. 9. All taxes and/or assessments will be apportioned as of the date of closing. 10. Should the successful bidder(s) fail to comply with any of the terms and conditions described herein, the Village will be entitled to retain the full amount of the ten percent (10%) deposit as liquidated damages, in addition to any other legal remedies available to the Village. Bid Requirements In addition to the Terms and Conditions above, all Bid Submissions must include the following: 1. Fully completed and signed Bid Submission Sheet. 2. A deposit in the amount of ten percent (10%) of the bid price. The deposit must be in the form of a cashier s check (bank check) or certified check payable to the Village of Scarsdale. If the proposal is accepted, the deposit will be applied to the purchase price. The deposits will be returned to the unsuccessful bidders within five (5) business days of the Village Board s acceptance of the successful submission. In the event the successful bidder fails to comply with the terms and conditions of the sale, the Village shall retain the bid deposit as liquidated damages and the next highest qualified proposal, as 2
determined by the Village, will be considered. Should said proposal be accepted, the bidder will be subject to resubmitting the ten percent (10%) deposit within five (5) business days upon notification and all other terms and conditions as outlined throughout this document. 3. In the event the successful bidder fails to strictly comply with the Terms and Conditions of the sale, the deposit shall be forfeited and retained by the Village as liquidated damages for non-compliance. Submissions are considered to be final without any contingencies, unless agreed to by the Village. 5. The proposal must contain a brief description of the proposed use of the property. The Village of Scarsdale reserves the right to accept or reject any and all bids for any reason and reserves the right to waive any minor variations in bid submissions and to select the proposal which, in the opinion of the Village Board of Trustees, is in the best interest of the Village. The Village will convey the property by quit claim deed. Pre-bid Submission Conference A pre-bid submission conference will be held for prospective bidders on Thursday, April 20, 2017 at 2:00 PM at Village Hall, 3 rd Floor Meeting Room to review information and answer questions about the Bid Solicitation. Village staff will be in attendance to answer questions.
