Pursuant to Bankruptcy Code 365 and Bankruptcy Rule 6006, the real property leases listed on Exhibit A shall be deemed rejected, effective the later of (i) December 31, 2016, (ii) such date that the Premises are surrendered to the landlord by delivery of the keys, key codes and security codes to such landlord and (iii) such other date and/or manner as shall have been agreed upon in writing by the affected landlord, Debtor and Purchaser (the Rejection Effective Date ). 2. Pursuant to Bankruptcy Code 554, any personal property or furniture, fixtures and equipment remaining at the leased premises (the Premises ) as of the applicable effective date of rejection (the Remaining Property ) shall be deemed abandoned by the Debtor and the Landlord may dispose of any Remaining Property, in its sole discretion, free and clear of all liens, claims, encumbrances and interests, without further notice or order from this Court, without any liability to the Debtor and any third party for such disposal and without waiver of 1 Capitalized terms not otherwise defined herein shall have the meaning ascribed to them in the Sale Order. 16072201_4 2

If necessary, the Landlord shall cooperate with the Debtor to schedule a time and to grant access to the Debtor or its agent to pick up any hazardous or toxic chemicals or materials maintained at the Premises. 3. The affected landlord shall submit a proof of claim for damages resulting from the rejection of its lease on or before the later of (a) the first business day that is thirty (30) calendar days after the Rejection Effective Date and (b) the first business day that is thirty (30) calendar days after entry of this Order. If the affected landlord does not timely file such proof of claim, such claimant shall be forever barred from asserting a claim against the Debtor for such rejection damages. 4. The terms and conditions of this Order shall be immediately effective and enforceable upon its entry. 5.
