From Reservation to egal Ownership KOH SAMUI - EGA SAES BRIEF Following the unprecedented success of CODE in 2010, Kalara Developments are now launching a new ambitious luxury residential leasehold apartment project called KOH SAMUI. The developers of KOH SAMUI has a proven track record of building high quality luxury real estate projects in Koh Samui. With the assistance of imcharoen Hughes & Glanville (Samui), a highly reputable international law firm, Kalara Developments have created a secure corporate legal structure for KOH SAMUI which is supported by comprehensive and secure legal contracts and supporting documents. The leasehold structure of KOH SAMUI is arranged in such a way as to be as close to freehold ownership as is legally possible within the constraints of Thai law, in order to maximize the legal protection to owners. Each Owner takes a long term lease over their individual apartment unit and is granted the right (in common with all other owners) to use the common areas and common facilities of the KOH SAMUI Project. KOH SAMUI offers a 30 year registered lease over the apartment (which is the longest registerable lease in accordance with Thai law). The Apartment ease Agreement contains three options to renew the lease for three subsequent terms of 30 years each, thereby giving the owner 30 + 30 + 30 + 30 years. Each individual apartment unit and the common property of KOH SAMUI will be owned by a Thai company called anna Koh Samui Co.,td. Owners will participate indirectly in anna Koh Samui Co.,td by subscribing to shares in an offshore corporation registered in Hong Kong called anna Residents (Hong Kong) imited ( Offshore Corporation ) which in turn will hold a 20% shareholding in anna Koh Samui Co.,td. Special rights attached to the shares in anna Koh Samui Co.,td (sometimes called Golden Shares ) will provide the Offshore Corporation with a decisive vote in relation to certain important decisions of anna Koh Samui Co.,td which affect the owners/lessees, significantly, the renewal of the registered apartment leases at the end of the first registered lease term. Each owner in KOH SAMUI will receive a number shares in the Offshore Corporation for each apartment owned by them. The number of shares shall depend upon the type of apartment unit that the owner has acquired. In order to own your Apartment in KOH SAMUI: 1. Complete and return the Reservation Agreement and the Reservation Deposit 2. Conduct your due diligence into the property and the project 3. Execute all contracts and make your first payment 4. Make payments tied to construction milestones until the transfer date 5. Pay the final balance followed by registration of legal ownership of the Apartment ease. Execute Reservation Contract We will provide to you the Reservation Agreement applicable to your chosen Apartment Unit. You must sign and return this to us so we can sign and return it to you as an executed contract together with the contractual documents. The deposit is non-refundable. Conduct Due Diligence In order to assist prospective owners with the due diligence process, we have provided a comprehensive and up-to-date due diligence report relating to the title to the KOH SAMUI Project and. Our lawyers can provide you or your appointed lawyers with all information required to satisfy a thorough due diligence process. (i) We supply pre-prepared contractual documentation; (ii) We supply you with the estate management details which will be provided to you with the pre-prepared contractual documentation. In the event that more than 21 days pass before the execution of the contractual documentation, the reservation contract will expire and the property will be re-marketed. The reservation deposit is non-refundable. Execute Contracts and make the first payment When your due diligence is complete, you must execute all of the contractual documentation and pay the first instalment of the Purchase Price. Pay the and legal ownership is transferred Upon completion of construction of the Apartment Unit, the final balance of the Purchase Price will become due and upon payment of the final balance of the Purchase Price, the apartment lease with be legally registered to you at the land office in Koh Samui. Within 12 (twelve) months from the date of the legal registration of the apartment lease, the shares in the Offshore Entity shall be legally transferred to you. The sole objective of anna Koh Samui Co.,td is to lease apartments to each owner, the company will engage in no other business. The owners will constantly be aware of the status of anna Koh Samui Co.,td by participating in the Offshore Corporation. Each Owner is required to enter into a compulsory Management Agreement designed to ensure peaceful and quiet enjoyment of their investment. The Management Agreement is supported by Estate Rules and Regulations, which regulate the use of the common areas of the development in the best interests of all owners. Owners will deposit monies into a Sinking Fund, designed to encourage a cash surplus for any common area renovation or repairs. 30 31
