Terms and Conditions Nature s Dynamics SEALED BID AUCTION Moecker Auctions, Inc. and BankUnited, N.A. will offer for sale a bulk lot consisting of inventory of vitamins and vitamin supplements, office furniture, computers and related equipment, (2) pallet jacks, shelving units and packing supplies, any and all assets of Nature's Dynamics including any pending purchase orders, covered by Bank United's UCCs. identified in the attached list. It is the intention of the Bank to sell the inventory via a Sealed Bid Auction, however, it is expressly understood all final Sealed Bids are subject to confirmation by the Bank. DEPOSITS Sealed Bids must include a deposit in the amount of 25% of the sealed bid total. REMOVAL/BIDDER CHECK-OUT The assets will be removed (by appointment only) within an agreed upon removal period for all parties involved from the time the auction is completed. It is the buyer s responsibility to pick up or arrange to have items picked up by the allotted time and must supply their own handling equipment, trucking and personnel. Buyer is responsible for all shipping and handling costs. Failure to remove the assets within the time agreed
upon will result in forfeiture of all deposits and/or funds paid to the Moecker Auctions. Purchaser, purchaser s agent(s) including hired moving companies, vehicle transport and/or riggers does hereby indemnify and hold harmless Moecker Auctions and seller from any and all damages, claims or liabilities from injuries to persons or property of any type whatsoever caused during the sale or by the removal of items purchased. The seller and auctioneer shall have no liability to the buyer of any lot for non-delivery of any purchased item(s). EXPORTATION The buyer of any and all purchased equipment at this auction understands that if their intention is to export any equipment from this sale they will be responsible for confirming and following all of the US government s guidelines pertaining to the legal exportation of any equipment to that country, the buyer will be referred to as the exporter. The exporter will be responsible for any export licensing, export declaration fees and preparation of any documents needed to ship overseas.
