INFORMATION TO PROPONENTS THE CORPORATION OF THE CITY OF THUNDER BAY invites Request for Proposals (RFP) from parties interested in purchasing the City-owned Lyceum Theatre, municipally known as 22 N. Cumberland Street. This property will be sold to the bidder receiving the highest score in the evaluation. There is an interest from the City in preserving the building and heritage features if feasible. The City will negotiate an Agreement of Purchase and Sale with the successful proponent. Agreements will require the successful proponent to commit to a development proposal and adhere to any proposed construction schedule or project milestones. DEFINITIONS Applicants: Means all persons, partnerships or corporations who respond to this Request for Proposals (RFP) and includes their heirs, successors, and permitted assigns. City: Means the Corporation of the City of Thunder Bay. Request for Proposal: Means this Request for Proposal (RFP) document including all schedules, parts, and attachments, as issued by the City, including any addenda or amendments made to it after initial issue. May: Used in this document denotes permissive. Must/Shall/Will: Used in this document denotes imperative. Short List Candidates: Means the Applicants whose RFP submissions are recognized as fulfilling the evaluation criteria to a level in which the City is interested in receiving a detailed Business Plan/Proposal. PROCESS This RFP is a one stage process. Submitted RFPs will be analyzed on how well they meet criteria provided within this document. The City reserves the right to reject any and all RFP's and/or re-issue the RFP in its original or revised form. RFP's received after the deadline will not be considered. The City will assume no responsibility for submissions that do not arrive by the specified closing date and time. Failure to complete, sign, and return submittal form provided. Failure to comply with any of the mandatory requirements. Inquiries must not be directed to other City employees or Elected Officials. Directing inquiries to other than those designated may result in your RFP being rejected. The deadline for questions/inquiries will be Tuesday, June 12 th, 2014 at 12:00 noon EST. All clarification requests are to be sent in writing to the individual mentioned above. No clarification requests will be accepted by telephone. Responses to clarification requests will be provided to all interested parties. Any and all changes to the RFP will be issued by the City in the form of a written addendum. Addenda, if required, will be emailed directly to each Proponent. Freedom of Information All RFP's submitted to the City become the property of the City, and as such, are subject to the provisions of the Municipal Freedom of Information and Protection of Privacy Act. This will confirm that the City will not use/disclose the information provided, without proper authorization, and will keep the information in a physically secure location to which access is given only to staff requiring access. Rights Reserved by the City Request for Proposals will be evaluated from firms or individuals that can demonstrate that they have the necessary staffing, facilities, experience, ability, and financial resources commensurate with their RFP. Submission of an RFP indicates acceptance by the firm of the conditions contained in this RFP, unless clearly and specifically noted in the RFP. The City reserves the right without prejudice to reject any or all RFPs and to determine in its own best judgement the RFP that best fits the City s requirements. The City is not responsible for any costs incurred by the proponents in the preparation of their response to the RFP call or attendance at site visits. The City will not accept responsibility for any delays or costs with any reviews or approval process. The Evaluation Committee reserves the right to be the sole judge of the acceptability of any RFP, and also any alternative proposed, which in its opinion most closely meets the operating requirements of the City. The decision of the Evaluation Committee shall be final and without recourse. The City reserves the right to cancel the RFP without cause and without incurring any liability whatsoever if deemed in the best interest of the City to do so. 3 P a g e

INTRODUCTION The City of Thunder Bay is seeking proposals to purchase the former Lyceum Theatre located in the downtown north core. The Lyceum Theatre was constructed in 1909 to provide the community of Port Arthur with a venue to accommodate travelling shows. When the building was no longer used as a theatre it was converted into a motion picture theatre, and then into several offices. PURPOSE AND OBJECTIVE S The City is seeking Request for Proposals submitted by interested parties wishing to purchase the Lyceum Theatre. The goal of this RFP is to enable the City to select RFPs considering (in no particular order) the following: Alignment with the vision for the downtown north core; Heritage preservation; Land sale revenue to the City; Conditions to an agreement of purchase and sale; Commitment to milestones deadlines for construction; Proponent experience and resources This information package provides a brief overview of the property and the associated terms of reference for the RFP. PROPERTY INFORMATION The City of Thunder Bay owned Lyceum Theatre is located in Thunder Bay s downtown north core and is municipally known as 22 N. Cumberland Street containing a total site area of approximately 615 m 2. The building was vested by the City for non-payment of taxes the week of May 12 th, 2014. The property was listed under the Ontario Heritage Registry in October 2009. The City has received a report from KGS Consultant Engineers (KGS), dated May 12, 2014 which identified the building as being structurally sound. 4 P a g e

GENERAL BUILDING INFORMATION The original purpose of the Lyceum Theatre was to provide the community of Port Arthur with a venue to accommodate traveling shows. The building was originally constructed in 1909 and has undergone various renovations throughout the years. When it was no longer used for stage productions, it was converted into a motion picture theatre. Currently, the Lyceum Theatre is no longer used as a theatre but has been replaced with several offices and stores. ARCHITECTUR AL & STRUCTURAL SUMM ARY Originally constructed in 1909 the building has as many architectural heritage features which include keystones with bearded faces, segmented semi-circular windows, and a large stone panel in the center of the façade with the name LYCEUM prominently incised in large letter. The building is steel framed with brick facing and stone trim, and requires significant renovations to bring the building to a functional standard. The building s interior is significantly damaged. Vegetation, mold, water, bird droppings, and general deterioration are all easily identified upon visual inspection of the interior. KGS STRUCTUR AL REVIEW KGS Group (KGS) has completed a structural review of the building, dated May 12, 2014 based on an inspection in August 2013. The report concludes that the building does not represent an immediate risk to public or property outside the building from structural collapse. The report is available for review upon request at the Development Services Department in the Victoriaville Civic Centre. DESIGNATED SUBSTANCE SURVEY REPORTS A designated substance survey was completed by KGS dated November 29, 2013 and identified buildings materials which potentially contain asbestos, lead based paint, silica in the concrete foundation, mercury in thermostats, PCB s, pigeon excrements in the ceiling space along with nest materials and dead birds. The report will be available for review upon request at the Development Services Department in the Victoriaville Civic Centre. 23.2.1 Building Envelope REGULATIONS In addition to all other REGULATIONS of this BY-LAW, no person shall, within any C5 ZONE, use any land, or erect or use any BUILDING or STRUCTURE, except in compliance with the building envelope REGULATIONS in Table 23.2.1. To use the table, locate the applicable building envelope REGULATION in the first column of the table. Read across the table and locate the measurement in the same row as the applicable REGULATION that is within the second column of the table. The measurement in that table cell is the one that applies to the REGULATION in the first column. Table 23.2.1 All Permitted Uses Minimum REQUIRED LOT FRONTAGE 6.0m Minimum LANDSCAPED OPEN SPACE Landscaped Open Space in the form of a 3.0m wide strip along all Lot Lines abutting a Residential Zone Minimum Separation Distance Between Lots Occupied by an Residential Care Facility 240.0m 23.2.2 Privacy Screen Where a LOT within any C5 ZONE abuts a RESIDENTIAL ZONE, and subject to Section 5.10, a RIVACY SCREEN with a HEIGHT of 1.6m is required along all LOT LINES abutting a RESIDENTIAL ZONE.
