RESALE PACKAGE (TO BE COMPLETED BY PROSPECTIVE PURCHASERS) For contracts signed on or after January 1 st, 2018 Bldg.# Apt.# Dear Shareholder and Prospective Purchaser: The Board of Directors of Cryder Point Owners Corp. has established policies, procedures, and financial criteria for the resale of apartments in the cooperative. No sale may occur without first obtaining approval from the Board of Directors. All apartments must be inspected by Management prior to sale. POLICIES AND FINANCIAL CRITERIA Prospective purchasers cannot finance more than 80% of purchase price. (Down Payment cannot be lower than 20% of the purchase price.) No Guarantors or Co-signers accepted. All applicants, including those paying cash for the entire purchase price, will be subject to a debt-to-income ratio check to ensure their ability to upkeep the apartment. The debt-to-income ratio is defined, but not limited to, debt service (including maintenance, loan payments, credit card debt, alimony, child support, etc.) over total income. A maximum debt service ratio of 32% of income is permissible. The Board of Directors reserves the right to make exceptions to this requirement at its sole discretion. All prospective purchasers must reside in the apartment. Prospective purchasers and all proposed occupants over the age of twelve (12) must be interviewed by members of the Interview Committee. All renovations are subject to the approval of Management. Before you can begin alterations to the apartment, you must submit an Alteration Agreement to the Management Office. Under no circumstances can renovations begin until Management has given the purchaser a letter of approval on behalf of the corporation, and the apartment shares have been transferred. The shareholder must supply all documents required in the Alteration Agreement before the Rev. 12/28/2017 Page 1

renovation can be approved. No permission is required for painting, floor scraping or cleaning; however, a Certificate of Insurance is required for all contractors. All apartments are required to be inspected by the resident manager before closing. If any alterations were performed on the apartment being purchased, all responsibility for such work that is imposed upon the Seller shall be assumed by the Purchaser. Purchaser must submit one (1) original and two (2) collated copies (total of 3 sets) of the attached Purchase Application Package. PURCHASE APPLICATION The following documents are to be included in each package. All information must be collated and in proper form. 1. Purchase Application for Cooperative - must be completed and signed by the Purchaser(s). If a question does not apply, please answer N/A in the space provided. 2. Financial Statement (Net Worth) must be completed and signed by the Purchaser(s). All information listed should have documentation. Fill out a separate form for each Purchaser, except for dependent children or married couples filing jointly. 3. Contract of Sale (copy) fully executed by Seller(s) and Purchaser(s). 4. Bank Loan Commitment letter (copy), if financing. 5. 3 Original Bank Recognition Agreements signed by the Bank Officer and Purchaser(s), if financing. 6. Federal Tax Returns (copies) PLUS all supporting documentation (W2 Forms, 1099 Forms, 1099R forms for pensions and IRAs etc.) for the last and current year (2 years) for each Purchaser, except for dependent children and married couples filing jointly. Each return must be signed and dated by the person(s) whose Social Security number is listed on the return. If self-employed, business and individual returns must be submitted as outlined above. 7. Letter from previous landlord if applicable, letter must state the length of stay, the names of all who resided at that address, and payment history. 8. Employment verification letter from each Purchaser s employer stating the length of employment, the Purchaser s position and the annual salary, including commissions and bonus earned. Also include the latest four (4) pay stubs for Purchaser(s). If self- employed, income must be verified by Accountant s certification and a business financial statement from your Accountant is required. Two years business or corporation tax returns should be submitted (see #6 above). If retired, the Social Security Award letter and/or Pension Award letter should be included. Tax forms 1099, 1099R and 1098 must be included with your tax returns (see #6 above.) 9. Two (2) personal reference letters for each Purchaser, a letter indicating relationship to Purchaser(s) and length of time known. Rev. 12/28/2017 Page 3

10. Documented history for sources of funds from Section 2, Financial Statement - Purchaser must provide at least three (3) months of documented history for the source of all funds (bank statements, IRA, CD, Savings, and any other assets disclosed in Section 2). If assets include a gift, the giver must provide documentation for the three (3) months history of the gift, plus a signed, notarized letter stating that the funds were gifts. The giver s name and address must be provided and be on all documentation. 11. Acknowledgement for Parking to be completed and signed by the Purchaser. 12. Window Guard Questionnaire to be completed and signed by the purchaser. 13. Move-in/Move-out Security Deposit Agreement to be signed by both the Seller(s) and prospective Purchaser(s). 14. Authorization for Credit Agency to be completed and signed by all prospective Purchaser(s). Two Purchasers are included on each form. 15. Release of Information Authorization to be completed by all prospective Purchaser(s). Two Purchasers are included on each form. Authorizes obtaining a criminal, sex offender and landlord/tenant court record. 16. Nameplate Request & Key Approval to be completed and signed by Purchaser(s). 17. Acknowledgement of House Rules to be signed by prospective Purchaser(s). 18. Building Information Sheet to be signed by prospective Purchaser(s). 19. Lead Disclosure Statement to be completed and signed and the appropriate line initialed by the Seller, Purchaser and Agent. The Board of Directors reserves the right to request additional information. TIMELINE If you are concerned about the receipt of the package, please use a method of return receipt via USPS, Fed Ex, messenger service or hand delivery. All incomplete packages will be returned to sender. Submission of an incomplete package may extend the processing period. If there is a problem with the application submitted, you will be notified. Please allocate 2 months for complete processing of your application. Upon receipt of ALL of the requested documents, letters and fees, the documents will be previewed. After resolution of any outstanding issues, an interview meeting will be conducted by the Board s Interview Committee. All prospective occupants, adults and children 12 years of age and older, must be present for the interview with photo identification. The Purchaser(s) will be advised of the Board s decision through the Management Office after the next meeting of the Board of Directors has taken place (generally the third week of the month.) Please refrain from calling the Management Office for an update during the processing period. When an update is ready, we will contact your point person, which we recommend should be your Real Estate Broker, or in the absence of a Broker, your Attorney. CLOSING The Purchaser s attorney should be instructed to contact Goldstein & Greenlaw, LLP, at (718) 544-7701 to schedule the closing. If the Seller(s) has a mortgage on this apartment, a representative of that mortgagee must attend the closing, bringing the Proprietary Lease and Stock Certificate. The mortgage payoff should be ordered by the Seller from their bank when the Purchaser(s) is approved, to allow enough time prior to closing. Payment of maintenance charges and/or any additional charges or assessments through the end of the month in which the closing takes place (if not yet paid) is due from the Seller. The Seller(s) shall provide at closing a certification of maintenance charges, which indicates the status of the Seller/Shareholder s account. Such certification can be obtained from the Management Office. If the closing takes place after the 15 th of the month, the Purchaser must pay at closing the following month s maintenance charges and any assessment where applicable. The following legal fees are due to the co-op attorney. For a Move-Out: A shareholder who is the prospective seller or sublessor of an apartment must pay the following fee before the Board will conduct its interview for the sale or sublease of an apartment: a. By certified check, bank check, or money order, the amount of Seven Hundred Fifty Dollars ($750) payable to Cryder Point Owners Corp., as a non-refundable Moveout fee. b. Any carrier engaged for the delivery or removal of property shall be advised to comply with the instructions of the Building Staff assigned for the monitoring and supervision of the Move-In or Move-Out. In addition, a Certificate of Insurance from your moving company for Workmen s Compensation and Public Liability Insurance in the amount of $500,000 property damage and $500,000/$1,000,000 bodily injury must be provided to the Managing Agent. This certificate must name Cryder Point Owners Corp. Upon submission of this certificate, building Superintendent will advise the moving company with proper service entrance for Move-In/Out. 6. The undersigned shall be responsible for damages caused in the common elements of the Cryder Point Owners during the process of the Move-In or Move-Out. 7. The cost for repairs and replacements for damages to the common elements caused by and during the Move-in or Move-out shall be deducted from the amount of the Security Deposit. The amount of the cost for any repairs and replacements resulting from the damages attributed to the Move-in or Move-out from the apartment shall be the sole determination of the Managing Agent which shall be based upon prevailing costs for similar repairs and replacements. 8. It is understood that the Cryder Point Owners Corp. shall return to the undersigned the full amount of the Security Deposit within thirty (30) days of the date of the Move, or the net amount of the Security Deposit after deducting the amount of the cost of repairs and replacements, if any, within thirty (30) days after the date of determination and of the cost thereof.
