Duties of the Board of Directors The Board of Directors has a legal fiduciary duty to both the Association and its Members. A fiduciary duty is the highest obligation of trust known in the law. A. Duty of Good Faith: to act in the best interests of the entire community B. Duty of Reasonable Care: To act as a reasonably prudent person and investigate and make reasonable decisions C. Duty to Rely on Experts (attorneys, accountants, managers) 47
Specific Obligations Germane to Need for Repair/Replacement A. To manage, maintain, repair, and replace Common Area B. To enforce the governing documents (CC&Rs, Bylaws, Rules and Regulations) C. To levy assessments Civil Code requires Board to levy assessments consistent with the Board s obligation to maintain the Common Area and administer the affairs of the Association Ensure sufficient reserves 48
Sources of Income for Association A. Regular Assessments Monthly Assessments: Board can increase up to 20 percent per year without vote of owners Special Assessments: Board can levy up to 5 percent of Association s budgeted gross expenses each year without homeowner vote Assessments approved by members 49
B. Emergency Assessments Three types of emergency assessments: Extraordinary expense ordered by court Extraordinary expense to repair common area if threat to personal safety Extraordinary expense to repair common area that could not be foreseen when budget was prepared 50
C. Obtain Loan CC&Rs, Article V, Section 7, requires vote of 75% of owners to approve There are costs associated with obtaining a loan 51
Funding for Emergency Assessment A. Use allocated amount in reserves for substantial portion of cost to repair B. Emergency Assessment for the remainder of the cost Owners will have option of installment payments or payment in full.
