George Mason Drive, Arlington, Virginia (RPC# 09-016-052). C. M. RECOMMENDATIONS: 1. Approve the attached License Agreement (Exhibit A) between the County Board of Arlington County, Virginia, as Licensor, and Virginia Hospital Center Arlington Health System, a Virginia corporation, as Licensee, for use of a portion of the County-owned real property located at 1725 N. George Mason Drive, Arlington, Virginia (RPC# 09-016- 052); and 2. Authorize the Real Estate Bureau Chief, Department of Environmental Services, or his designee, to execute the License Agreement and any related documents, on behalf of the County Board, subject to approval of the License Agreement as to form by the County Attorney. ISSUES: There are no outstanding issues regarding approval of the License Agreement. SUMMARY: Following County Board approval and execution of the attached License Agreement, Virginia Hospital Center Arlington Health System (VHC) will be allowed exclusive use of sixty-two (62) off-street parking spaces located on a portion of the County-owned parcel at 1725 N. George Mason Drive (commonly known as the Edison Site ), together with the nonexclusive right to use the service drive running along the south side of the County property from N. George Mason Drive to N. Edison Street, for ingress and egress to and from the Licensed Area. The Licensed Area and parking spaces are depicted on Exhibit B attached to the License Agreement. The initial term of the License Agreement is for one year. The initial term of the License Agreement may be extended for three additional one-year terms. Each extension must be exercised by written notice provided at least sixty days prior to the expiration of the then current term of the License Agreement. The County will receive a License Fee, in the amount of $4,030.00 per month, from VHC, during the term of the License Agreement and any extension thereof. BACKGROUND: The County Board and VHC have entered into an Option Agreement, with an effective date of December 21, 2015, granting VHC an option to purchase the County s Edison Site property, under specified terms and conditions, for a term that will not exceed fortyeight months after the effective date. VHC s employees and visitors currently utilize a combination of on-site garage and available off-site street parking for parking at or near the hospital. Due to the high demand for, and limited availability of, on-site parking, VHC also leases additional off-site satellite parking to meet its employee parking needs. Pending exercise of the Option Agreement by VHC, VHC has requested permission from the County for VHC to use, on a temporary and exclusive basis, a portion of the Edison Site for VHC employee parking purposes. The only current need for County parking at the Edison Site is associated with the County-sponsored Northern Virginia Family Services (NVFS) Head Start program. The NVFS program is located in the building at 1801 N. George Mason Drive, on the northern side of the County property, and uses a separate parking area, accessed from 19th Street North, to accommodate its parking requirements. DISCUSSION: The proposed License Agreement will allow VHC to use, on a temporary, exclusive basis, sixty-two (62) parking spaces located on a portion of the Edison Site that immediately abuts the VHC property (see Vicinity Maps 1, 2, and 3). Use of the Licensed Area will be limited to VHC and its authorized employees. VHC will be responsible for snow removal from the Licensed Area and the service drive; the restriping and maintenance of the Licensed Area in good condition and repair, including, without limitation, pothole and surface repair; maintenance of the Licensed Area free of debris and trash; and securing the Licensed Area against unauthorized entry, use and activities. The initial term of the License Agreement is one (1) year. The initial term of the License Agreement may be extended, at VHC s option, for three additional one-year terms. Any extensions must be exercised by VHC providing written notice to the County at least sixty days prior to the expiration of the then current term. The County will receive a License Fee in the amount of $4,030.00 per month from VHC during the term of the License Agreement and any extension thereof. The parking use authorized by the proposed License Agreement requires a Use Permit amendment, which is the subject of a companion Board Report being considered concurrently with the proposed License Agreement. FISCAL IMPACT: All monthly License Fees ($4,030 per month) received by the County during the term of the License Agreement will be deposited into the General Fund. - 2 -
