CALL TO ORDER Minutes of the Regular Meeting of the Board of Directors of THA Affordable Housing Development Corporation September 17, 2014 President Johnson-Velez called the first meeting of the Affordable Housing Development Corporation Board of Directors to order at 11:20am. Other Directors in attendance were Ben Wacksman, James Cloar, Ruben E. Padgett, and legal counsel, Ricardo Gilmore. Commissioners Hazel Harvey, Robert Shimberg, and Billi Johnson-Griffin were not present at this meeting. II. Describe the action requested of the Board of Directors: Re: Resolution Number: 2014-0019 THA-AHDC The Board of Directors is requested to approve the above-referenced resolution in order to: Approve a resolution authorizing the President/CEO of THA Affordable Housing Development Corporation to execute a purchase and sale agreement for the sale of property located at 808 North Rome Avenue to NitNeil Development Corp. 2. We have been advertising this property for sale since February 2014 and in June commissioned an updated appraisal of this property which resulted in a value of $854,000. The offer received from the highest bidder, Ed Brosman was subsequently withdrawn after contract approval. Trisland Holding was then contracted but they have since withdawn their contract. The next highest offer for the property is now NitNeil Devlopment at $850,000, just $4,000 below appraised value. Since this property has no intended long term use by THA or any of its related entities, and the continued partial leasing of this site would continue to be a negative financial impact to THA, we have decided to dispose of this site. Therefore staff is seeking Board of Commission approval to sell the 808 North Rome property to the highest responsive bidder, NitNeil Development Corp. for the contracted amount of $850,000. RESOLUTION 2014-0019-THA-AHDC A RESOLUTION AUTHORIZING THE PRESIDENT/CEO OF THA AFFORDABLE HOUISNG DEVELOPMENT CORP TO EXECUTE A PURCHASE AND SALE AGREEMENT FOR THE SALE OF PROPERTY LOCATED AT 808 NORTH ROME AVENUE TO NITNEIL DEVELOPMENT. WHEREAS, the Housing Authority of the City of Tampa (Authority) acting on behalf of its wholly owned instrumentality THA Affordable Housing Development Corp (THA-AHDC) solicited offers for the sale of certain property located at 808 North Rome Avenue, formerly used by the Authority as its centralized warehouse; WHEREAS, the Authority received a total of six (6) offers seeking to acquire said property; WHEREAS, the offer received from Ed Brosman in the amount of $870,000 was withdrawn thereby leaving the second highest bidder as Trisland Holdings, Inc. with their offer in the amount of $850,000; and WHEREAS, Trisland Holdings, Inc., subsequently withdrew their bid; WHEREAS, NitNeil Development has submitted an offer in the amount of $850,000 to equal the bid from Trisland Holdings, Inc therefore making NitNeil Development s bid in the amount of $850,000 the highest most responsive bidder; WHEREAS, the Authority commissioned an appraisal of said property which resulted in an appraised value of $854,000 NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the THA Affordable Housing Development Corp. authorizes the President/CEO to execute the purchase and sale agreement for the sale of 808 North Rome Avenue to the highest surviving responsive bidder, NitNeil Development in the amount of $850,000.
