(Excluding staff quarters unless the property is to be occupied as a single family residence). (4) Rent : HK$ per month exclusive of management fees and government rates, payable monthly in advance. (5) Carpark* : One car-parking space, the rent for which is included in the amount of rent referred to in (4) above. (6) Management Fees : HK$ per month, payable monthly in advance, subject to revision from time to time by the Building Manager. (7) Government Rates : If the property has been assessed to rates, the tenant shall pay rates to the Rating and Valuation Department direct. If the property has not been assessed to rates, the tenant shall, on demand by the landlord, pay the landlord a provisional sum equivalent to 5% of the rent hereby reserved until the property is assessed to rates.

- 2 - (8) Water Charges : The property is provided with separate water meter, the tenant shall pay water charges to Water Supplies Department direct.* The property is not provided with separate meter, the tenant shall pay HK$ to the landlord monthly in advance. Such charge shall be subject to revision from time to time at the sole discretion of the landlord.* (9) Commencement Date (Handing over date) : (10) Lease Term : Two (2) years non-renewable. The tenancy is not subject to Part IV of the Landlord and Tenant (Consolidation) Ordinance Chapter 7. (11) Rent Free Period : week(s)/month(s)*, i.e. from to. The tenant shall be liable to pay management fees, Government rates and all other outgoings during the above rent free period. (12) Initial Deposits (payable at the time of submitting this offer) : The tenant shall pay to the landlord an initial deposit equivalent to ONE (1) month s rent. The cheque should be drawn in favour of The Government of the Hong Kong Special Administrative Region. Upon execution of the tenancy agreement, the said deposit shall be applied to settle the first month rent or part of the security deposit whichever considered appropriate. Prior to signing the tenancy agreement, the tenant may elect not to proceed with the tenancy of the property subject to forfeiture by the landlord of the initial deposit paid by the tenant. In the event that the tenant fails to sign and return the tenancy agreement THREE (3) days before the Commencement Date, this offer letter shall be deemed to have been withdrawn by the tenant and the landlord shall have the right to forfeit the initial deposit as compensation for withdrawal of the offer. (13) Security Deposit (payable at the time of returning the tenancy agreement duly signed by the tenant) : The tenant shall pay to the landlord a security deposit equivalent to the sum of TWO (2) months rental and TWO (2) months management fees (total HK$ ). The security deposit must be paid by Cashier Order drawn in favour of The Government of the Hong Kong Special Administrative Region. This security deposit shall be held by the landlord in accordance with the terms stipulated in the tenancy agreement.

- 3 - (14) Legal Fees : Each party is to bear their own legal costs. (15) Stamp Duty : The tenant shall pay the adjudication fee and 50% of the stamp duty (if any) chargeable. (16) Maintenance Liability : The tenant has inspected the property and agrees to lease the property in as is condition. The tenant also agrees to the followings :- (a) (b) (c) The tenant is responsible for all internal repairs. The landlord is only responsible for structural and external repairs. The landlord s prior written consent is required for any internal decoration works to be done by the tenant. (17) Break Clause : On or after, the landlord shall have the right to early terminate the tenancy by giving THREE (3) months written notice to the tenant.* After the initial twelve (12) months of the lease term, the tenant /either party* shall have the right to early terminate the tenancy by giving THREE (3) months' written notice to the other party (i.e. FIFTEEN (15) months' minimum term). (18) Documentation : All other terms and conditions shall be in accordance with the landlord s standard tenancy agreement which has been sighted by the tenant prior to the signing of this offer letter. The tenant acknowledges that the landlord will not entertain any request for amendment either to the terms of this offer letter or the terms in the tenancy agreement. (19)* Personal Guarantee (Applicable to corporate tenant) : For corporate tenant, prior to signing the tenancy agreement, the tenant shall cause a director of the tenant to execute a personal guarantee in the form as the attached and the tenant acknowledges that the same has been sighted and agreed by the tenant prior to the signing of this offer letter. The tenant acknowledges and agrees that in the event that the tenant fails to arrange to execute and return the guarantee together with signed tenancy agreement THREE (3) days before the Commencement Date, this offer letter shall be deemed to have been withdrawn by the tenant and the landlord shall have the right to forfeit the initial deposit as compensation for withdrawal of the offer.
