The program, aimed at attracting and incentivizing top agents into exp Relaty, provides each qualified icon with up to $16,000 in publicly-traded exp Realty International Corporation common stock upon the achievement of certain production goals within an agent s anniversary year. The company s cap is presently set at $16,000. Through the program, icons effectively earn up to their entire cap amount back in the form of public company investment. *Program may change. The number of shares issuable will be determined using a price per share that is a 20% discount to the average closing price of the company s common stock over the 30-day period preceding the last day of the month, subject to terms and conditions of the program. 1 In no event shall the number of shares increase in the event agent count falls below a previously achieved agent benchmark unless authorized by the Board of Directors in a separate resolution. 2 Upon reaching an agent count threshold number, the share award totals in place immediately prior to the achievement shall remain in effect for the balance of the calendar month in which the agent count achievement was reached. 3 Vesting requirement for first transaction award agent must remain with the company in good standing for a period of 3 years from date of company board resolution acknowledging the achievement and eligibility. 4 Vesting requirement for capping award capping agent must remain with the company in good standing for a period of 3 years from date of company board resolution acknowledging the achievement and eligibility. 4 Vesting requirement for attraction award the sponsoring agent who joins both remain with the company in good standing for a period of 3 years from date of company board resolution acknowledging the achievement and eligibility.
