Highlights of Sept. 26th BOD Meeting Call to Order: President Joyce called the meeting to order at 8:30 A.M.. Those also present were Vice President Korri, Treasurer Neff, Secretary Lindsay, Director McElligott, Director Toth and Director Clement, as well as Superintendent Mark Thieme, Kendra Byrne from Towne Properties and 8 residents. A quorum was present. Treasurer s Report (Treasurer Bob Neff) Financials- as of October 31, 2013 Operating Cash $112,983 Reserves $462,511 Total Cash & Reserves $575,494 Account Receivable $102,158 Other Current Assets $98,193 Total Current Assets $673,687 Total Current Liabilities $40,741 Total Assets $674,373 The month ending October 31, 2013, Imperial HOA operated on a positive net income basis (actual versus budget) with net income reaching $133,015 but over $7,500 greater than the budgeted number. The strong monthly performance was the result of overall expenses being held under budgeted amounts by $6,400 and by total operating income exceeding the budget by $1,200. On a line item income basis, fee income was the primary reason for the positive results. On the expense line item side, maintenance expenses were under budget by over $8,000 and total administrative expenses were under budget by over $3,700. On the year-to-date basis ending in October, Imperial HOA also demonstrated strong net operating performance by reporting $167,200, which was almost $36,000 over budget. While overall year-to-date expenses were only slightly over budget, net operating income greatly exceeded our budget by over $32,000. This income area was lead by all fee line items and caused the positive reporting number. 1

One line item that should be noted and is an indicator of the economic activity in general, is bad debt expense. On both a monthly and year-to-date basis, Imperial HOA experienced very positive events with the month number being $1,250 and year to date recording $7,500 under budget (actual number $0 and $5,000). Generally, bad debt reflects, all things being equal, the economic activity that the Association and its members operate within, hence the large bad debt that was reported during the past three years. Accounts receivable increased during the month to $102,000 from about $70,000 the previous month. On the surface it might seem like a large jump but it reflects the fact that quarterly dues should be sent by October 1st but always lag due to collections. For the month, Imperial recorded 3 property transfer fees for $1,500, which was slightly over budget. On a yearto-date basis, property transfer fees equaled $21,500 or 43 homes. This result was over budget by $9,000. GIB Report (Len Joyce) Nov. 21, 2013 IGEHOA Meeting Income and Expense Statement as of 9-30-13: Income for September 2013 is over budget by $391.70 and year to date by $8,550.70. Gate Tag Income is over budget by $3,910.67. Income is over budget year to date based on Gate Tag Income of $4,429.99 and the receipt of $2,064.22 from Imperial Square Shopping Center for their share of the north side Irrigation Project that was not in the budget. Total Operating Expenses are over budget for the month by ($1,977.80) and over budget year to date ($1,004.89). Net Income for the month is a loss of ($1,586.10) but a positive Net Operating Income year to date of $7,545.81. All major expense categories are under budget for the month except for Administrative. That Expense Category is over budget in September by ($4,278.15) primarily based on Legal Expenses. Year to Date on Administrative we are under budget by $3.30. Balance Sheet Items as of 9-30-13: 1. Operations Checking Account: Cash for Operations $32,322.00 2. Cash for Reserves Balance: $255,132.73 3. Other Assets, incl. Accts Rec and Prepaids: $2,723.03 4. Total Current Assets: $290,177.76 5. Total Current Liabilities: $9,857.49 6. Replacement Reserve Equity $280,320.27 7. Retained Earnings $7,683.22 8. Current Year Flow/Drain $17,504.32 8. Total Equity: $280,320.27 9. Total Liabilities and Equity $290,177.76 Balance Sheet Discussion: We have adequate cash on hand to meet our monthly bills. Accounting is working with the Racquet Club and Dr. Richardt to collect their delinquencies. 2 General Comments: Gulf Shore Insurance completed their Risk Assessment based on the Bermuda Greens representative s request at our last meeting. Their only recommendations related to administrative issues with vendor insurances including limits, GIB being named as Additional Insured, and contractual risk transfer of liability clauses. Len and I will be discussing their recommendations with the GIB s attorney and the Property Manager s office. Irrigation. We did not obtain good water in the well that was punched on the front island at the entrance from US 41. We are trying to determine options for use of the well, or to just cap it and rely on county and affiliated association s water for irrigation requirements. Superintendents Report: (Mark Thieme): November 21, 2013 Drainage: With the lack of rain and pond levels declining, the algae is under control. Holiday Lighting: The holiday lights are up and ready to turn on. Imperial HOA hung the GIB holiday lights at GIB cost. Maintenance: Working on equipment maintenance and shop repairs. Gate House: Multiple incident reporting. Side Walks: We had several sidewalk repairs in Phase 5. Beautification Report: (Director McGelligott) Flowers and pine needles where put down in Marque Park and Zack Park. A park bench was added adjacent to the sidewalk along the canal by the middle school. Mark also replaced the boards on the bench in Majestic Park. Architectural Review Board Report: (Vice President Korri) The ARB committee reviewed (6) requests in Oct.. The (6) approved requests included a new concrete deck & lanai with pavers, installation of a children s play set, a new pool cage & extended deck, new hurricane shutters and pool cage, and removal of various trees. Storm Water Drainage System (Director McElligott): IGCB will be closed Dec. 9th at 1990 IGCB while repairs to the pipe going under the road from Countess Lake to the golf course are completed. The pipe will be replaced from the road to the golf course and the project should take 4 to 5 days weather permitting to be completed. Traffic will be detoured around Countess Court while the work is being done. IGCE will be closed Dec 15 at 1954 IGCB while repairs to the pipe going under the road from Empress Lake to the golf course are completed. The pipe will be replaced from the road to the golf course and an additional 100 of pipe going east adjacent to the golf course will be replaced. Traffic will be detoured around Empress Court while the work is being done. There is a sink hole behind 1972 Empress Court adjacent to the golf course that will be assessed and repaired during the Countess and Empress projects. Storm Water Drainage System (Director McElligott): A proposal from Bonness was presented to repair the rest of the roadway in Phase 5. Entrada (Marquis) Gate and Road (Director McElligott): The Christmas garland and lights have been put up at the back gate. Now that that season is quickly approaching we are seeing an increase in people tailgating residents coming through the back gate. If you have guests coming to visit please make sure they know to enter through the front gate. If we continue to see people tailgating in and going to a resident s home, we will need to look into punishing the resident that the tailgater goes to. Traffic Safety and Security Committee (Director Clemente): Residents are to be reminded to obey the posted speed limit and all stop signs; The speed limit in Imperial Golf Estates is 25 MPH; Be aware of children walking to and from the bus stops; Joggers and walkers should use the walkways at all times, walking in the street especially with small children is a safety risk; With the milder weather, motorists need to be aware of increased outdoor activity (joggers, bikers, children, etc.) Property Manager s Comments/ Items (PM Byrne): Fining Committee Meeting: Was held on November 20, 2013. 3 Drainage Project: Letters were sent to 1952, 1954, 1956, 1988 and 1990 Imperial Golf Course Blvd. concerning the drainage project. Annual Meeting: The First Notice for the Annual Meeting will be mailed out by November 27th. Newsletter -(Director Toth and Treasurer Neff): There is more interest in advertising in the newsletter at this time. Treasurer Neff will add to the newsletter information concerning tailgating at the Entrada gate and speeding in Imperial. There has been the continued problem, particularly at the 3 and 4 way stop signs, of speeding in Imperial Estates and we ask that everyone observe the posted speed limits for the safety of everyone. Garbage cans do not need to be placed too close to the street because the pickup trucks have a 4-foot reach and it can be a hazard to cars driving. Additionally, all cans should be brought in the day of pick-up. New Business: Annual Meeting: The Annual meeting will be January 27, 2014. If you are interested in being on the Board of Directors please complete the Intent to Run form which you will receive in the First Notice of Annual Meeting. Transfer Fee: President Joyce reported that IGE BOD would like to increase the transfer fee from $500.00 to $1000.00. Motion passed unanimously. Homeowner Issues: Dennis Di Donna stated he felt uniformity in the association was important to enhance the value of the homes. Mr. Di Donna also requested that in the future the BOD look into fiber optics in place of Comcast. Mr. Hareck spoke concerning evening meetings. President Joyce reported that very few residents have made the request. Tom Harruff elaborated that the BOD had scheduled evening meetings in the past and they had to pay employees to attend in the evening hours and pay for a meeting room and had very sparse turn out from residents.
