In its current incarnation the SGPCA and the TIRZ are funded by a PID or Public Improvement District. Our PID was created over 17 years ago and currently accesses.07 per square foot of real property. As you can imagine over the last 17 years, the cost to maintain our neighborhood and to provide security services has increased significantly and we are now at a point where we can no longer afford to maintain the landscaping, monuments, etc. and provide the security patrols we so need. The easy solution may seem to just increase the amount the PID collects, and we d be covered. Unfortunately it s not that easy. Any change to the PIC requires the creation of a new one, that creation incurs significant legal fees and offers us no flexibility. This is why we are looking to establish a Municipal Management District or MMD. The MMD will provide us with the flexibility we need to grow and to continue to provide the necessary services St. George Place requires. Once the MMD is created, the rules allow for the modification and change of assessments so that funding can change with the times. Does this mean you can now expect a board that can arbitrarily increase fee s at a whim? No, the service plan (which guides the MMD) expressly states that increases cannot exceed 10% over a 5 year period. The biggest gain we will see is that our security patrol will move from a staggered 12 hour shift to a 7 day a week 24 hour a day patrol. The security company will provide our neighborhood with a new vehicle and the expenses to maintain that vehicle will be incurred by our security vendor. The MMD will also create a fund for capital improvements within the neighborhood. As our neighborhood ages, so will the level of investment we will need to make to keep our neighborhood in the condition we all expect. To fund the MMD we are proposing to keep the current 07 per square foot assessment in place plus an additional $300.00 fee to all residents of the neighborhood, commercial or residential. I think we can all agree that for an extra 300.00 a year 24/7/365 security is a bargain even at twice that price.

Currently your annual PID assessment is and with the new MMD you would expect to pay. The MMD payment would appear on your annual HCAD tax roll just as the PID currently does. PETITION FOR CREATION OF SAINT GEORGE PLACE MANAGEMENT DISTRICT TO THE TEXAS COMMISSION ON ENVIRONMENT QUALITY: We, the undersigned, hereafter called Petitioners, both holding title to and/or interest therein the boundaries of the proposed Saint George Place Management District, herein-after described, and acting pursuant to Chapter 375 of the Texas Local Government Code, and Title 30, Texas Administrative Code (TAC), Sections 293.11(a)(7) and 293.11(j)(1). Pursuant to both, we hereby respectfully petition the Texas Commission on Environmental Quality to give the required public notice, to hold the required hearing, and to create the Saint George Place Management District, hereinafter referred to as the District and submit to the Honorable Commission the following facts and findings: I. The proposed District is comprised of owners of real property in the district, according to the most recent certified county property rolls, and this petition is signed by both, whose combined property value total of the total value in the District. II. The proposed area of the District is an area devoted primarily to residential development and business activity and located wholly inside the boundary of the City of Houston, Texas. The proposed area is also currently located wholly inside the boundary of the Lamar Terrace Public Improvement District Number Two, City of Houston (the PID ) and the proposed District will replace the PID and the supplemental services provided by it. The area is also wholly located within the Tax Increment Reinvestment Zone Number One, City of Houston (the TIRZ), which has been the financing vehicle to replace blighted infrastructure within a previously municipal designated blighted community. The TIRZ and PID are managed by a Redevelopment Authority (the Authority ), which contracts for services and manages projects. III. The boundaries of the proposed District, consisting of contiguous parcels of land, are described in Exhibit A attached hereto and made a part hereof by this reference. IV. The specific purposes of this District are to further the public purposes set forth in Chapter 375 of the Texas Local Government Code, as recently amended by SB 1234, 82 nd Texas Legislature. V. The general nature of the work, projects, or services proposed to be provided will consist of safety and security services and landscape maintenance and zoning enforcement through an interlocal agreement with the TIRZ as is currently being accomplished through the PID. Maintenance is necessary as significant capital investment has been made in the district along public rights of way and in public easements, and will deteriorate without proper attention, and such maintenance will include landscaping public property. Maintenance activities will comprise of mowing and weeding the green spaces on a regular maintenance schedule. Plant material will be maintained with watering, pruning, weeding and replacement as needed. Trees and shrubs will also receive periodic maintenance as needed to keep the tree stock healthy and vibrant. It is also anticipated that there will be a regular schedule of pickup along the corridor to keep a tidy appearance in the District. The District will also provide maintenance of a pocket parks within the district boundary, with mowing, cleanup, and up-keep of outdoor fixtures, dog stations to maintain and enhance the green space.

The District will maintain signage, sound barrier walls, street pavers and entry monumentation placed within the District. Security is necessary to maintain a public sense of safety to further the economic development of the District and encourage residential development and maintenance of values. The District will provide enhanced security patrol service for the area residences and businesses, either through the contracting with a private vendor for this service, or by agreement with Harris County for constable patrol services. The District may also consider the possible use of mobile security cameras, similar to those used by other management district in the area to provide 360 degree camera surveillance with high resolution cameras, coupled with high definition digital recording equipment. A networking of the area businesses with law enforcement entities will also be a focus, with the use of a safety and security committee, meeting regularly to discuss security issues, and disseminate relevant information to District property owners and lessees. Zoning Enforcement is currently handled through a contract between the city of Houston, the TIRZ and the PID. It is anticipated that the District will continue the service as required by the current Bi-Party Agreement with the City of Houston as the District will replace the PID functions. The cost of the provision of these projects and services are estimated to be approximately $397,320 (Three Hundred Ninety Seven Thousand Three Hundred Twenty Dollars), per year to be financed by assessments in the District. (See Exhibit B ) VI. The name of the proposed District is the Saint George Place Management District. VII. The proposed list of initial directors and initial terms of service are described on Exhibit C, attached hereto and made a part hereof by this reference. Also provided herein is a summary of the qualifications of each director and affidavits executed by each petitioning the Commission for appointment to the board of directors as initial directors. VIII. The District has perpetual succession under current law. The Board, however, may consider action as shall be appropriate to dissolve the District, if it determines and concludes the District is not a benefit to the area included with the District, and to the city of Houston and Harris County. Attached as Exhibit D and made a part hereof by this reference is a certified copy of the resolution by the City Council of the City of Houston in support of the creation of the District. IX. X. Attached as Exhibit H and made a part hereof by this reference is a certified letter from the Harris County Appraisal District, dated February 9, 2012, providing validation as required by Section 49.184 of the Water Code of the metes and bounds of the district, verified against the appraisal district facet maps, and certified copies of the list of accounts comprising the district as proposed, with related parcel map detailing each parcel. XI. The District may do anything necessary, convenient, or desirable to carry out the powers expressly granted or implied by the state law.

Wherefore, Petitions pray that proper notice be issued, and that proper hearings be held, upon such hearing the Texas Commission on Environmental Quality finds this District and project is feasible and necessary and would benefit the public considering the availability of comparable services from other systems, including special districts, municipalities, and regional authorities and the reasonableness of the proposed public purpose projects and services that this Commission issue its Order creating the Saint George Place Management District stating the specific purposes for which the District is created and appointing the initial directors. Preface The specific purposes of this District are to further the public purposes set forth in Chapter 375 of the Texas Local Government Code, as recently amended by SB 1234, 82 nd Texas Legislature. This document presents a Service Plan and Assessment Plan, which sets forth services to be rendered, and improvements to be made in support and to the benefit of the property owners within the Saint George Place Management District. Additionally, this Service Plan outlines estimated costs and a proposal for funding this Service Plan that will serve the land that comprises the District. This Service and Assessment Plan is prepared in conformance with Chapter 375, Texas Local Government Code, and will replace the Lamar Terrace Public Improvement District No. 2 which was created pursuant to City of Houston Resolution No. 95-121. The delivery of the services and improvements is anticipated to add value to all properties within the District. The District property owners will be able to collectively leverage greater resources, resulting in increased levels of service and an enhanced public awareness and image for the District. An improved District benefits property owners directly and also the Houston metropolitan region at large. The District has perpetual succession under current law. The Board, however, may consider action as shall be appropriate to dissolve the District, if it determines and concludes the District is not a benefit to the area included with the District, and to the city of Houston and Harris County. Boundary The boundaries of the District are coterminous with the boundaries of Reinvestment Zone Number One, City of Houston, Texas, as more fully described on the map attached hereto as Exhibit A. Service Plan The proposed area of the District is an area devoted primarily to residential development and business activity and located wholly inside the boundary of the City of Houston, Texas. The proposed area is also currently located wholly inside the boundary of the Lamar Terrace Public Improvement District Number Two, City of Houston (the PID ) and the proposed District will replace the PID and the supplemental services provided by it. The area is also wholly located within the Tax Increment Reinvestment Zone Number One, City of Houston (the TIRZ), which has been the financing vehicle to replace blighted infrastructure within a previously municipal designated blighted community. The TIRZ and PID are managed by a Redevelopment Authority (the Authority ), which contracts for services and manages projects. Page 18 of 22

The vision is to strengthen the Saint George Place Management District s local economy; enhance property values; and, improve the quality of life for both the business and residential communities utilizing urban development techniques that have already been implemented in other Management Districts in Harris County. The thrust of the District is to promote a sense of place a concept of identity that calls attention to the area s unique attributes and their special value to the Greater Houston Metropolitan Region. By emphasizing these attributes, the District serves as an advocate on matters regarding transportation, public safety, environmental planning, and business development. Throughout this effort, our mission is to provide positive returns on our constituents investments, generating higher property values and a better quality of life. Our Thirty-Year Plan provides a base level of services and improvements designed to achieve this by making the District safer, more attractive, and more competitive. Moreover, the plan will adapt to changing conditions and demands within the District and the community at large. In creating a management district, property owners seek to: Organize themselves to pursue a common vision. Render continuous, focused, and professional management of the area s needs. Provide cost-effective funding mechanisms for improvements. Maintain the District as a superior place to live, work, shop, and invest. The District s Board of Directors will pursue these goals through a variety of programs and projects that are outlined in the next section. Projects for the first ten years will be focused on four areas: 1. Security and Public Safety 2. Administration and enforcement of Development Regulations within the Zone 3. Visual Improvements and maintenance of same 4. Cost of administration and operation of the District related to the provision of Supplemental Services Security is necessary to maintain a public sense of safety to further the economic development of the District and encourage residential development and maintenance of values. The District will provide enhanced security patrol service for the area residences and businesses, either through the contracting with a private vendor for this service, or by agreement with Harris County for constable patrol services. The District may also consider the possible use of mobile security cameras, similar to those used by other management district in the area to provide 360 degree camera surveillance with high resolution cameras, coupled with high definition digital recording equipment. A networking of the area businesses with law enforcement entities will also be a focus, with the use of a safety and security committee, meeting regularly to discuss security issues, and disseminate relevant information to District property owners and lessees. Zoning Enforcement is currently handled through a contract between the city of Houston, the TIRZ and the PID. It is anticipated that the District will continue the service as required by the current Bi-Party Agreement with the City of Houston as the District will replace the PID functions. Maintenance is necessary as significant capital investment has been made in the district along public rights of way and in public easements, and will deteriorate without proper attention, and such maintenance will include landscaping public property. Maintenance activities will comprise of mowing and weeding the green spaces on a regular maintenance schedule. Plant material will be maintained with watering, pruning, weeding and replacement as needed. Trees and shrubs will also receive periodic maintenance as needed to keep the tree stock healthy and vibrant. It is also anticipated that there will be a regular schedule of pickup along the corridor to keep a tidy appearance in the District. The District will also provide maintenance of a pocket parks within the district boundary, with mowing, cleanup, and up-keep of outdoor fixtures, dog stations to maintain and enhance the green space. The District will maintain signage, sound barrier walls, street pavers and entry monumentation placed within the District. Page 20 of 22

The assessment for each year of the Service Plan and Assessment Plan will be $0.07 per square foot of lot plus an additional $300 per lot annually with respect to that calendar year. Services and improvements are intended to be provided on a pay-as-you-go basis with assessments made to fund projects. If the Board determines that projects are needed which cannot be financed on this basis, the Board may authorize bonds or other debt financing after calling a public hearing regarding the financing options; seeking approval by a majority vote of the registered voters of the District; and receiving consent from the governing body of the City of Houston. Property Subject to Assessment. The property subject to assessment will be the individual parcels of the property owners within the boundaries of the District. The following property will be exempt from assessment: municipalities, counties, other political subdivisions, entities exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, public utilities, and recreational property or scenic use property that meets the requirements of Section 375.163, Texas Local Government Code. Equipment and inventory are not subject to assessment. Yearly Budgets and Assessment Rates. The Board of Directors will annually evaluate the need for and advisability of the services authorized under this Service Plan and Assessment Plan to determine the specific projects within this Plan that will be undertaken the following year. The Board will then set and approve a budget for the following year consistent with the yearly plan, taking into consideration the value of the property subject to assessment and the revenue that the assessment rate will produce. As this plan is thirty years in length, it is probable that the service needs in each of the major categories will change, particularly as District objectives are met. Therefore, this Plan allows the Board of Directors the flexibility to apply the assessment revenue to the major categories of services in varying percentages. Page 21 of 22

The District proposes to set the rate of assessment at $0.07 per square foot of lot plus an additional $300 per lot annually with respect to that calendar year. The assessment will be made after the District s tax rolls are certified by HCAD each year to generate funds for implementation of this Plan in the following year. The assessment roll will be revised and amended as necessary to accommodate changes or additions made by replats of property within the District from time to time. Assessment Rate Increases. Pursuant to this Service Plan and Assessment Plan, the District Board of Directors is proposing that it has the ability to meet cost of inflation by increasing annual assessment rate by no more than two percent (2%) per year and by no more than ten percent (10%) in a successive five (5) tear period. Collection and Delinquency. The payment of any annual assessment becomes due and payable to the District when mailed and is delinquent on the next-following February 1 or, if the assessment bill is mailed to the landowner after January 10 following the year for which the assessment is levied, the delinquency date is postponed to the first day of the next month that will provide a period of at least 21 days after the date of mailing. Delinquent installments of the assessment shall incur interest, penalties, and attorney's fees in the same manner as delinquent ad valorem taxes of the City of Houston. The owner of the assessed property may pay at any time the entire assessment then due on each property, with interest that is accrued on the assessment, or any lot or parcel. A lien will be established against the property assessed effective as of the date of the ordinance levying the assessment, privileged above all other liens, including prior mortgage liens, to the extent allowed by Section 375.121 of the Local Government Code. The assessment lien shall be perfected immediately as to the entire assessment, but may be executed only with respect to the amounts then due or past due for current or prior installments or final payment. Assessments are personal obligations of the person owning the property assessed in the year an installment payment becomes due, and only to the extent of such installment(s). Failure of an owner to receive an invoice shall not relieve the owner of the responsibility for the assessment. Management of the District Management and administration of the District shall be provided by the Board of Directors. The Board may subcontract such portions of its obligations to the Saint George Place Redevelopment Authority and to the Saint George Place Civic Association as may be reasonably required Page 22 of 22
