Introduction The Board of Trustees of Oak Grove School District have unanimously voted to authorize the lease of the George Miner Elementary School located at 5629 Lean Ave., San Jose, CA. This decision is part of an ongoing strategic effort to improve the fiscal strength of the District and, in so doing, improve and sustain their ability to provide exceptional educational opportunities to their core constituency of students, families, teachers and staff. The term of the lease described herein shall not exceed three (3) years, after which time extensions requests shall be reviewed by the Board of Trustees. Page 3
Property Overview The Miner Site is a 10.6-acre site improved with 43,200 square feet of buildings (a 33,600 square feet permanent building and 9,600 square feet in modular buildings.) The site is adjacent to Miner Park, owned by the city of San Jose. The permanent buildings were completed in 1964 and the modular buildings were installed between 1997 and 2001. The District has already leased 16,556 square feet of the property to Creekside School, a nonprofit 501(c)(3) nonpublic and private school serving students with autism in 1st-12th grade. The remainder buildings to be leased total 26,664 square feet and includes three (3) academic buildings (6,988 SF, 6,988 SF and 3,088 SF) and ten (1) relocatable classrooms (960 SF for each relocatable). SUBMITTAL OF LEASE PROPOSALS All proposals must contain proposed lease terms and documentation of financial responsibility (detailed below). Proposals must be submitted electronically to Dominic D. Dutra at ddutra@3dstrategies.com with the identification of the Property and the name of the person or entity submitting the proposal. Oak Grove School District reserves the right to accept proposals at any time, or to reject all proposals, at their sole discretion. Minimum Lease Terms Prospective Lessees will enter a lease containing the following minimum terms and conditions: 1. The term of the lease shall not exceed three (3) years (premises may be divisible) 2. The Lease will be an Absolute NNN Lease: Tenant is responsible for taxes, insurance, maintenance with Landlord responsible for major building systems and turning over the premises in good condition and working order 3. The leased premises will include approximately 26,664 SF of rentable square feet 4. Lease of Property to be as is without warranties or representations, express or implied, concerning the suitability of the Property for the proposer s intended use except as expressly stated in the Lease, and will require Lessee to be responsible for any required capital improvements 5. Owner to have reasonable approval rights over any alteration or improvements to the Property 6. Minimum of $2.00 per square foot per month for the building areas and slightly less for relocatable classrooms (including non-exclusive use of parking, and field areas payable monthly in installments; Base Rent) 7. Documentation of Financial Status All proposers must provide documentation showing that they have the financial ability to pay the lease payments on time, and meet the other financial obligations concerning the lease of the Premises as set forth in the lease proposal. The financial documentation is one important factor in determining whether a proposer is a responsible proposer. Examples of documentation that may be required including, but are not limited to, the following; 1. Financial statements for the past three (3) years 2. A minimum of one (1) letter of reference from a major bank or lending institution 3. A statement describing any and all litigation in which the entity and principals have been involved during the past five (5) years, as well as any litigation which is pending or threatened against the entity and principals, and known to the entity based on its reasonable investigation 4. A statement regarding any past or current bankruptcies involving the entity, the principals, or any sub-entity 5. All documentation of financial responsibility shall be submitted with the proposal at the same time as the proposed lease terms. 6. The Owner reserves the right to perform a background or credit check on any entity or principals 7. Additional information may also be requested. Selection Process Selection Process Proposers must demonstrate the experience and expertise in establishing the use of the Property contemplated in the proposer s response to this RFP. In addition, the successful proposer must demonstrate the financial ability to meet the obligations in the proposed lease. The Board reserves the right, if it deems it in their interest, to reject any and all proposals, and to withdraw the Premises from potential lease. At the time a proposal is to be awarded, the Board shall adopt a Resolution directing the appropriate District official to execute a lease with the successful proposer.
