(BCM) for the 2009/2010 Fiscal Year Recommendation: That the Board adopt the attached resolution authorizing the Executive Director to modify the contract with Berkeley Community Media, Inc. (BCM) by extending the term of the contract through June 30, 2010, in an additional amount not to exceed $19,000 for specified services. Background and Need For Rent Stabilization Board Action: The Board has been contracting with Berkeley Community Media (BCM) since June 5, 1995 for live broadcast of regularly scheduled Rent Stabilization Board (RSB) meetings and other services. For Fiscal Year 2009/2010, BCM has agreed to broadcast live, gavel to gavel coverage of all regularly scheduled RSB meetings from the Berkeley City Council Chambers and to assist in producing and telecasting at least one special Express Studio program a month, and to rebroadcast all RSB meetings and special programs for a contract amount of $19,000, the same amount as last year. This amount also includes tape stock for taping of all RSB meetings and Express Studio programs and incidental supplies. On May 12, 2009, the Budget and Personnel Committee unanimously recommended (Blake, Harrison, Stephens, Tregub) that the Board adopt this resolution. Financial Impact: The Fiscal Year 2009/10 budget guidelines set aside sufficient funds for this contract in line item 40-70. Way Berkeley, CA 94704 Re: Berkeley Rent Stabilization Board Contract Renewal for Fiscal Year 2009/2010 Dear Brian: It s that time of year again when we are preparing next fiscal year s budget and renewing contracts. A chart of anticipated services is attached for your review and completion, which is Exhibit A of your contract. Please send a proposal for the contract period July 1, 2009 to June 30, 2010 for the following: (1) live Board meetings gavel to gavel on the third Monday of each month, (2) periodic special meetings on the first Monday of the month, (3) monthly one half hour slots for a live in studio Housing Update program including supplies. Enclosed is a copy of the proposed 2009/2010 fiscal year meeting schedule. Please let me know if there are any conflicts. The Board will discuss and vote on this schedule at its May or June regularly scheduled Board meeting. I ll email you a final approved copy. The Executive Director would like the proposal as soon as possible and no later than May 15 th. Please let me know if that will be a problem. RESOLUTION 09- AUTHORIZING THE EXECUTIVE DIRECTOR TO MODIFY THE CONTRACT WITH BERKELEY COMMUNITY MEDIA, INC. ( BCM ) BY EXTENDING THE TERM THROUGH JUNE 30, 2010 AND INCREASING THE AMOUNT PAYABLE BY AN AMOUNT NOT TO EXCEED $19,000 FOR FISCAL YEAR 2009/2010 and BE IT RESOLVED by the Rent Stabilization Board of the City of Berkeley as follows: WHEREAS, there continues to be public interest in viewing Rent Board meetings on local cable television; WHEREAS, the Board has a continued interest in assisting the public regarding rent control topics through video and film productions; and WHEREAS, BCM has the ability to telecast and record all regularly scheduled Rent Stabilization Board meetings as well as production facilities. NOW, THEREFORE BE IT RESOLVED, by the City of Berkeley Rent Stabilization Board that the Executive Director is hereby authorized to modify Contract No. 3554 with BCM to extend the term through June 30, 2010 and to increase the contract amount by $19,000, to telecast live, gavel-to-gavel, each and every regularly scheduled Rent Stabilization Board meeting, to assist in producing and telecasting Rent Board special programs, to rebroadcast all RSB meetings and special programs, and to assist the Board in producing public information materials as needed. The total amount payable under the contract will not exceed $273,900. Dated: May 28, 2009. MODIFICATION TO AGREEMENT THIS AGREEMENT made and entered into on June 2009 between the CITY OF BERKELEY RENT STABILIZATION BOARD ("Board") and BERKELEY COMMUNITY MEDIA, Inc., ("Contractor"), doing business at 2239 Martin Luther King Jr. Way, Berkeley, CA 94704, who agree as follows: WITNESSES: WHEREAS, Board and Contractor have heretofore entered into an agreement on July, 1, 1996 (Contract No. 3554), as amended June 16, 1997, May 21, 1998, June 24, 1999, May 24, 2000, June 29, 2001, May 24, 2002, June 17, 2003, June 24, 2004, June 28, 2005, June 23, 2006, May 21, 2007, and June 20, 2008 to telecast gavel-to-gavel, Rent Stabilization Board meetings and assist the Rent Board in producing informational topics through video and film productions; WHEREAS, there continues to be public interest in viewing Rent Board meetings on local cable television; WHEREAS, the Board has a continued interest in assisting the public regarding rent control topics through video and film productions; and WHEREAS, Berkeley Community Media, Inc., has the ability to telecast and record all regularly scheduled Rent Stabilization Board meetings as well as production facilities; NOW, THEREFORE, for and in consideration of the terms and conditions herein contained, Board and Contractor agree as follows: 1. That Section 2 of said Agreement shall be amended to read as follows: "For services referred to in Section 1, Board will pay Contractor $19,000 for Fiscal Year 2009/2010 for a total amount payable under this Contract not to exceed $273,900. Board shall make payments to Contractor in accordance with the provisions described in Amended Exhibit A and Amended Exhibit B, which

are attached to and made a part of this Contract." In all other respects, the Agreement dated July 1, 1996, as previously modified, shall remain in full force and effect. SCOPE OF SERVICES 1. Contractor agrees to telecast live, gavel-to-gavel coverage of all regularly scheduled Rent Stabilization Board (RSB) meetings from the Berkeley City Council Chambers. In addition to the original live telecast of such meetings, Contractor will twice telecast a videotape of the meeting. The first telecast shall be within one week of the meeting and the second shall be within a month of the meeting. The Rent Board will provide Contractor with a list of all regularly scheduled meetings for the fiscal year. 2. The RSB shall be allowed reasonable use of the Message Board system for public information notices. 3. Contractor shall assist the RSB in either producing at least one informational tape a month for public distribution, which provides pertinent information on the Berkeley Rent Ordinance and the services provided by the RSB or at least one special program a month, which provides public information on housing issues in the City. If the RSB does not produce a tape or housing program during any given month, Contractor shall make two additional telecasts of the most recent RSB meeting. 4. Contractor will provide the following services in consideration for a total annual fee not to exceed $19,000: Services Provided Quantity Amount Live, gavel to gavel coverage of scheduled meetings of the full RSB Production of monthly Express Studio programs Cablecast meetings and Express Studio programs Up to 15 per year $ 8,800 Up to 4 per year Included Up to 82 per year $ 9,500 Tape stock Up to $ 400 Incidental supplies Various $ 300 TOTAL $19,000 All additional productions will be calculated on an individual basis at a rate of $225.00 per production. Additional productions must be scheduled no less than two weeks in advance. Any meetings scheduled outside of council chambers will also need to be scheduled two weeks in advance and will requires an additional set-up fee of $150.00. The production services provided by Contractor for these items shall be limited to on hand resources filming conducted at the Contractor s offices at Berkeley High School, where production facilities already exist.

AMENDED EXHIBIT B PAYMENT SCHEDULE Contractor shall be paid $19,000 for the annual services described in the Amended Schedule A attached to and made part of this Contract. The first payment of $9,500 will be due on or before August 1, 2009; and the second payment of $9,500 shall be made on or before January 15, 2010. Contractor to submit invoices at least two weeks in advance of due dates. Contractor shall be paid on a fee basis for all additional productions as specified in Amended Schedule A.
