We do hereby certify as follows: 1. The name of the District is River Place Limited District. 2. The District consists of the tracts of land (more particularly described by metes and bounds on the Exhibits A through E and attached to River Place Municipal Utility District (the "Municipal Utility District") Information Form No. 24, recorded as Instrument No. 2006019552 on February 3, 2006. 3. A map of the boundaries of the entire District is attached as Exhibit A to the Municipal Utility District Information Form No. 24. 4. The total 2017 tax rate levied by the District on property within the District was $0.0750 per $100 of assessed valuation. 5. The total amount of bonds which have been approved by the voters and which were authorized to be issued by the Limited District was $0.00. 6. The aggregate initial principal amount of all bonds of the District payable in whole or in part from taxes (excluding refunding bonds and any bonds or portion of bonds payable solely from revenues received or expected to be received pursuant to a contract with a governmental entity) which have been previously issued is $0.00. 7. As of this date, there is no standby fee imposed by the District. 8. An election to confirm the conversion of the District from a municipal utility district to a limited district will be held on May 5, 2018.

9. The District is performing or will perform functions as follows: contracting for the provision of municipal solid waste collection and disposal services; the operation and maintenance of parks, recreational facilities, and a nature trail within the District. 10. All of the property within the boundaries of the District is subject to the terms and conditions of a Strategic Partnership Agreement between the District and the City of Austin (the "City"), dated September 7, 2009 (the "Agreement"). Pursuant to the Agreement, the City annexed all of the property in the Municipal Utility District on or about December 15,2017, at which time the River Place Municipal Utility District converted into the River Place Limited District. The Agreement also establishes the governmental and operational relationship between the City and the District, all as authorized by Section 43.0751, Texas Local Government Code. A copy of the Agreement may be obtained by contacting the offices of the District and questions concerning the Agreement may be directed to the District or the City of Austin Planning-Environmental and Conservation Services Department. 11. EXHIBIT "A" RIVER PLACE LIMITED DISTRICT NOTICE TO PURCHASER THE STATE OF TEXAS COUNTY OF TRAVIS The real property, described below, which you are about to purchase is located within River Place Limited District (the "District"). The District has taxing authority separate from any other taxing authority. The most recent tax rate levied by the District on property within the District was $0.0750 per $100 of assessed valuation. The total amount of bonds, excluding refunding bonds and any bonds or any portion of bonds issued that are payable solely from revenues received or expected to be received under a contract with a governmental entity, approved by the voters and which have been or may, at this date, be issued is $0.0. The aggregate initial principal amounts of all bonds issued for one or more specified facilities of the District, and payable in whole or in part from property taxes is $0.0. The District is located within the corporate boundaries of the City of Austin. The taxpayers of the District are subject to the taxes imposed by the municipality and by the District until the District is dissolved. By law, a District located within the corporate boundaries of a municipality may be dissolved pursuant to the Agreement, described below. All of the property within the boundaries of the District is subject to the terms and conditions of a Strategic Partnership Agreement, as amended, (the "Agreement") between the District and the City of Austin, dated September 7, 2009. Pursuant to the Agreement, the City of Austin annexed all of the property in the Municipal Utility District on or about December 15, 2017, at which time the River Place Municipal Utility District converted into the River Place Limited District.
