Agenda Item County of Hanover Board Meeting: May 11, 2016 Subject: Public Hearing Department of Public Works Conveyance of Signal Easement to Virginia Department of Transportation Fleet Services Facility GPIN 7788-47- 2151 Magisterial District: Ashland Summary of Agenda Item: On April 13, 2016 the Board of Supervisors authorized advertisement of a public hearing for May 11, 2016 regarding a request to convey a 5374.55 sq. ft. permanent traffic signal and maintenance easement to the Virginia Department of Transportation (VDOT) across the Hanover County property GPIN 7788-47-2151 (Fleet Services) for the purpose of constructing and maintaining a traffic signal at the intersection of Sunshade Lane. The signal would be constructed by the developers of the Outlet Shops at Richmond. The signal easement has been reviewed with the Director of General Services and staff believes the signal easement can be granted with no adverse effect to the Fleet Services Facility. DPW recommends approval of the conveyance by deed using the attached plat and deed prepared by VDOT and reviewed and approved as to form by the County Attorney s Office, or documents substantially similar, and requests authorization for the County Administrator to take all actions necessary to finalize the transaction. County Administrator s Recommended Board Motion: Motion to conveyance by deed of a 5374.55 sq. ft. permanent traffic signal and maintenance easement to VDOT across the Hanover County property GPIN 7788-47- 2151 (Fleet Services) and authorize the County Administrator to take all actions necessary to convey the property interest.

WITNESSETH: THAT WHEREAS, it is proposed by the Commonwealth to improve a portion of State Highway Route 782 Lakeridge Parkway, in the County of Hanover, Virginia adjacent to the lands of Grantor; and WHEREAS, in the improvement it is necessary that the Grantee enter upon the lands of the Grantor located in Ashland Magisterial District, in the aforesaid county to install, maintain, renew, replace, operate and use traffic signal equipment and devices; NOW, THEREFORE, for and in consideration of One Dollar ($1.00) cash in hand paid to the Grantor, and other good and valuable consideration, including various governmental approvals obtained from the County of Hanover and the Grantee, the receipt and sufficiency of which is hereby acknowledged, the Grantor grants and conveys to the Grantee, with general warranty and English Covenants of Title, the permanent, non-exclusive right and easement to use the area shown and identified as PROPOSED PERMANENT TRAFFIC SIGNAL AND MAINTENANCE EASEMENT on a plat by Timmons Group, entitled COMPILED PLAT SHOWING PERMANENT TRAFFIC SIGNAL AND MAINTENANCE EASEMENT ACROSS THE PROPERTY OF HANOVER COUNTY, VIRGINIA, GPIN 7788-47-2151 dated March 21, 2016, a copy of which is attached hereto as Exhibit A and recorded herewith (the "Plat"), containing 0.123 acre, more or less (the "Easement Area") to install, maintain, renew, replace, operate and use electric traffic signal facilities, including but not limited to, foundations, poles, an overhead traffic signal {00353072;v2} 1
standard, traffic signal display equipment, and associated electrical circuits (the "Facilities"). The Grantor reserves the right to use the Easement Area in a manner not inconsistent with the rights herein conveyed, or which does not interfere with or endanger the Facilities, and to grant other subordinate easements affecting the Easement Area provided, however, the Grantor shall not erect buildings or any other structures, except fences, signage, paving, curb and gutter, and landscaping, within the easement area without obtaining the prior written approval of the Grantee. If, in the exercise of the right of ingress and egress to the Easement Area, damages are done to the Grantor's property outside the boundaries of the Easement Area, and the Grantor gives written notice within 90 days of such damage, the Grantee shall repair the damage or, at its option, pay the Grantor the reasonable cost to repair the damage. All Facilities installed or constructed by the Grantee within the Easement Area shall be and remain the property of the Grantee. The Grantee, at its expense, shall restore, as nearly as practicable, the Easement Area to its prior condition upon completion of any construction or installation of the Facilities. Restoration shall include the removal of all debris and trash, the backfilling and compaction of trenches, the replacement of fences and landscaping, the replacement of top soil and the reseeding or sodding of lawns. The Grantor by the execution of this instrument acknowledges that the plans for the project as they affect its property have been fully explained to its authorized representative. The Grantor covenants and agrees for itself, its successors and assigns, that the consideration mentioned above and paid to it shall be in lieu of any and all claims to compensation for easement, and for damages, if any, which may result by reason of the use to which the Grantee will put the easement to be conveyed.
