General Instructions UTI ITSL is interested in taking on lease basis office premises for its Branch Office as indicated above. UTI ITSL invites 1. Technical Bid, and 2. Financial Bid from the owners of COMMERCIAL PREMISES admeasuring 350 to 500 Sq. ft. of carpet area (The area is approximate and UTI ITSL can take plus/minus 15% of area mentioned) to be taken ON LEASE in the business area as specified above. 1. The intending bidder has to purchase three envelopes and mark the envelopes as I, II and III. Usage of Envelopes will be as under i) Envelope marked as I The duly completed Technical bid be put in this envelope and sealed. This envelope would be superscribed as Technical Bid. ii) Envelope marked as II The Financial bid be put in this envelope and sealed. This envelope would be superscribed as Financial Bid. The financial bid shall comprise of the lease rent/ license fee. This bid will be opened if the offer is found suitable and the date of opening of the Financial bid will be intimated to the bidders of the shortlisted offers only. iii) Envelope marked as III The above two sealed Envelopes No. I and No. II be placed in Envelope No. III and sealed. (i.e. Envelope marked as III, will contain two separately sealed envelopes marked as I & II). This envelope marked as No. III would be superscribed as Tender for offer of office premises at Agra, Uttar Pradesh. iv) If the tender is not superscribed then there are chances of accidental opening and for liable rejection of the tender, therefore it is advised that the tender be superscribed as above and deposited in the tender box kept for the purpose. 2. The duly filled in and sealed and superscribed tenders must be deposited in the specified tender box kept at the address of UTI Infrastructure Technology and Services Ltd., Shop no. 101, 1st floor, Anand Vrindaban Building, Sanjay Place, Agra- 282 002. 3. The tenders may also be sent by post to reach before the scheduled date and time of 3.00 pm on the date given above, at the above address where the tenders are deposited. 1 P a g e

4. The following are essential conditions to be followed for the tender sent by post, failing which the tender may not be opened and not considered or may be treated invalid a. Tender should be sent by Speed Post or Registered Post or by depositing in the Tender Box only. Tenders sent through any other means may not be considered at all. b. Tender should be sent only to the address mentioned above, if sent by Speed Post or Registered Post. c. Acknowledgement will be given to Department of Post only for tender sent by Speed Post and Registered Post. d. Tender should be superscribed as Tender for offer of office premises at Agra, Uttar Pradesh. (The tenderer has to necessarily superscribe the envelope, failing which the tender may not be considered and may remain unopened or may be accidentally opened before due date rendering it invalid.) e. TECHNICAL BID FOR TAKING OFFICE PREMISES ON LEASE AT AGRA, UTTAR PRADESH. On receipt of the Technical Bid, the said premises will be inspected for preliminary shortlisting by a Committee and if the premises are found suitable, then only the Financial bids will be opened subsequently for the shortlisted premises. Instructions 1. The Technical Bid can be forwarded by Owner or Owner s representative. Representative will have to enclose the letter of authority along with this offer. Otherwise the offer is liable to be considered null and void at any stage as per the decision of UTI ITSL. 2. The requirement is of premises for Office space on lease, if owner has more than one premises to be offered, a separate Technical Bid has to be submitted for each of the premises to be given on lease. The Technical Bid form can be freely downloaded from the website of www.utiitsl.com or can be obtained free of cost from the office of UTI Infrastructure Technology And Services Ltd, Shop No. 101, 1 st Floor, Anand Vrindaban Building, Sanjay Place, Agra-282002. 3. The Technical Bid Form for lease of premises is to be dropped in the Tender Box kept for the purpose at UTI Infrastructure Technology And Services Ltd, Shop No. 101, 1 st Floor, Anand Vrindaban Building, Sanjay Place, Agra-282002. on or before 3.00 PM on the date as specified above or it has to be sent by post so as to reach on the stipulated date by the stipulated time. We understand that a) No brokerage is payable by UTI ITSL to us or our representative in this transaction. b) All payments would be made through bankers cheque / draft in connection with the lease. c) Preference would be given to the premises offered by Public Sector Undertakings/ Government Departments and other Government bodies. d) Preference would be given to the premises located on ground floor or first floor. e) Preference would be given to the suitability of location of the premises. The suitability of the premises would be ascertained by a Committee. Merely by filling up the application / Technical Bid, does not entitle the owner for conclusion of the deal in his favour. f) The premises in good locations/ societies and better-maintained buildings would be preferred to others. Premises with better amenities like lift, backup power/ DG set, premises with parking space etc. would be preferred. g) The premises should be ready for possession and occupation with all the necessary documents required for giving premises on lease along with No Objection Certificate from 4 P a g e

concerned authorities and society as far as applicable. The owner has to produce the documents when demanded. h) The owners of the short listed offers would be asked to give a certificate to the extent that the property could be given on lease for office purpose legally. i) The area of the premises should be 350 to 500 sft. carpet area. However, this area is approximate and UTI ITSL reserves the right to take somewhat more or somewhat less area. The area which would be taken would be governed by this principle but will not be a hindrance due to the actual constructed area. j) The initial term of lease is for a period of 3 years with two renewals i.e. 3+3+3 i.e. 9 years. However, the minimum lease period has to be 3+3 i.e. 6 years (lock-in) i.e. the owner has to agree for a renewal clause for next 3 years i.e. for a total of 6 years. k) The renewal would be with escalation of 5% every year after the 1 st year of lease on the basic rent. l) The Society Maintenance charges, the property tax and the service tax would be reimbursable by UTIITSL as per actual and should not form a part of the lease rent. This will be payable on submission of the proof of such payment by Lessee/ Licensor. m) The actual consumption of electricity / water charges would be payable by UTIITSL. n) The Security Deposit payable would be 3 months rent only. o) The Registration and Stamp Duty would be payable by UTIITSL. Similarly UTIITSL would take the Insurance of its belongings in the premises. p) The advertisement released in this context will form part of the contract. q) By submitting this offer the owner has permitted UTI ITSL or their representatives, with prior appointment, to inspect the property offered as well as the property documents and to carry out the measurements, valuations etc. thereof. 9 Carpet area of the office premises offered in sq. ft. / sq. mtrs. For computation of the carpet area the definition adopted in this tender will be the covered areas excluding the outer walls. Inner walls, hall, rooms, toilets, kitchen, store, passage, covered balconies, will be counted. (Area subject to measurement) i.e. the total usable area within the walls of the premises offered exclusively. 10 Municipal approved plan to be Enclosed/ provided on demand. 11 Whether the building is authorized & approved construction? Completion/ Occupation certificate to be enclosed for proof. 12 (a) Structural Stability certificate from a Structural engineer would have to be Enclosed/ provided on demand. Declaration given by owner that premises is authorized/ legal and is approved construction. Yes/ No. (b) Certificate of an Engineer/Architect/Fire as per norm of the municipality/statutory authority. 13 Available electrical load (minimum 5 to 8 KW with 3 phase required) if not available the same to be made available by the landlord. Procedure a) The premises which are not as per the location/city indicated would be summarily rejected even without inspection. b) The premises will be visited for short listing and a preliminary list will be prepared to limit the premises to the suitably best 2 or 3 premises. c) The owners of such shortlisted offers would be required to get their property documents examined by the Solicitors appointed by UTI ITSL (or Legal department of UTIITSL) to the extent that the property could be given on lease, and the decision of UTI ITSL solicitors / Legal department of UTIITSL, in this matter would be final. d) A list of premises qualifying legally would be prepared from the premises selected in (b) above after step (c). e) The financial bids would be opened for the properties which are shortlisted and found legally suitable. The date and time of opening would be intimated separately to the bidders of the shortlisted premises through email/ to the address given. f) The property, if mortgaged, required NOC would be provided to the satisfaction of UTI ITSL /solicitors on demand by UTI ITSL. g) The drafts of all documentation that may be finalized by UTI ITSL and/or its lawyer shall be final and binding. 8 P a g e

h) UTI ITSL is not bound to accept any or all the Technical Bid forms and will not be required to give any reason for rejecting any bid. i) In Technical Bid NO FINANCIAL CONSIDERATION have to be given. Only if the premise is shortlisted then the financial bid will be opened of the shortlisted properties. Other Conditions A) The amenities to be provided by the owner / landlord may be listed as under ( mention the amenities) a) b) c) B) Validity 1) The evaluation of suitability and shortlisting would be done within 5-8 working days from date of opening Technical Bid. 2) Financial bid shall be valid upto 90 days after opening of the financial bid. 3) The above validity can be extended by mutual consent.
