STAFF REPORT DATE: 01/04/19 TO: Port Commissioners FROM: Paula Miranda RE: Oregon Aero Scappoose Industrial Airpark Discussion As the commissioners know, we have been working with Oregon Aero on a way to help them catch up on their rent and to continue operations of their business at the Scappoose Industrial Airport. Oregon Aero has been a Port tenant for many years and currently employs around 60 FTE. At the moment Oregon Aero owes the Port $136,912.39 for back rent and $64,541.70 on promissory note. Oregon Aero owns an unencumbered 13,904 square feet building (Building 50) located within the Scappoose Industrial Airpark. Oregon Aero offered to sell Building 50 to the Port and lease it back, so to resume its operations. The Port and Oregon Aero hired independent appraisers, which valued Building 50 at $1,130,000 and $1,070,000 concurrently. The appraisers took into consideration Oregon Aero s leasehold of the land versus ownership. Staff has also ran some comparisons and agreed with the appraisers valuation. Port staff and Oregon Aero negotiated a purchase price of $1Million dollars subject to Board approval. If approved, Oregon Aero will immediately lease Building 50 and surrounding land from the Port. The existing lease shall be amended to reflect changes on the existing lease boundary. The rental income shall be sufficient to pay for the monthly loan incurred on the purchase of the building. The $1Million dollar purchase will allow Oregon Aero to pay the Port back rent, promissory note, 6 months of prepaid rent in each of the three Port leases for a total of $363,410. Plus all back taxes owed to the County in the amount of $55,687.67. The remainder amount will allow Oregon Aero to have additional capital for their production on which they have had enough orders, but could use additional supplies for their future production. This seems to be a winning situation to all parties involved as the Port gets paid, the County gets paid, Oregon Aero can continue its operation and keep its 60 employees. RESOLUTION NO. 2019-01 A RESOLUTION AUTHORIZING THE PORT OF COLUMBIA COUNTY TO ENTER INTO A PURCHASE AND SALE AGREEMENT WITH OREGON AERO, INC. WHEREAS, Oregon Aero, Inc. owns a 13,904 square foot building located within Port property located at 34050 Skyway Drive, at the Scappoose Industrial Airpark, more commonly known as building 50 (the Building ); and WHEREAS, after the Port reviewed two appraisals performed on the Building, the Port would like to offer $1,000,000 to purchase the Building pending certain conditions as provided under the Purchase and Sale Agreement; and BE IT RESOLVED that the Board authorizes the executive director to execute the Purchase and Sale Agreement as presented. RESOLUTION NO. 2019-02 A RESOLUTION AUTHORIZING THE PORT OF COLUMBIA COUNTY TO AMEND A LEASE AGREEMENT WITH OREGON AERO, INC. WHEREAS, On July 1 st, 2017, Oregon Aero, Inc. entered into a Lease with the Port of St. Helens now known as Port of Columbia County where Lessee leased from the Port a building ( Building 20 ) totaling approximately 13,720 square feet, along with a portion of the real property, including approximately 52,680 square feet of additional land located within the Port's property known as the Scappoose Industrial Airpark ( Lease ). WHEREAS, in a separate transaction, the Port has agreed to purchase from Lessee the 13,904 square feet building ( Building 50 ) also located within the Lease. Lessee has agreed to lease back Building 50 plus 22,864 square feet land surrounding the building. Upon closing of Building 50, Lessee shall enter into a separate lease with the Port for Building 50 and surrounding land; and WHEREAS, the Port and Oregon Aero now wish to amend the July 1, 2017 to reflect the new Premises, which shall comprise of the 13,720 square feet building, plus additional land of 15,918 square feet (the Premises ). BE IT RESOLVED that the Board authorizes the executive director to execute the First Amendment of Lease as presented. BE IT RESOLVED that the Board authorizes the executive director to execute the Lease Agreement at closing immediately following the purchase of Building 50 under the terms of the agreement as presented. STAFF REPORT SBM Lighting Project DATE: January 23, 2019 TO: FROM: RE: Commission Board Craig Allison Property and Operations Manager Scappoose Bay Marina Main Walkway Lighting Discussion For a while we ve pursued projects to improve the lighting on the docks at the Marina. The Marina Advisory Committee has also advocated for such work. A couple of years ago, we added light posts and replaced fixtures for better coverage and efficiency on E dock, the outermost one with mostly boathouses and floating homes on it. Similarly, this new project is to add lighting on the main walkway, which currently has none, and to improve lighting at each gate. Such work will greatly improve illumination, safety, and accessibility on that long stretch. We found that it made the most sense cost-wise to break this project into its components. We solicited informal quotes in each area, and based on that we recommend Peak Electric for the electrical work. However, we can source the fixtures themselves from Consolidated Electrical Distribution (CED) more cheaply than as part of the electrical package. The maintenance crew can fabricate the light poles, as they did before, so funds are provided here from Ferguson for those materials. Recommendation Approval of Resolution No. 2019-04. Page 1 of 1

RESOLUTION NO. 2019-04 A RESOLUTION APPROVING THE SELECTION OF VENDORS FOR A LIGHTING PROJECT AT THE SCAPPOOSE BAY MARINE PARK. WHEREAS, the main walkway and gate areas of the docks at the Port s Scappoose Bay Marine Park have needed better lighting for some time, to improve safety and accessibility, and such a project was included in the current budget; and WHEREAS, following the Port s standard procurement procedures; staff elected to separate out the different project elements, and solicited informal quotes for each: the electrical work, the lights themselves, and the materials for the lightposts; and WHEREAS, as a result, based on cost, experience and quality comparisons, staff recommends the vendors listed below for those project elements; now therefore BE IT RESOLVED by the Board of Commissioners of the Port of Columbia County that Peak Electric is selected to provide electrical installation services for the project, at a cost of $7,995.00, with contractual provisions for additional costs as defined by a change order and approved by the Executive Director or his designated representative; and BE IT FURTHER RESOLVED that Consolidated Electrical Distribution (CED) is selected to provide electrical light fixtures for the project, at a cost of $2,157.00; and BE IT FURTHER RESOLVED that Ferguson Enterprises is selected to provide steel pipe for the lightposts, at a cost of $452.00. STAFF REPORT Bayport RV Park Fee Adjustment DATE: January 23, 2019 TO: FROM: RE: Board of Port Commissioners Miriam House Property/Operations Asst. Manager Adjustment to Bayport RV Park Fees Discussion Fees for Bayport RV Park (BRVP) have not been evaluated since the original financial analysis and conceptual plans were completed in 2013. Port staff has conducted a new rate comparison study which is included for your review. The results of this study show that the current rate of $28 per night is below market for both public and private parks. The Port staff proposes the rate be increased to $30 per night. The Marina Advisory Committee is unanimous in favor of this increase. BRVP has had a positive impact on our community and seasonal occupancy remains high. In order to be responsive to our guest s needs we are currently making improvements to the Park and providing more amenities. This $2 increase will help offset the costs the Port incurs for, credit card fees, hospitality taxes and those improvements. Because our kiosk does not make change, we also expect that the increase will largely reduce staff time spent with customers during payment transactions. Port staff also recommends that rates for BRVP should be evaluated every 2 years as are the Scappoose Bay Marina and Scappoose Industrial Airpark. Recommendation Adopt Resolution 2019-05 to adjust the rate at Bayport RV Park to $30 per night and consider Park fees every 2 years. Page 1 of 1

RESOLUTION NO. 2019-05 A RESOLUTION ESTABLISHING RV PARK FEES AT SCAPPOOSE BAY MARINE PARK. WHEREAS, Ordinance No. 2007-01 authorizes the Board of Commissioners for the Port of Columbia County to establish and charge fees at the Scappoose Bay Marine Park, and WHEREAS, the Commissioners adopted the current Bayport RV Park fee schedule through Resolution 2013-38; and WHEREAS, historically, the Port has adjusted the fee schedule according to the Consumer Price Index every other year for Scappoose Bay Marina and Scappoose Industrial Airpark; and WHEREAS, the Board of Commissioners finds that the Port should adjust the rates for Bayport RV Park guided by CPI or other market factors every other year, if needed; now, therefore, BE IT RESOLVED that the following are hereby established as RV Park fees at the Bayport RV Park and Campground: TYPE OF FEE RV Space Parking Fines for Invalid or No Permit Displayed AMOUNT $30.00 per night $50.00 per day BE IT FURTHER RESOLVED that the rates for Bayport RV Park will be considered every two years. BE IT FURTHER RESOLVED that the Executive Director shall promulgate administrative rules as needed from time to time regarding use of the RV Park and its facilities. BE IT FURTHER RESOLVED that Resolution 2013-38 is hereby repealed.
