-1_- Riverview Greenhouses Request for Offers Introduction On June 13, 2014, was appointed Receiver (the "Receiver" or the "Vendor") of Riverside Greenhouses ("Riverside Greenhouses") pursuant to an Order of the Honourable Justice Wilton-Siegel (the "Receivership Order") granted on application by 1302758 Ontario Limited ("1302758"). A copy of the Receivership Order is attached hereto as Appendix The Receiver has been appointed as receiver of all of the assets, undertakings and properties of Riverside Greenhouses and as such, is requesting offers to purchase the real property, buildings and fixtures of Riverside Greenhouses including all benefits, advantages, licenses and rights relating thereto (the "Assets") which are described further in this Request for Offers. Notice to Reader The information contained herein has been obtained from the books and records of Riverview Greenhouses and from other sources and does not purport to contain all the information a prospective purchaser may require. The package has been compiled solely for the convenience of prospective purchasers to assist them in their determination of whether they wish to express further interest in acquiring the Assets. This package does NOT form part of any terms or conditions of sale. The Receiver has not independently verified any of the information contained herein including appendixes (information package) and makes no express or implied representation or warranty with respect to its accuracy or completeness. The Receiver as Vendor or in any capacity shall not have any liability for or with respect to any of the information contained in this information package, or for any omissions from this information package or for any other written or oral communications transmitted to prospective purchasers in the course of their evaluation of the Property. The Receiver expressly advises, and the prospective purchaser acknowledges, that the prospective purchaser is not relying on, and could not reasonably rely on the aforesaid information in arriving at any decisions in connection with the Assets. -2- Neither this information package, nor its delivery to any prospective purchasers, shall constitute an offer to sell the Assets. The Vendor will consider written offers to purchase the Assets. No offer shall be considered accepted until a formal agreement of purchase and sale, in form acceptable to the Vendor, has been executed by the parties. Acceptability of Offers The Receiver is inviting the receipt of offers for the purchase of the real property owned by Riverside Greenhouses on an "as-is where-is" basis in accordance with the Terms and Conditions of Sale (Appendix 2.) and set out in an offer submitted substantially in the form of the draft Agreement of Purchase and Sale ("APS") attached as Appendix 3 Offering Process After reviewing this package and making such other inquiries and investigation as the potential purchaser may require, potential purchasers are requested to submit an offer to purchase to the Vendor. The offer should be submitted in accordance with the Terms and Conditions of Sale attached hereto as Appendix 2 and be submitted substantially in the form of the draft APS attached hereto as Appendix 3. "Blacklined" copies of the APS must be submitted if there are any changes to the standard APS. Potential purchasers must arrange their own financing and offers will not be considered if they are subject to a financing condition. Title to the Assets will be transferred to the successful offeror by way of a Vesting Order provided by the Court which will enable the transfer of assets free and clear of any encumbrances. -3- Background and Description of Assets for Sale Site Description: The subject property is located on the south side of Line #8 just five lots east of the junction with Concession 3 Road. The irregular site has a northern boundary/frontage of 4225 ft. and a rear south boundary of 744.59 ft. and an eastern boundary/flankage of 947.44 ft. According to GeoWarehouse and Plan 30R-10627 the overall subject site contains 14.4:14 acres. The main driveway exits from Line #8 to the subject property. The site is on a municipal water and septic systems. There is also a pond on site. Improvement Description: Located on the subject property is a 96,672 sq. ft. commercial greenhouse operation built in two phases 2001 and 2005 according to owner representative. It is of Leaxon-Poly construction components with ceiling height (:13 ft. to the gutter). The property was used recently to produce potted bedding plants. There is a drip and mister water and purification system and unknown if it is operative. There is a boiler heating system which is non-functional. There is a concrete form work station of approximately 2,768 sq. ft. There ~ is a 1.5 storey house partially renovated.
