Canadian Wollastonite is proposing to expand extraction operations onto adjacent lands within the City of Kingston. These lands abut the current mine site to the east and are legally described as Part of Lots 37 and 38, Concession 10, geographic township of Pittsburgh, in the City of Kingston. The lands in the two municipalities are separated by a 20 metre unopened boundary road allowance jointly owned by the City of Kingston and the Township of Leeds and the Thousand Islands. It is CW s intent to acquire, realign and lease the road allowance with the City and the Township. Councils from each municipality need to approve the road allowance closure, land exchange and land lease to effect the deal. Staff from the City have been working cooperatively with staff from the Township to facilitate this process. Concurrently, Canadian Wollastonite is proceeding with the submission of Planning Act applications to permit the expansion of the mine from exclusively within the Township portion of its property into the City of Kingston portion of its property. Report to Council Report Number 18-198 Options/Discussion: September 4, 2018 Page 4 of 7 At the northeastern limit of the City of Kingston municipal boundary, CW owns and operates a mining operation on property that stretches across the boundary line between the municipality of Kingston and the neighbouring Township of Leeds and the Thousand Islands (TLTI). Along the boundary line between the municipalities is a shared, unopened boundary road allowance that was created as part of the original Crown land grant which included the creation of the layout of Ontario townships. This boundary road allowance is jointly owned by the municipalities and bisects the CW lands. CW is an extractive mining operator, extracting the mineral wollastonite under license from the Ministry of Northern Development and Mines. From CW s website: Wollastonite is a little-known but extremely useful calcium-silicate mineral (CaSiO3) created when impure limestone, often in the presence of silica-bearing metamorphic rock, is subjected to high temperature and pressure. It is a relatively rarely-occurring mineral and is produced in a few places worldwide with only 3 mines in North America offering the product. The following is a list of current applications including but not limited to; Environmental Rehabilitation, A High Performance Aggregate, Construction, Metallurgy. The Official Plan recognizes in Section 3.16.A this wollastonite deposit as a significant mineral deposit and includes policies to protect the viability of the deposit for use, and to protect the area of the deposit from developments that are incompatible with wollastonite extraction operations. These Official Plan policies are directly aligned and consistent with the policy direction with respect to minerals and mineral mining operations included in the current Provincial Policy Statement (2014), made under the Planning Act. Currently, CW utilizes an extraction pit on the TLTI portions of their lands, and is seeking to expand its license from the Ministry of Northern Development and Mines to begin expansion of their mining operations to the west, across the boundary road allowance and within the portion of its property within the City of Kingston. The expansion also includes a proposed new south mine extraction area on lands within the TLTI portion of the property. Exhibit B provides aerial imagery of the lands with the proposed mine extraction areas and realigned boundary road allowance depicted. The City was initially contacted by CW with a request to purchase the portion of the shared boundary road allowance from the City and TLTI that is located within the proposed expanded mining operations area. Staff reviewed the request and notified CW that the disposition of the road allowance would not be pursued without exploring other alternatives. Rural, unopened road allowances provide important opportunities in the long term planning and growth of municipalities. This particular allowance forms a portion of a lengthy unbroken corridor which could be utilized for important infrastructure in the future, such as new road networks, trails and pathways, and utility corridors. Additionally, this unopened road allowance has the benefit of being a boundary road allowance between two municipalities. It is aligned with Seabrooke Road Council Meeting 20 September 4, 2018 43

Report to Council Report Number 18-198 September 4, 2018 Page 5 of 7 to the south, connects to Kingston Road 15 to the north, and continues to the northeast corner of the City of Kingston municipal boundary at the Rideau Canal. The first alternative to a sale of the road allowance was to sell or lease it with conditions for it to be returned to City and TLTI ownership when the mining operations were finished, approximately 20-40 years from now, as it is unlikely that the boundary road allowance will be needed within this timeframe. However, upon staff s review of detailed information provided by CW, CW s proposed Closure Plan application to the Ministry of Northern Development and Mines proposes extractions that leave significant sheer walls adjacent to the road corridor. The south wall of the extraction area will be approximately 21 metres high where it intersects with the existing road allowance, and 6 metres high at the north wall of the extraction area. These vertical drops would make future road constructability and operability highly disadvantaged and significantly more costly, while recreational uses such as a public trail would be completely out of the question without significant filling and sloping of the extracted area, as well as adjacent areas well beyond the limits of the road allowance boundary. Projected revenues from a sale or lease were far lower than costs to construct a road. It is also acknowledged by staff that the existing unopened road corridor in this location has significant challenges for constructability due to existing topography south of the mine expansion limits. In light of the above, discussions between the City and CW then focused on the potential for a realignment of the unopened road allowance which would go around the planned mineral extraction areas and considered the existing topography, thus maintaining an unbroken corridor that the boundary road allowance provides between Seabrooke Road and Kingston Road 15. CW owns a significant amount of land that is needed for mining operations but is not planned for mineral and aggregate extraction. During the ongoing discussions, information reviews and following a site visit, it was determined that a realignment of the road allowance to the east is practical. The realignment is entirely within the TLTI municipal boundary, but the ownership can continue to be shared equally between the City and TLTI. The realigned shared road allowance envisioned (Exhibit A) would align with the existing current road allowance to the north and south of the CW extraction area, and while the south extraction area is in near proximity to the proposed realigned road allowance, the resultant topography is manageable from a road design perspective. In addition to avoiding the substantial issues that the extraction activities would have on the future use or development of the shared road allowance, the recommended realignment will also bypass a significant natural topographical quartzite outcrop that exists within the current unopened road allowance to the south of the extraction area. This outcrop would also inhibit the construction of any future road (Exhibit B). The proposed realigned portion of the boundary road allowance is predominantly on flat ground. The realignment option has been pursued and is preferred by City staff, TLTI staff and CW. Therefore, City staff recommend a land exchange to ensure that a shared boundary road allowance is maintained in the possession of the City and TLTI. CW is responsible for all costs incurred by the City and TLTI for the land exchange including external legal support the City has sought to understand the City s rights with respect to owning a road allowance through a mining operation. Report to Council Report Number 18-198 September 4, 2018 Page 6 of 7 In addition to the land exchange, the new realigned portion of the boundary road allowance will be leased by the two municipalities to CW to facilitate its operations. The term of the land lease is 20 years, with two options to renew for 10 years each. The lease entered into with CW on the realigned shared road allowance would be with both the City and the TLTI as shared owners of the new road alignment. The lease rate will be $1,000 per year for the first 10 years, rising to $1,500 for the second 10 years of the term, all to be split evenly between the City and TLTI. In the event a 10 year renewal is sought at the end of the 20 year term, updated insurance requirements and lease rates are to be negotiated. Upon conclusion of the lease, the road allowance could be dedicated as a public highway by the municipalities. To facilitate the proposed expansion of the wollastonite mine, the owner is also required to obtain municipal approval of an application under the Planning Act for a zoning by-law amendment. The developer has indicated that the submission of the required Planning Act application is pending. Upon receipt of a complete application, planning staff expect to schedule a statutory Public Meeting at the first available meeting of the Planning Committee after the mailed and signed notification has been issued for a minimum of 20 days, per the Planning Act. Existing Policy/By-Law: The proposed realignment of the boundary road allowance is supported by, and is in alignment with provisions included within the City of Kingston Official Plan as well as the Provincial Policy Statement (2014), for the protection of the viability of mineral resource deposits of wollastonite. In accordance with the Municipal Act, 2001, S.O. 2001, c.25, section 34 (1), a by-law must be registered on title to close any portion of a road and when it is a boundary road allowance, the Council of each municipality must pass such a by-law. Once the by-law has been passed and registered, the City will have complied with the provisions of the Act. In addition, the City s Policy on the Disposition of Real Property requires that prior to selling land, which includes closed road allowances; Council must declare the property surplus to municipal need. This land exchange agreement complies with the City s Acquisition of Real Property Policy for the purchase of property at fair market value. The 20 year land lease, with options to renew, requires Council approval. Notice Provisions: The City s Public Notice Policy requires that notice be published two weeks in advance of the proposed meeting date in which Council considers the closure of a road allowance and the declaration of said property as surplus to municipal need. Passed: September 4, 2018 Whereas Sections 9 and 11 of the Municipal Act, 2001, S.O. 2001, c.25, permit municipalities to pass by-laws in respect of highways when the highway is under the jurisdiction of the municipality; And Whereas Subsection 29 (1) of the Municipal Act, 2001 states that local municipalities on either side of a boundary line between municipalities have joint jurisdiction over any highways forming the boundary line; And Whereas the City of Kingston and the Township of Leeds and the Thousand Islands have joint jurisdiction over the lands described in Schedule A to this By-Law (the Subject Lands ); And Whereas each municipality must pass a separate road closing by-law for the whole of the portion of the boundary road highway being closed; And Whereas the Council of the Corporation of the City of Kingston deems it necessary to pass a by-law to permanently close the Subject Lands; And Whereas the closure of the Subject Lands does not require any of the consents in Subsection 34(2) of the Municipal Act, 2001; Council Meeting 20 September 4, 2018 49

Exhibit C And Whereas public notice of Council s intention to permanently close the Subject Lands was published on August 21, 2018 on the City of Kingston s public notices webpage in accordance with the City of Kingston s Public Notice Policy ; Therefore be it resolved that the Council of the Corporation of the City of Kingston hereby enacts as follows: 1. The portion of the highway described in Schedule A attached hereto, being the Subject Lands, shall be permanently closed. 2.
