GROUND LESSOR ESTOPPEL CERTIFICATE December 4, 2014 Priyanka Garg Chief Operating Officer Interventure Advisors, LP 810 Seventh Ave, Suite 3601 New York, NY 10019 Re: Corporate Center Two Owner LLC, Lease (Parcel II Office Center Lease), International Plaza Dear Ms. Garg: The undersigned, Hillsborough County Aviation Authority, is the ground lessor ( Lessor ), under that certain Office Center Lease between Lessor and Crescent Resources, Inc., dated September 13, 2000, as assigned to Crescent Brookdale Associates, LLC by Ground Lease Assignment dated December 11, 2002, as amended by First Amendment to Parcel II Office Center Lease dated March 20, 2003, and as assigned to Corporate Center Two Owner LLC ( Lessee ) by Ground Lease Assignment dated August 30, 2005 ( Ground Lease ), which Ground Lease demises certain property more particularly described in the Ground Lease. A true and complete copy of the Ground Lease is attached as Exhibit A. Lessor, as lessor under the Ground Lease, does hereby certify that as of the date hereof: 1. The Ground Lease has not been supplemented, amended, modified, or superseded since its original execution except as set forth above. 2. The Ground Lease is in full force and effect. 3. To Lessor s best knowledge, there are no uncured defaults on the part of Lessee under the Ground Lease, and there are no events that have occurred that with the giving of notice or passage of time or both, would constitute a default by Lessee thereunder, and at the present time, to the best of Lessor s knowledge, Lessor has no claims or disputes against Lessee under the Ground Lease. 4. All monetary obligations due under the Ground Lease have been paid through December 4, 2014. 5. Lessor is the record and beneficial owner of the fee interest in the real property.
6. This Ground Lessor Estoppel Certificate (this Certificate ) may be relied upon by Lessee, any party owning a direct or indirect partnership or other interest in Lessee, and any of their successors and assigns acquiring an interest in the Ground Lease. 7. Lessor acknowledges that the identity and address of the Lessee for all purposes under the Ground Lease are set forth on the attached Exhibit B. 8. Nothing in this Certificate modifies or releases any liability or obligation of Lessee under the Ground Lease.
