INTRODUCTION:- Pawan Hans Limited is a Government of India Enterprise having its Corporate Office, C-14, Sector- 1 Noida-201 301 and its Regional Office on Ground Floor, Manoramaloy, VIP Airport Road, Guwahati-781015. The present Tender is for Lease Accommodation for Office Space at Guwahati. 2. DEFINITION:- The following terms shall have the meaning hereby assigned to them except where the context otherwise requires. PAWAN HANS LIMITED (PHL) having its Corporate Office, C-14, Sector- 1 Noida-201 301 and Regional Office on Ground Floor, Manoramaloy, VIP Airport Road, Guwahati-781015 2.1 Tender shall mean and include the present document titled Lease Accommodation for Office Space at Guwahati. 2.2 "CONTRACTOR" shall mean the person(s), firm or Company who enters an agreement with Pawan Hans Limited for execution of works covered under this tender and shall include their executors, administrators, successors, permitted assignees and legal heirs. 3. PARTICULARS OF TENDER:- 3.1 The tender is to seek proposal from owners of properties approved for Commercial/Institutional purposes for unfurnished office space measuring 2500 sqft located within a radius of 5 Kms from LGBI Guwahati Airport. 3.2 The space offered should preferably be an open hall with three rooms of minimum size 12x12 ft approved for Commercial/Institutional use on a single floor. In case space offered is on multiple floors, it should be on continuous floors. One room should have attached toilet and there should be atleast two more toilets. 3.3 A separate electric meter should be installed exclusively for the use of Pawan Hans Limited with Commercial connection. The property offered should have adequate space for installation of Genset/UPS/units of split AC, etc.

3.4 It may be noted that the Office accommodation is required for a Central Public Sector Enterprise under the Ministry of Civil Aviation. All clearances required for offering the property on lease shall be obtained by the tenderer and no claims i.r.o. the same shall be entertained in the future. 3.5 The accommodation should have provision for 24 hours running water and electricity supply (supply through Generator when power supply is not there). 3.6 There should be enough arrangement for public utilities (Toilets, etc) for men and women separately. 3.7 Possession of the accommodation shall be handed over to Pawan Hans Limited within 21 days from the award of the order and rent shall be payable from the date of possession. 3.8 The space offered shall be free from any liability and litigation with respect to its ownership, lease/renting and there should be no pending payments against the same. 3.9 Copies of approved plan of the accommodation offered should be submitted along with the technical bid. 3.10 The Tender will be accepted only from original owner of the property. 3.11 The Contract/Agreement shall be valid for a period of five years. 3.12 The contract can be terminated by either side by giving three months notice by either party. 3.13 The bidder should give rates, inclusive of all taxes, etc. 4. EARNEST MONEY DEPOSIT: The bidder will be required to furnish earnest money of Rs. 10,500/- in the form of Demand Draft in favour of Pawan Hans Limited payable at Guwahati. The EMD of unsuccessful bidders will be refunded within a period of six weeks of finalization of order. No interest would be payable on amount of EMD. EMD should be submitted with Technical Bid. Without the EMD, the tender shall be out rightly rejected. The EMD will be forfeited in case the Bidder asks for modification in his bids or does not accept the Contract after being awarded. 5. PROCEDURE FOR SUBMISSION OF TENDER: 5.1 Both the bids (Technical and Financial) duly signed by the Owner or his authorized signatory should be sealed in two separate envelopes as described below. a) Envelope 1 containing Technical Bid in Annexure-I duly completed in all respects along with all relevant documents and Demand Drafts towards EMD and Tender Fee.

b) Envelope 2 containing the Financial Bid, as prescribed in Annexure-II showing rates, financial terms, etc. 5.2 Both the envelopes should be superscribed in bold letters with the statements TECHNICAL BID FOR LEASED ACCOMMODATION FOR OFFICE SPACE or FINANCIAL BID FOR LEASED ACCOMMODATION FOR OFFICE SPACE, as the case may be. 5.3 Finally, the above-mentioned two envelopes should be sealed in a single cover and addressed to General Manager, Pawan Hans Limited, Ground Floor, Manoramaloy, VIP LGBI Airport Road, Guwahati 781015, superscribed as BID FOR LEASED ACCOMMODATION FOR OFFICE SPACE and must reach on or before the closing time and date indicated. 5.4 The Technical Bid should be accompanied by a copy of this Tender Document with each page duly signed by the authorized signatory of the bidders, who has signed the bid, in token of bidders acceptance of the terms and conditions of the Tender. 6. PROCEDURE FOR OPENING OF TENDER 6.1 While opening the tenders, the envelopes containing Technical Bids and EMD shall be opened first and acceptance of the tender according to the specified clause will be ascertained. The Evaluation Committee will open Financial Bid after evaluation of the Technical Bids. Financial Bids of the technically qualified bidders will only be opened. 6.2 The Committee appointed by the Competent Authority in Pawan Hans Limited may visit the space offered by the bidders to ascertain the suitability of the space. The bidders would be treated to have been qualified for opening of their Financial Bids after evaluation of the Technical Bids submitted and Satisfactory Report from the Committee after visiting the space. 6.3 The date, time and place of opening of Financial Bids would be informed to the bidders whose technical bids are found acceptable, by email or telephone. 6.4 The bidders, if they so desire, can depute their representatives for opening of Bids. Technical Bids will be opened in the presence of representatives of Bidders present, if any. 7. BID EVALUATION 7.1 The bid evaluation shall be a 2 stage process: Technical and Financial. 1 st Stage being Technical evaluation that shall be done on the basis of information asked in Annexure-I. The bidders that are technically qualified (1 st stage) shall be considered for financial evaluation (i.e. 2 nd stage) in accordance of Annexure-II.

7.2 Bidders with the lowest NPV of the financial bid, i.e., L1 bidder shall be declared selected. For arriving at L1 bidder, NPV for 5 years of all the bidders shall be calculated taking into account the monthly rent calculated and yearly rent revision proposed. 8. PAYMENTS 8.1 Payments shall be made by Pawan Hans Limited against pre-receipted bills as per the lease deed to be executed between the Department and the owner or his/her legal representative. 8.2 Payments of rent will be made on monthly basis by account payee cheque/electronic transfer in favour of Owner after deduction of taxes at source (TDS) as applicable from time to time. 9. ARBITRATION In case of any dispute relating to the contract the matter shall be referred to a sole arbitrator for adjudication through arbitration. The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act 1996 or any statutory modification or re- enactment thereof and the rules made there under for the time being in force, shall apply to the arbitration proceedings. The Chairman cum Managing Director, PHL shall nominate the Arbitrator. 10. MISCELLANEOUS 10.1 The offer should be valid upto 180 days after closing date of tender. 10.2 Pawan Hans Limited shall be under no obligation to accept the lowest quotation. 10.3 Non fulfillment of any of the above terms and conditions shall result in rejection of bid. 10.4 All disputes lie within the jurisdiction of Guwahati only. 10.5 Pawan Hans Limited reserves the right to reject all or any tender without assigning any reason thereof.
