1 *** PUBLIC NOTICE *** UNIVERSITY OF ALASKA DIPLOMACY BUILDING DISPOSAL PLAN ANCHORAGE, ALASKA The University of Alaska has received a letter of interest from a bona fide purchaser and has entered into negotiations for the sale of an approximately 56,500 square foot, five-story office building known as the Diplomacy Building. This building will be sold at or above fair market value. This building is on 2.55 acres and located at 4500 Diplomacy Drive, off of Tudor Road and approximately.25 miles southeast of the University of Alaska, Anchorage main campus. It is currently being used as office space for various University of Alaska departments. This sale will be subject to University of Alaska Board of Regents approval. The Diplomacy Building sale will be closed in accordance with the 2013 Negotiated Commercial Property Sale Disposal Terms and Conditions. The Diplomacy Building Disposal Plan, map and terms and conditions are available online at or upon written request at the address below. 5 2013 NEGOTIATED COMMERCIAL PROPERTY SALE DISPOSAL TERMS AND CONDITIONS 1. NEGOTIATED COMMERCIAL PROPERTY SALE DISPOSAL TERMS AND CONDITIONS. The University of Alaska, office ( University ) is offering for sale, on a negotiated basis, an individual land parcel, and all improvements and any appurtenances including a 56,500 square feet, five-story office building located at 4500 Diplomacy Drive, Anchorage, Alaska ( Commercial Property ) to a Purchaser with the financial capability to purchase the Commercial Property on the terms and conditions and within the time frame acceptable to the University. This sale of commercial property ( Property Sale ) is subject to these Terms and Conditions and a Commercial Property Purchase Agreement ( Purchase Agreement ). This Property Sale is described in the Disposal Plan available from the University at 2. PURCHASE AGREEMENT. The University intends to enter into a Purchase Agreement for the sale of this Commercial Property with a Purchaser that has the financial capability to complete the sale within the University s time frame. 3. EVALUATION. The disposal of Commercial Property may have implications for the University beyond the financial terms. Therefore, the University will determine, in its sole discretion, whether the disposal of this Commercial Property and all the terms of the sale are in its best interests. In determining its best interests, the University will consider and evaluate the following: a. Whether the terms of the sale, including the total price, and financial terms of the sale are in the University s best interests. b. Whether the Purchaser has the financial and administrative ability to close this sale within the University s time frame. c. Whether the Purchaser s plan for the use of the Commercial Property is an appropriate use that conforms to all applicable ordinances, regulations and restrictions. 4. RESERVATION OF RIGHTS. The University reserves the right to discontinue the Property Sale if the University determines, in its sole discretion, it is not in the University s best interest to go forward with the sale. The University reserves the right to further negotiate, modify and make other changes to the disposal of this Commercial Property. The University reserves the right to waive any defects as to form or content of this Property Sale. The University reserves the right to waive any informality in the transaction. 5. EXAMINATION OF FINANCIAL BACKGROUND. In the event the University determines that, in its sole opinion, a Purchaser does not possess the financial ability to close on the Property Sale, the University will terminate the Purchase Agreement Negotiated Commercial Property Sale Disposal Terms and Conditions Page 2 of 3
6 6. QUESTIONS OR COMMENTS. Questions or comments must be made in writing, expressly identified as a question or comment concerning this Property Sale, and submitted to the Anchorage address listed below by no later than 5:00 P.M. on Monday, June 3, 2013: University of Alaska 1815 Bragaw Street, Suite 101 Anchorage, Alaska (fax) The interested party shall not rely in any manner upon any verbal information received from the University for any purpose, including interpretation of or compliance with any of the Terms and Conditions. 7. MODIFICATIONS TO THIS PROPERTY SALE. The University reserves the right to modify the Terms and Conditions at its sole discretion at any time without prior notice. The University reserves the right to postpone or cancel this Property Sale, in whole or in part. 8. COMMERCIAL PROPERTY SALE PRICE. The minimum sale price for the Commercial Property will be at or above fair market value to be determined at the sole discretion of the University. 9. BOARD OF REGENTS APPROVAL. According to Board of Regents Policy , the University must give public notice of the disposal and seek public comment. Also the Property Sale is subject to Board of Regents approval under Board of Regents Policy (B)(4).
