Bhd. Marked SBT ORI101 Offers must be submitted to the offices of Astoca (M) Sdn. Bhd not later than 4pm on Wednesday 6 th October, ) Deposit All buyers will provide a 10% ( Ten Per cent) deposit with their offer in the form of a bankers draft/ Managers Cheque made payable to: Astoca (M) Sdn. Bhd. 3) Buyers Premium: All purchases will be subject to a 12.5% (Twelve and a Half Per Cent) Buyer s Premium in addition to the sale price. 4) Notice The successful buyer(s) will be notified within One (1) week of the Tender Deadline and invoiced according to Lots won. Unsuccessful buyers will be notified by post and their returned. 5) Payment The successful buyer(s) must pay the balance of 90% within Five (5) working days from date of invoice. Payment to be made to: Astoca (M) Sdn. Bhd. 6) Clearance Clearance of goods can only start upon cleared payment in full. Assets to be removed strictly by appointment. All assets must be removed by Friday 26 th November, 2010.All clearance will be made in a manner to the satisfaction of Astoca and in accordance with relevant health and safety requirements. Buyers and/or their nominated contractors must hold satisfactory liability insurance. 7) Inspection Viewing of the assets to be strictly by appointment with Astoca (M) Sdn. Bhd. 8) Sale of assets All assets are sold strictly on an as is, where is basis. Information and specification has been obtained from sources deemed reliable. Astoca (M) Sdn. Bhd. and /or It s client makes no warranty or guarantee, expressed or implied, as to the accuracy of information contained herein. All assets are offered for sale strictly on an as is, where is condition at the time of sale. Astoca (M) Sdn. Bhd. And/or It s client are not responsible for any loss or damage to the assets. All buyers are required to satisfy themselves as to the condition of assets. Astoca (M) Sdn. Bhd. is acting on behalf of its client, is not bound to accept the highest or any offer, and reserves the right to negotiate with those submitting tender offers or any other party as to the terms of their offer.

3 CONDITIONS OF SEALED BID TENDER 1. APPLICABLE TERMS These terms and conditions together with any Special Conditions set out in the Tender Notice ( the Special Conditions ) appearing in this catalogue are the terms and conditions subject to which Astoca ( the Agent ) as agent for the owner or owners of goods ( the Vendor ) make available for sale and sell goods to a prospective purchaser ( the Bidder ) and any terms and conditions proffered by the Bidder other than the price bid for goods are hereby excluded. 2. VARIATION AND WITHDRAWAL The Agent may at the discretion or upon the instructions of the Vendor:- (a) alter or withdraw any lot or lots referred to in this catalogue (b) where a reserve has been placed on any lot, withdraw that lot in the event that the highest price bid does not meet the reserve. 3. COMMUNICATION OF SIDE The Agent will use its best endeavors to communicate all bids received to the Vendor but accepts no liability for any failure to do so. Bids will be deemed to be exclusive of all taxes imports and duties of whatsoever nature in connection with the sale and export of the goods bid for. The Bidder will be charged in respect of all such taxes imports and duties. 4. ACCEPTANCE Goods will only be sold to a Bidder whose bid is accepted by the Vendor who reserves the right to refuse to accept the bidding of any bidder (including any bid which may be the highest received in respect of particular goods of any person) without assigning any reason therefore. 5. DISPUTES In the event of any dispute of whatsoever nature arising in respect of a bid the Agent shall have absolute discretion to settle such dispute as it thinks fit. 6. ADVICE OF ACCEPTANCE The Agent will advise all bidders whether or not their bids have been accepted by the Vendor. 7. INVOICING The Agent will confirm in writing to a successful Bidder that its bid has been accepted subject to these terms and conditions and the Special Conditions and will on behalf of the Vendor forward an invoice to the Bidder. Such invoice will be payable in full within 14 days of the date of invoice, or such other period of time as may be stated in any Special Conditions. 8. NOTIFICATION Upon receipt by the Agent of confirmation of the banking of full payment of the invoice the Agent shall notify the Bidder of such receipt. The date of dispatch of such notification is referred to herein as the notification date. The Bidder shall then (but not before) be entitled to collect the goods in accordance with these terms and conditions in respect of which its bid has been accepted ( the goods ). 9. COLLECTION Collection of the goods must be made during normal working hours by prior arrangement with, and subject to the supervision of, the agent or its duly authorized representative(s) within the period stated in the Special Conditions. 10. RISK Risk in the goods shall pass to the Bidder immediately following the date of the invoice or the notification date whichever shall be the earlier and the Bidder is required to obtain insurance cover against all risks in respect of the goods with effect from the time of passing of the risk in the goods. 11. DEPOSIT The Bidder shall be responsible for all costs connected with collection of the goods including (without prejudice to the generality of the foregoing any costs and expenses incurred by reason of damage to the Vendor s premises or to the property of the Vendor or any other person. Should the Agent consider that such damage is likely to occur, it may require, as a pre-condition of allowing the Bidder to collect the goods, the Bidder to deposit such sum with the Agent, by way of security for the cost of repair to such property, as the Agent may reasonably require. 12. TITLE Title to the goods shall not pass to the Bidder until the collection by the Bidder of the goods subsequent to the notification date. 13. DESCRIPTION The Agent has used its best endeavors to ensure that the descriptions of goods appearing within this catalogue are accurate but the Bidder relies upon such descriptions at its own risk and is deemed to have made a full personal inspection of the goods prior to making a bid. 14. EXCLUSIONS AND LIMITATIONS The Agent acts in the sale of goods as agent of the vendor only and accepts no personal liability in respect of such sale. Without prejudice to the generality of the foregoing:- (a) The Agent does not warrant the Vendor s title to the goods and the Vendor agrees to transfer to the Bidder only such title to the goods as it may have; (b) No warranty is given or conditions made by the Agent or Vendor as to whether or not any goods sold in accordance with these terms and conditions comply with the Health and Safely at Work etc. or any other legislation regulation or instrument whether similar or dissimilar governing the handling or use of such goods in any way whatsoever. With effect from the notification date the Bidder is required to ensure the compliance of such goods in all respects with any legislation regulation or instrument applicable to such goods; (c) All descriptions, representations, conditions and warranties in connection with the goods whether express or implied at common law or by statute such as are capable of lawful exclusion are hereby excluded; (d) The Vendor and the Agent shall not be liable in contract tort or under any statutory provision for any loss or damage whatsoever to the Bidder whether direct or indirect (including consequential loss) and howsoever caused arising out of or in connection with the performance, anticipated performance or non-performance of any obligations of the Vendor or Agent to the Bidder; 15. FORCE MAJEURE The Vendor and the Agent shall be under no liability for any failure to perform all or any part of its obligations under these terms and conditions and any Special Conditions if such failure shall be due to Act of God, strikes, lock-outs, labour disturbances, statute, order or any regulation of any Government, public or local or other authority or any other cause or causes beyond the reasonable control of the Vendor and the Agent. 16. SUBSTITUTION OF TERMS It is intended that these terms and conditions and any Special Conditions shall be reasonable as between the Vendor and the Bidder but if at any time any of them or any part of them is either unenforceable or void at law it shall not adversely affect or prejudice the remainder of them or the agreement between the Vendor and the Bidder and it shall be deemed to be excluded here from and (where possible) to be replaced by such other enforceable and valid term or condition as shall be as near as may be to the original in both form and effect. 17. HEADINGS The headings in these terms and conditions are for convenience only and shall not affect the interpretation of any agreement governed by these terms and conditions. 18. GOVERNING LAW These terms and conditions and any Special Conditions and any contract between the Vendor and the Bidder shall be interpreted in accordance with and governed by Malaysian Law.
