CALL TO ORDER Chairperson Galitzer called the meeting to order at 5:30 p.m. II. III. OPEN FORUM a. Open Forum: There were no comments or concerns b. Adjournment Time: Adjournment time was set for no later than 6:30 p.m. CONSENT AGENDA Commissioner Anderson moved to approve the Consent Agenda, approving the minutes of the January 21, 2015 Regular meeting, the Executive Director s Report and the Financial Reports as presented. Commissioner Meyer seconded. Chairperson Galitzer asked if there was any further discussion regarding the Consent Agenda items. The following discussion took place: Executive Director JoAnn Sutton welcomed Livie Olsen to the Board of Commissioners. Livie has been appointed to fill the seat that will be vacated by Eileen Meyer. JoAnn stated that she has received word that our Capital Fund Program (CFP) money should be available soon. For 2015 we were awarded 237,000. JoAnn stated that we also received an award of 74, in Replacement Housing Funds (RHF). We are awaiting word from the Department of Housing and Urban Development (HUD) if we will be allowed to keep those funds; if so, we will request another waiver to use them for Capital Improvements of the Apartment Towers.

6 Board of Commissioners February 18, 2015 Page 2 of 3 JoAnn also stated that there will be some staffing changes effective March 1, The 2015 budget will no longer support the Administrative Assistant position, and we were unsuccessful in hiring a Relocation Coordinator. Therefore, Patrick O Neil will assume the responsibilities of the Relocation Coordinator; he will also assume oversight of the Section 8 and Public Housing Programs with a position title change to Program Coordinator. Kari Moore will move into a newly created position of Program Assistant. This position will assist the Program Coordinator in performing recertifications for Public Housing and Section 8, inspections and other routine functions for both programs, and administration of the Tenant Based Rental Assistance (TBRA) program. JoAnn and Mandy Thomas, Assistant Executive Director, will assume the Board of Commissioners functions. Katherine Montoy, Customer Service Representative, will assume some of the routine tasks previously performed by the Administrative Assistant. We are looking to fill a parttime office assistant for the Gardens at Flint Hills office. Chairperson Galitzer called for a roll call vote to approve the Consent Agenda. Roll call vote carried 40. IV. COMMISSIONERS COMMENTS Eileen thanked JoAnn for allowing her to participate on the Board of Commissioners, and stated that she hopes to be able to return at a later time. V. OLD BUSINESS a. Johnson Controls, Inc. (JCI) Presentation Results of Investment Grade Energy Audit (IGEA) and Recommendations. Josh Wilkens, representing Johnson Controls, Johnson Control, Inc. was present to discuss the findings of the Investment Grade Energy Audit (IGEA). This Energy Performance Contract EPC) is something we have been discussing since November of 2014; the purpose of the IGEA was to find as many energy savings as possible. Johnson Controls, Inc. visited all five (5) of the Housing Authority s public housing properties, including common areas and offices, as well as reviewed utility consumption and costs and revised tenant utility allowances to assist in this process. After a brief slide presentation, Mr. Wilkens offered to answer any questions or concerns. JoAnn Stated that the initial anticipated scope of work and estimates those received upon completion of the IGEA have changed significantly since our first discussions with JCI. Several emergency grant items that were originally anticipated to be completed in conjunction with the EPC have now been added back to the emergency grant, allowing for higher energy savings and an additional amount that could be financed to upgrade the HVAC system at the Apartment Towers as funded by the emergency grant. JoAnn clarified that we were not asking for board approval at this meeting, however she would like board members to review the information provided at this meeting and prepare themselves to take action at a Special Meeting that will be scheduled later in this Agenda.

Section Eight Management Assessment Program (SEMAP) Certification Resolution No A and Annual Review of Fair Market Rents and Payment Standards Resolution No B JoAnn explained that because we are a Qualified Agency, we are required to submit the SEMAP certification every other year. This certification is used by the Department of Housing and Urban Development (HUD) to review the performance of our agency. A score will be generated for the Section 8 Housing Choice Voucher (HCV) program based on information submitted with this certification. The Manhattan Housing Authority is also required to review its Fair Market Rents and Payment Standards for accuracy each year and certify that this review has been completed. Commissioner Anderson moved to approve Resolution No A, adopting the 2014 Section Eight Management Assessment Program (SEMAP) Certification, and authorizing the Executive Director to electronically submit the Section Eight Management Assessment Program (SEMAP) Certification to the Department of Housing and Urban Development; and, approve Resolution No B, adopting the Certification of Annual Review of Fair Market Rents, Payment Standards and Area Exception Rents for Fiscal Year Ended 12/31/2014. Commissioner Schrock seconded. Roll call vote carried 40. b. Schedule Special Board Meeting As discussed under Old Business, the board agreed to hold a Special Meeting on Tuesday, February 24, 2015 at 3:00 p.m. to take action on the Energy Performance Contract (EPC). VII. Executive Session a. Commissioner Anderson moved to recess into Executive Session until 7:05 p.m. for the purpose of discussing matters of attorney client privilege. Commissioner Reddi seconded. Motion carried by roll call vote 4 0. b. The board reconvened into open session at 6:58 p.m. No action was deemed necessary. VIII. Adjournment Time: Adjournment time was set for no later than 3:45 p.m. COMMISSIONERS COMMENTS None OLD BUSINESS a. Resolution No A Approve submission of an application to HUD for participation in the Energy Performance Contract Incentive program, authorize the Executive Director to negotiate terms for an Energy Services Agreement with Johnson Controls, Inc. and negotiate contract terms with a financing company. JoAnn stated that we entered into a Project Development contract with Johnson Controls, Inc. (JCI) last year. In November 2014 JCI began the required Investment Grade Energy Audit (IGEA) by visiting all of our sites to review existing equipment and fixtures, perform energy efficiency tests, and take measurements. From the information gathered, as well as information provided by MHA staff, JCI was able to develop a proposal for an Energy Performance Contract (EPC), which would include water conservation equipment, replacement of HVAC at Baehr Place, lighting retrofits, and replacement of refrigerators and toilets. JoAnn asked Commissioners to refer to more detailed information that

9 Board of Commissioners February 24, 2015 Page 2 of 2 was provided to each commissioner at the February 18, 2015 meeting; these documents reflect the estimated costs of each proposed project item, anticipated savings, and draft financing information. Josh Wilkens, of Johnson Controls, Inc. was in attendance for this meeting to assist in answering any questions that Commissioners may have from the information provided. Commissioner Meyer requested clarification if the Housing Authority could afford monthly payments for debt service, or if the debt service was offset in some way. JoAnn stated that under the EPC program, the debt service is paid through guaranteed energy savings; if there was a shortfall in savings, the Energy Services Company (JCI) would be responsible for the difference between the actual savings and the loan payment. Commissioner Meyer asked if there were any protections in place should JCI become insolvent. Mr. Wilkens stated that JCI is a selfinsured, 6 billion company that has been in business since 1885 and had completed many, many EPC projects; therefore the chances of JCI becoming insolvent were very unlikely. Mr. Wilkens stated that board approval is required in order for JCI to move forward and submit the proposed EPC project to the Department of Housing and Urban Development (HUD) for approval; the packet should be ready for submission in the next 3045 days. Board approval is also required to authorize the Executive Director to negotiate an Energy Services Agreement and financing for the project upon HUD approval. JoAnn clarified that the Energy Services Agreement and financing are subject to final board approval. Commissioner Anderson moved to approve Resolution No A, approving submission of an application to HUD for participation in the Energy Performance Contract Incentive program, authorizing the Executive Director to negotiate terms for an Energy Services Agreement with Johnson Controls, Inc. and negotiate contract terms with a financing company, to be presented to the Board for final approval. 10 MANHATTAN HOUSING AUTHORITY March 2015 JOANN R. SUTTON, PHM, EXECUTIVE DIRECTOR Personnel: The Property Manager position for the Gardens at Flint Hills and Flint Hills Place is vacant as of March 13, We will begin advertising for this position on Wednesday, March 18, Facilities / Capital Fund Program:. Three responses were received to the Request for Qualifications (RFQ) for A/E services for the Apartment Towers project; they are currently being evaluated. Once completed, the top rated firm will be invited to negotiate a contract. Fifteen (15) units were prepped for occupancy in February Central Mechanical Construction Services was contracted for emergency repairs to remove blockage in the main 4 sewer line that serves the F wing at Apartment Towers. The emergency phone in the small elevator at the Apartment Towers was found to be not working due to equipment failure; a new phone is on order. Additionally, the fire alarm was repaired by ATT as we found one of the lines not working due to AT&T technical difficulties. Management Contracts Gardens at Flint Hills and Flint Hills Improvements Midland Exteriors has completed the replacement of trim and installation of flashing at the Gardens at Flint Hills Place with the exception of punch list items. It is anticipated the punch list items will be completed by March 16, The Real Estate Assessment Center (REAC) inspected the Flint Hills Improvements (FHI) development on March 6, We received a score of 99 out of 100 possible points. On January 26, 2015, a fitting on the fire sprinkler system at the Gardens broke, shorting out the fire alarm panel box in the fire equipment room of building 1420 and caused flooding in one apartment at the Gardens. Lamunyon Restoration is in the process of completing repairs to the unit. HUD Regulations/Legislative: Nothing to report. Miscellaneous The Kansas State University Mortar Board Society provided a St. Patrick s Day social event for residents of Apartment Towers and Carlson Plaza on March 12, 2015; residents enjoyed green desserts and games. Dustin Nelson, Facilities Supervisor, will travel to Wichita to attend Davis Bacon Wage Rate training provided by the Department of Housing and Urban Development (HUD) on April 30, The Kansas Chapter NAHRO Annual Conference is scheduled to be held in Manhattan May 1921, 2015 at the Four Points by Sheraton hotel. Commissioners are invited and encouraged to attend Commissioner sessions during this conference, which includes the Commissioners Fundamentals certification course. 1

11 MANHATTAN HOUSING AUTHORITY FINANCIAL SUMMARY MARCH 2015 Financial: MANDY THOMAS, PHM, ASSISTANT EXECUTIVE DIRECTOR Public Housing Program: Total income increased from 75, in January to 82, in February. The majority of this increase can be attributed to other income received through Property Management agreements such as reimbursement of salaries and benefits, insurance proceeds for causality loss and/ or an increase in dwelling rentals received. Total expenses increased from 47, in January to 93, in February. The majority of this increase over the prior reporting month (January) can be attributed to allocation of accounts payable invoices received in 2015 for FYE Overall the Housing Authority had a loss of 10, which can be attributed to income in the amount of 82, and expenditures in the amount 93, Section 8 Housing Choice Voucher (HCV) Program: Total Housing Assistance Payment (HAP) income from the Department of Housing and Urban Development (HUD) was 74, and HAP expenses totaled 76, The Section 8 program shows a loss of 1, in HAP which can be attributed to an increase of HAP payments to landlords. Total Administrative Income was 5, and expenditures were 2, in February. Section 8 Administrative Fees are calculated based on the number of vouchers in use by eligible families on the first of each month using the current fiscal year proration of subsidy (82%). Expenses allocated to Administration include salaries, benefits, office supplies, telephone, etc. The Section 8 program shows a gain of 2, in the administration of the program which can be attributed to staff turnover in the Section 8 Department. Other Financial Information: The Manhattan Housing Authority unaudited Financial Statements will be submitted to the Real Estate Assessment Center (REAC) on or before March 15, A preliminary score will be derived from the financial information submitted, with a final score derived from the audited financial statements that must be submitted by September 30, We have been advised by the Department of Housing and Urban Development (HUD) that the Housing Authority is entitled to the 74,000 Replacement Housing Fund (RHF) award, and that the previously approved waiver allows the use of these funds for planned improvements to the Apartment Towers. On March 6, 2015, the Manhattan Housing Authority received a letter from HUD inviting us to apply for twentyfive (25) additional HUDVASH vouchers. The application was submitted to HUD on March 12, If approved, this will increase our total HUDVASH vouchers to fiftyfive (55). 1

Income Limits are used to determine eligibility for applicant participation in the Public Housing and Section 8 Housing Choice Voucher programs, including the Veterans Affairs Supportive Housing (VASH) and Family Unification Program (FUP). These guidelines are also used in determining eligibility for the Tenant Based Rental Assistance (TBRA) program. The income limits were last revised and approved by the Board of Commissioners on July 24, DISCUSSION On March 6, 2015, the Manhattan Housing Authority received notice that the 2015 Income Limits for the Public Housing and Section 8 programs had been revised, effective March 6, The notice identifies three levels of income limits; one is the Low Income Limits which are used in determining the eligibility of Public Housing and Section HCV program applicants: The Lowincome is defined as 80% of the median family income for the area, subject to adjustments for areas with unusually high or low income or housing costs.

29 Page Two Agenda Memo 2015 Income Limits April 1, 2015 The VeryLow Income Limit is defined as 50% of the median family income for the area, subject to specified adjustments for areas with unusually high or low income, and used in determining eligibility for the Section 8 Housing Choice Voucher (HCV) program and the TBRA program. The Extremely Low Income Limit is defined as the greater of 60% of the Section 8 Very Low Income Limit or the poverty guideline as established by the Department of Health and Human Services (HHS), provided that this amount is not greater than the Section 8 50% very low income limit. Consequently, the extremely low income limit (30%) income limits may equal the very low (50%) income limits. In accordance with the Quality Housing and Work Responsibility Act of 1998 (QHWRA), not less than 40% of new families admitted to the public housing program must have incomes at or below 30% of the area median income. In Section 8 HCV program, not less than 75% of new families admitted to the program must have incomes at or below 30% of the median income. Income limits are designated by county and by Metropolitan Service Area (MSA). In 2009, the Manhattan Housing Authority service area (the City of Manhattan and extending 15 miles outside of city limits including areas of Pottawatomie County) was designated a Metropolitan Service Area which includes the counties of Riley, Pottawatomie and Geary. An MSA is a geographic area with a significant population nucleus, along with any adjacent communities that have a high degree of economic and social integration with that nucleus. Population, work and commuter patterns are some factors that are considered in making this determination.

The 2015 income limits are based on HUD estimates of median family income and other statutory requirements. DISCUSSION On March 9, 2015, the Manhattan Housing Authority received notice that the 2015 Income Limits for Multifamily Tax Subsidy Project (MTSP) properties have been issued, effective March 6, This designation refers to residential rental development under Section 42 of the Internal Revenue Code (IRC). LIHTC properties, such as The Gardens at Flint Hills and Flint Hills Improvements (FHI), LP (commonly known as Flint Hills Place)., are classified as Section 42 developments. The income limits for LIHTC properties are similar to income limits established annually by HUD for other programs.

Sutton, PHM, Executive Director MEETING: April 1, 2015 SUBJECT: Utility Allowance Review / Revision Public Housing, Section 8 Housing Choice Voucher and Low Income Housing Tax Credit (LIHTC) Programs BACKGROUND The Manhattan Housing Authority is responsible for establishing allowances for utilities (natural gas, electricity, water, sewer, etc.) purchased directly by program participants from utility companies. These allowances represent fixed dollar amounts that are deducted from Public Housing and Section 8 program participants monthly Total Tenant Payment. For the Low Income Housing Tax Credit (LIHTC) program, the utility allowances are added to the tenantpaid rent for the purpose of determining compliance with maximum allowable rents. The Housing Authority is required to review utility rates on an annual basis, and determine if an increase or decrease in Utility Allowances is necessary. The last Utility Allowance review and revision was approved on February 19, DISCUSSION The utility allowance review and calculation is generally contracted with The Nelrod Company. This year, the Nelrod Company calculated the utility allowances for only the Section 8 program, the Gardens at Flint Hills and the Flint Hills Improvements development since they are not a part of the Energy Performance Contract plan. Johnson Controls, Inc., as part of their due diligence in preparation for an Energy Performance Contract, calculated the utility allowances for the public housing units owned and managed by the Manhattan Housing Authority (Baehr Place, Hudson Circle, Pottawatomie Court). Residents of the Aparatment Towers and Carlson Plaza do not pay utilities as they are included in the rent.

40 Page Two Board Agenda Memo 2015 Utility Allowance Revisions April 1, 2015 The Manhattan Housing Authority is required to provide Public Housing and Section 8 Housing Choice Voucher (HCV) participants with 60days notice of any changes to the utility allowances that affect the amount of rent the resident pays. The proposed effective date of the 2015 utility allowance revisions is June 1, 2015 in order to allow sufficient time to comply with this requirement and recalculate participant rents. SECTION 8 HCV PROGRAM and LIHTC/LIHTC PUBLIC HOUSING UNITS The utility allowance study conducted by the Nelrod Company utilizes an engineeringbased methodology to determine monthly utility consumptions. The results of the utility study performed by the Nelrod Company showed that: Electric proposed utility allowances have both increases and decreases (i.e. a 2bedroom allowance may have increased whereas a 3 bedroom allowance decreased); changes are due to a new consumption study and a rise in electric rates and taxes, as well as an increase in the customer monthly charge. Natural Gas proposed utility allowances have both increases and decreases (i.e. a 2 bedroom allowance may have increased whereas a 3 bedroom allowance decreased). Average Water proposed utility allowances have remained the same for apartment units, however decreased for detached units. Average Sewer proposed utility allowances have increased due to a new consumption study and a rise in average sewer rates and charges. Trash Collection allowances have remained the same after rounding. The data used in the studies includes specific information about the units for each building type and bedroom size, fuel types, construction materials, window types, and mechanicals and takes into consideration replacement of inefficient equipment since the last review. Also considered are local climatic conditions. In the Section 8 HCV and Public Housing programs, when the Utility Allowance exceeds the TTP and results in a negative rent amount, the Manhattan Housing Authority is required to refund the credit amount to the program participant. Utility Allowances are not designed to cover the entire utility costs for program participants that are not energy conservative and of modest circumstances that provide for the basic essentials needed for a living environment that is safe, sanitary and healthful; they are provided as an allowance from the Total Tenant Payment (TTP) in order to make more household income available to assist in the payment of utility costs. The LIHTC program may use set utility allowances utilizing various methods of determining appropriate methods, or may utilize Section 8 Utility Allowance Schedules. In 2011, the Manhattan Housing Authority adopted the method of utilizing the Section 8 Utility Allowance

Since LIHTC rents are a fixed amount and not computed based upon income, the utility allowances are added to the tenantpaid rent only for determining compliance with maximum allowable rents. This year, at the request of the Manhattan Housing Authority, the Nelrod Company provided an Energy Efficient utility allowance for apartments. These allowances will be used at the Gardens at Flint Hills. The FHI development will utilize the nonenergy efficient schedule of allowances for both the LIHTC and public housing units. The effect on the amount of rent the participant is responsible for paying to their landlord will depend on which utilities they are responsible for paying, their unit type and size. PUBLIC HOUSING (MHA OWNED AND OPERATED) Public Housing residents are not responsible for paying water, sewer or trash. These utilities are included in the tenant rent. This year, as part of the due diligence in anticipation of an Energy Performance Contract (EPC), Johnson Controls, Inc. performed the utility allowance study and calculations for units that will potentially be included in an EPC. The 2015 proposed utility allowances were calculated with accepted engineering based calculations, which utilize design characteristics specific to each individual units construction type and follows the Engineer Based Approach outlined in the 1998 Utility Allowance Guidebook. Although an engineering based approach was utilized to calculate allowances, tenant billing data was also collected to statistically verify engineering calculations. Proposed utility allowances now include an annual cooling load which was not previously included, due to the recent board resolution passed for individual relief under CFR The Individual Relief Policy allows relief from payment of utility supplier billings in excess of the allowances for residentpurchased utilities. Prior to the resolution being passed, if tenants chose to operate their air conditioning, they paid for this out of pocket, as their allowances only included plug load, cooking, refrigeration and lighting. Beginning in 2015, they will have an air conditioning dollar allowances added to their monthly utility allowance in addition to the other electric enduses mentioned above. The addition of the allowance for cooling also allows us to claim more savings, and improves cash flow and funding for longer payback items under an EPC, make the units more affordable/marketable, and relieves the occupants of units where all utilities are paid by the housing authority of paying surcharges for personal air conditioning devices, disability related devices (i.e. electric wheelchairs), tenantowned freezers, etc. The addition of the air conditioning utility allowance increases the utility allowance, which, when deducted from the Total Tenant Payment (TTP), decreases the amount of tenantpaid rent.
