2 REQUIREMENTS FOR BIDDING, AND INSTRUCTIONS TO BIDDERS SURPLUS RAIL COAL CARS SPECIFIC REQUIREMENTS 1. Description: These surplus coal rail cars were delivered new to GRDA in 2009, but are now surplus due to a planned reduction in coal use. These modern aluminum bodied cars are in excellent condition, and in regular service on the BNSF and UP railroads thru Kansas City, Missouri, and Grand Island, Nebraska. These cars have been used by GRDA exclusively to transport low sulfur PRB coal, and are available immediately. These cars have not been subject to radiant heat shed thawing. Receipt and Opening of Bids: The Grand River Dam Authority ( GRDA ), invites sealed bids for Surplus Rail Coal Cars using the attached form. Sealed Bids will be opened at 3:00 p.m. Central Daylight Time, June, 30, Any Bid received after the Bid Opening, will not be considered and will be returned unopened. Bids must be submitted in a sealed envelope and marked Sealed Bid Surplus Rail Coal Cars and addressed to: Monica Fowler, Asst. Supt. 3 All bids that have been correctly submitted and duly received will be publicly opened and read aloud at the GRDA Administration Headquarters, Vinita, Oklahoma, at the time and date shown above. GRDA may, in its sole discretion, waive any informalities or reject any and all Bids. Bids cannot be submitted by telephone, fax machine, telegram or electronic transfer. Any Bid may be withdrawn prior to the above scheduled time for the opening of Bids or authorized postponement thereof. 3. Qualifications of Bidder: GRDA may make such investigations as necessary to determine that any Bidder possesses the appropriate financial resources to fully and completely perform each of the terms of any bid, and all Bidders shall promptly furnish to GRDA all such information and data for this purpose as GRDA may request. GRDA reserves the right to reject any Bid if the evidence submitted by, or investigation of, such Bidder fails to satisfy GRDA that such Bidder is properly qualified to fully and completely perform each of the terms of any bid. 4. Addenda and Interpretations: No interpretation will be made to any bidder orally. To be considered, every request for interpretation must be in writing addressed to Monica Fowler at and received no later than June 23, 2016 at 5:00 P.M. Central Time. All such interpretations and any supplemental instructions will be in the form of written addenda posted to the GRDA website. 5. Condition of Cars, Inspections, Warranty, and Delivery: Numerous example cars are available for inspection in Chouteau, Oklahoma, or alternatively along route of regular unit train route of service, by contacting: Chris Cornett, Rail Service Superintendent Grand River Energy Center (GREC) 8142 Hwy 412B PO Box 609 Chouteau, Oklahoma (918) office (918) cell Inspection at the Chouteau GREC facility requires one-day advance notice, to make security arrangements, and is limited to Monday-Friday 8 am to 4 pm. All cars will be delivered to the successful Bidder in suitable condition for acceptance by Class I railroads NEITHER GRDA NOR ANY REPRESENTATIVE OF GRDA HAS MADE ANY REPRESENTATIONS OR WARRANTIES ABOUT THE CARS WHATSOEVER. BIDDER IS RELYING SOLELY ON BIDDER S OWN INVESTIGATIONS AND

4 EXAMINATIONS OF THE CARS, AND BY PURCHASING ANY CARS, BIDDER ACKNOWLEDGES THAT BIDDER HAD THE OPPORTUNITY TO PERFORM ANY INSPECTIONS OF THE CARS THAT BIDDER DEEMED NECESSARY TO EVALUATE THE NATURE AND CONDITION OF THE CARS. BIDDER HAS THE SOLE RESPONSIBILITY TO DETERMINE THE EXISTENCE OR NONEXISTENCE OF ANY FACT RELATING TO THE FACILITIES THAT IS MATERIAL TO BIDDER S DECISION TO PURCHASE THE CARS. BIDDER ACKNOWLEDGES THAT BIDDER IS PURCHASING THE CARS ON AN AS-IS BASIS, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. As these cars are in unit train service, it is expected that the successful bidder will be provided cars from a train set that is currently assembled. Cherry picking of cars will not be allowed, however, a car that has a clear defect may be excluded by Bidder, subject to the approval of GRDA. Each Unit Train, of up to 135 cars, will include one double coupler car. Delivery will be on GRDA property or at a location mutually agreed. 6. Bid Proposal Requirements: Incomplete proposals may be cause for rejection of a Bid. Bids will become the property of the Grand River Dam Authority. 7. Bid Comparisons: GRDA reserves the right to reject any or all Bids, to waive any and all informalities, to evaluate Bids, and to disregard all nonconforming, nonresponsive, or conditional Bids. 8. Submittal Documents: Any Bid submitted must contain the following documents, in this order, which are contained in the INVITATION TO BID: Signed cover letter, on company letter head, referencing the bid. Alternative Proposals: GRDA will consider alternative proposals, such as a long term lease of a unit train of 115 or more rail cars, for a minimum of five (5) years. Full details of proposed terms for such a lease must be included with the alternative proposal.
