1 MODEL HC-1000 DYNAMIC BALANCING MACHINE The Hines Industries Model HC-1000 balancing machine is a computer based, dynamic (two plane) or static (single plane) manual load, single station, balancing machine configured for balancing crankshafts. The balance mechanism uses a rugged hard suspension HC (cradle) system to support the weight of the workpiece and tooling. The stanchions are mounted on heavy-duty steel rails. The stanchions are movable to accommodate parts of varying length. The base is made of concrete for stability and mass. 1. Machine Base: 1.1 Base (length, width, height) 72" x 30" x 24" 2. Unbalance Measuring Computer: 6.1 PC Balance Computer: A PC with Color Flat Panel display. Additional features provided with the computer include: User-friendly on-screen menu system for operator ease of use. Large characters are displayed on a 12" high resolution Flat Panel display. Multiple display screens allow data to be displayed in a wide variety of formats. Alphanumeric keypad for data input. Unbalance readout can be displayed in digital format, vector-graphic format, or both formats simultaneously. On-screen displays for TOLERANCE, RPM, DATE, and TIME. On-screen context sensitive help messages. 6.2 Standard Software: Calibration: Calibration is done at the factory. The machine is calibrated for a wide range of part weights and dimensions. Only the dimension information needs to be changed to set up for different parts. Calibration may be checked with a suitable master part or test rotor. The customer can re-calibrate the machine if desired Adjustable Tolerance: The operator enters the tolerance for part unbalance in each plane. When the unbalance is below the tolerance, the display will indicate "Good Part" Set-up Parameter Storage: Provides memory for storage and recall of workpiece setup parameters. Up to 100 different workpiece configurations can be stored. 7. Shipping: Hines normally ships equipment on heavy-duty pallets in enclosed trucks. We wrap the equipment with plastic sheet and surround it with composition board for reasonable side impact protection. This packaging is not suitable for flat bed transit or any kind of stacking. Please contact Hines for additional crating or weatherizing requirements. 8. Operator Training: One day at Hines or one day at the customer s plant is included. Travel and living expenses are not included. Additional days are $1, per day plus travel and living expenses.

4 LIMITED WARRANTY warrants that the goods provided hereunder are new (unless otherwise noted) and of merchantable quality. There is no implied warranty as to fitness for purpose. If the goods prove defective in material or workmanship for a period of twelve months (except for extended terms below) from date of shipment,, at its option, will repair or replace such defective apparatus or part. A similar warranty shall apply to any replacement part(s). Buyer shall provide unimpeded access to the defective part(s) during normal business hours. Warranty work outside of Continental United States will be provided at request of Buyer; however, Buyer is responsible for travel expenses of Hines Service Technician which may include airfare, mileage, car rental, lodging, tolls, meals, work permits, duties and/or customs fees, and a 15% processing fee. In no event and under no circumstances shall be liable for: (a) damage during shipment; (b) failure or damage caused by misuse, abuse, improper installation, improper operation, improper or lack of maintenance/cleaning, any machine modification, abnormal conditions of temperature, dirt, and/or corrosive environment, electrical power surges or variances in electrical supply and manufacturing deficiencies in Buyer's work pieces; (c) failure caused by operating above rated capacity; (d) any unauthorized expenses for removal, inspection, transportation, repair or rework; (e) consequential, incidental and special damages including loss of profit claims; and (f) normal wear parts including but not limited to bearings, belts, fuses, bearing blocks, brake pads, etc. This warranty is in lieu of any other warranties and representations, expressed or implied including but not limited to fitness for a particular purpose. The terms of this warranty constitute Buyer's sole and exclusive remedy for defects in material and/or workmanship and apply only to the original Buyer. GOODS RETURNED FOR REPAIR - No goods will be accepted for repair unless there is prior authorization by HINES. In all cases, transportation charges must be prepaid. Items sent collect will not be accepted. Items sent to customer will be sent "Freight Collect". INTERPRETATION - There are no conditions or understandings whatsoever verbal or otherwise, except as written herein; and this statement contains the complete and exclusive agreement between Hines Industries and the buyer. No waiver, alterations, or modifications of any of the provisions hereof shall be binding upon Hines Industries unless made in writing and signed by a duly authorized officer of Hines Industries. 5 TERMS AND CONDITIONS OF SALE 1. ENTIRE AGREEMENT This Sales Order constitutes the entire agreement between the parties. There are no other terms or conditions, express or implied, written or oral. This Sales Order shall take precedence over the provisions in any other prior correspondence or communication of any type. No terms and conditions which are inconsistent with, or in addition to this Sales Order shall be binding on Seller unless they have been specifically reviewed and accepted in writing by the Seller. Failure of the Seller to object to any inconsistent or additional terms or conditions shall not be construed as a waiver of this Sales Order, nor an acceptance of any other terms and conditions. This Sales Order shall be governed under Michigan law. 2. ACCEPTANCE The Seller reserves the right to revoke this Sales Order at any time prior to acceptance. Receipt by the Seller of a copy of this Sales Order duly signed by the Buyer shall constitute an acceptance. Receipt of or payment for all or any part of the goods or services offered (referred to collectively as Goods ) shall also constitute an acceptance, in which case THE BUYER SHALL BE DEEMED TO HAVE ACCEPTED THIS SALES ORDER. Upon acceptance this Sales Order shall constitute a complete and binding agreement containing the terms and conditions set forth. 3. PRICE Unless otherwise indicated, all prices are based upon the Goods being sold at the Seller s plant. All transportation charges shall be the responsibility of and paid by the Buyer. Prices do not include any present or future sales taxes, or any other taxes or duties. Buyer shall reimburse the Seller for any such taxes and duties, which Seller has incurred in addition to the specified prices on the Sales Order. 4. TERMS OF PAYMENT Unless otherwise indicated, terms of payment are net thirty (30) days from the date of invoice. No cash discounts are allowed. Buyer hereby agrees to pay interest on past due invoices at the rate of one and one-half percent (1-1/2%) per month if payment exceeds invoice terms. If delivery is delayed by the Buyer or the Buyer is unable to take delivery of the Goods for any reason, the Seller may invoice the Buyer indicating on the invoice that the goods are ready for delivery, in which case such invoice shall be payable net thirty (30) days from the date. Unless otherwise indicated, INVOICES SHALL BE PREPARED ACCORDING TO THE FOLLOWING SCHEDULES, based on whether the Goods are: (a) customized or engineered in accordance with the customer s specifications, or (b) Standard Goods which require no customizing or engineering: International Goods 45% with the purchase order 55% prior to shipment of Goods US Dollars 5. DELIVERY Delivery dates and schedules are projections of conditions at the time this Sales Order was prepared and are NOT guarantees. THIS ORDER WILL NOT BE PLACED IN THE WORK QUEUE UNLESS ALL NECESSARY TECHNICAL SPECIFICATIONS HAVE BEEN RECEIVED by the Seller from the Buyer. When delivery dates and schedules are specified, time is NOT of the essence. Seller expressly reserves the right to change estimated delivery dates without notice to the Buyer. The seller shall not in any event be liable for losses, damages, injuries, or expenses due to delay in the performance of this transaction. 6. RISK OF LOSS Shipment shall be made at the sole risk of Buyer. Upon delivery F.O.B. point of shipment of all or any part of the goods, the risk of loss or damage shall pass to the Buyer. The seller shall not be liable for any loss, damage, or deterioration of any or all part of the Goods upon shipment. At its own expense, the buyer shall procure and maintain adequate insurance on the Goods for the benefit of the Buyer and the Seller protecting against all loss that may occur during shipment. 7. FORCE MAJEURE In addition to any other limitations or liability provided in law or by this Sales Order, the Seller shall not be liable for losses, damages, injuries or expenses due to the delay in this transaction, including the design, manufacture, sale, delivery and use of any or all part of the Goods if such delay results from any cause beyond the Seller s control, including but not limited to: acts of God, acts or omissions of the Buyer, fires, floods, weather, strikes, factory shutdowns, wars, riots, or accidents. Delay resulting from such causes shall extend the delivery date as the Seller may reasonably require to perform its obligations under this Sales Order. Receipt of or payment for all or any part of the Goods by the Buyer shall constitute a waiver of any liability or claims for delay resulting from any cause whatsoever, whether beyond the control of Seller or based upon warranty, contract, negligence, patent infringement, or otherwise, including consequential, incidental or liquidated damages. 8. TITLE Title, ownership and right of possession of the Goods shall remain with the Seller, whether in or out of place and regardless of the mode of attachment to realty, or to other property until the full price has been paid in cash. Until the price is paid in full, the Buyer hereby grants to the Seller a security interest in the Goods described. Hines Industries reserves the right to file a UCC on the Goods. The Limited Warranty is null and void if all payments have not been received. This Sales Order is not subject to cancellation or termination except upon written consent by the Seller and then only upon terms that indemnify the Seller against all loss arising from the transaction. 10/28/02
