10 SCHEDULE B OPTION TO PURCHASE REAL PROPERTY This Option to Purchase Real Property ( Option ) is made, executed and delivered this 9th day of May, 2017 ( Effective Date ), by and between KIAMICHI TECHNOLOGY CENTER SCHOOL DISTRICT NO. 7, A/K/A KIAMICHI TECHNOLOGY CENTER, a political subdivision of the State of Oklahoma ( Seller ), and THE CITY OF MCALESTER, OKLAHOMA, a municipality ( Purchaser ). RECITALS Seller is the owner of the three parcels of real property described on EXHIBIT A hereto ( Tract 1, Tract 2, and Tract 3, collectively referred to as the Property ), and Purchaser desires to obtain an exclusive option to acquire from Seller and Seller intends to grant to Purchaser an option to acquire one or more of the parcels that make up the Property; and Purchaser and Seller desire to enter into this Option granting to Purchaser the exclusive right to acquire one or more of the Tracts that make up the Property under and pursuant to the terms and conditions of a Purchase and Sale Agreement in the form set forth on EXHIBIT B hereto ( Purchase Agreement ). NOW, THEREFORE, in consideration of the mutual covenants and agreements herein set forth the parties agree as follows: 1. GRANT OF OPTION. In consideration of the receipt by Seller of Three Thousand Dollars ($3,000) from Purchaser, the Seller hereby grants, bargains, sells and conveys to Purchaser the exclusive option and right to acquire the Property pursuant to the following terms and conditions: A. The Purchaser may exercise an option to acquire Tract 1 for the purchase price of Three Hundred Five Thousand Dollars ($305,000) pursuant to the terms and conditions specified in the Purchase Agreement. B. The Purchaser may exercise an option to acquire Tract 2 for the purchase price of One Hundred Eighty Thousand Dollars ($180,000) pursuant to the terms and conditions specified in the Purchase Agreement if the Purchaser has already exercised its option to purchase Tract 1 or exercises its option to purchase Tract 1 contemporaneously with its exercise of its option to purchase Tract 2. C. The Purchaser may exercise an option to acquire Tract 3 for the purchase price of One Hundred Seventy Eight Thousand Dollars ($178,000) pursuant to the terms and conditions specified in the Purchase Agreement if the Purchaser either (1) has already exercised its option to purchase both Tract 1 and Tract 2; (2) has already exercised its option to purchase Tract 1 and exercises its option to purchase Tract 2 contemporaneously with its
11 option to purchase Tract 3; or, (3) exercises its option to buy both Tract 1 and Tract 2 contemporaneously with its exercise of its option to purchase Tract OPTION TERM. If an Election Notice (defined below) electing to exercise the Purchaser s option as to any of the three tracts that make up the Property has not been delivered to Seller on or before one (1) year from the Effective Date (the Option Term ), this Option shall expire as to those tracts unless extended prior thereto in writing executed by Seller and Purchaser. 3. EXERCISE OF OPTION. This Option may be exercised at any time prior to the expiration hereof by Purchaser s delivery of written notice ( Election Notice ) of such intent to the Seller at the addresses set forth on the signature page hereto; whereupon, Seller and Purchaser promptly shall execute a Purchase Agreement for the relevant Tract(s). If the Purchaser exercises its option to purchase Tract 1 or both Tract 1 and Tract 2, the Purchaser reserves the right to exercise its Option as to any remaining Tracts not yet purchased by delivery of additional Election Notices during the Option Term. 4. MEMORANDUM OF OPTION. Upon Purchaser s request, Seller shall execute and deliver a Memorandum of Option in form and content as set forth on EXHIBIT C hereto ("Memorandum"). Purchaser may record the Memorandum in the office of the County Clerk, Pittsburg County, Oklahoma. Purchaser shall file a Release of Memorandum of Option within ten (10) days after expiration or termination of the Option to purchase any one or more of the three Tracts. 5. NO FURTHER ENCUMBRANCE OR CONSTRUCTION. So long as this Agreement is in force, Seller shall not sell, convey or otherwise dispose of the Property or any interest therein, nor shall Seller enter into any contract, lease or other possessing Agreement with respect to the Property, the term of which shall extend beyond Closing. 6. MISCELLANEOUS. A. This Option may not be assigned by Purchaser to any other person or entity without the written consent of the Seller. B. This permitted Option shall be binding upon and inure to the benefit of the parties hereto, their successors and assigns
