These agreements stipulate that those clients shall comply with all applicable laws, regulations and directions pertaining to subcontracting with small business concerns owned and controlled by socially and economically disadvantaged individuals. In order to maintain our files and to provide reports required by HUD and/or other governmental agencies, please complete this section of the Appraiser Application Form. I hereby authorize SettlementOne to make any investigation of my background deemed necessary and to release copies of my application package (resume or license) to their clients upon request. 3
4 LIABILITY/WORKERS COMPENSATION INSURANCE INFORMATION An Appraiser is not an employee or an agent of SettlementOne for any purpose. An Appraiser is an independent contractor and is not eligible to participate in or receive any benefit from any company benefit plan, program or other arrangement that may, from time-to-time, be available to employees of SettlementOne including but not limited to any health, disability or life insurance, vacation, holiday or sick leave pay or profit sharing/pension plans. SettlementOne will NOT provide workers compensation for any Appraiser. FOR STATES OF OHIO, NORTH DAKOTA, WASHINGTON, WEST VIRGINIA and WYOMING, an Appraiser has the affirmative obligation under this Agreement to furnish proof to SettlementOne, that at all times, it has an active policy of Workers Compensation Insurance in the state/s in which the Appraiser does business. For all States, any Appraisal Firms which have employees, the Appraisal Firm has the affirmative obligation under this Agreement to furnish proof to SettlementOne, that at all times, it has an active policy of Workers Compensation Insurance in the state/s in which the Appraisal Firm does business. An Appraiser or Appraisal Firm is solely responsible for payment of applicable taxes and withholdings, respecting all payments made under this Agreement, and for all claims, da mages and/or lawsuits arising out of the acts of an Appraiser and/or an Appraisal Firms employees, subcontractors and agents. Contracts for appraisal assignments are given on a job-to-job basis. SettlementOne has the sole discretion as to whom appraisal assignments will be offered. SettlementOne does not guarantee employment as an independent contractor or offer a guaranteed amount of compensation. By signing this Agreement, an Appraiser or Apprai sal Firm agrees to maintain adequate Errors & Omissions insurance, automobile insurance and a policy for Workers Compensation Insurance (when applicable) for the Appraiser, Appraiser s employees, Appraiser s subcontractors and Appraiser s agents. The Appraiser or Appraisal Firm further agrees to furnish SettlementOne with a copy of the Errors & Omissions insurance certificate and Workers Compensation insurance certificate in all states in which they do business. I, as the Appraiser or designated representative of an Appraisal Firm, acknowledge that this is a condition which is precedent to doing business with SettlementOne. Appraiser Signature Date Signed 4
5 APPRAISER SERVICE AGREEMENT As consideration for the right to contract with SettlementOne, Inc, a California corporation known as SettlementOne, as a provider of appraisa l services to SettlementOne s clients, the undersigned Vendor hereby warrants, represents and agrees as follows: SERVICE REQUIREMENTS Vendor hereby agrees that it will meet the follo wing minimum service level requirements: 1. Immediately upon receipt of assignment: a. Determine if you are accepting the assignment and can complete by the due date specified b. Contact SettlementOne immediately if the assignment is being declined as the order must be reassigned NOTE: Consistent declining of orders may warrant removal from the National Appraisal Panel as these delays impact customer service levels 2. Within 24 hours of receipt of assignment, the appraiser must: a. Contact the borrower or primary contact b. Set the inspection date c. Update SettlementOne by as to inspection date or provide details regarding any delay in service 3. Within 48 hours from date of inspection, the appraiser must: a. Submit the completed appraisal report to SettlementOne TURN-AROUND TIME REQUIREMENTS Vendor hereby agrees that it will meet the following criteria set for delivery of services: business days for Interior Products business days for Exterior Products hours for Quality Issue corrections CRITERIA FOR ASSIGNMENT OF ORDERS SettlementOne will make assignments based on quality, proximity to subject, turn-around time, performance, expertise, timely status updates and capacity available for open orders. NOTE: Failure to comply with USPAP, FNMA and/or SettlementOne service level standards may result in removal from our National Appraisal Panel. SettlementOne reserves the right to unilaterally change the terms of the National Appraisal program at any time without prior notice. 5
6 Non-Solicitation and Non-Disclosure Vendor agrees that during the term of this Agreement and for a period of two (2) years immediately following the termination of the Agreement by either party for any reason, whether with or without good cause or for any or no cause, Vendor will not, either directly or indirectly, interfere with Company s contracts and/or business relationships, or prospective contracts and relationships, including, but not limited to: (i) Company s customer or client contracts and relationships; (ii) Company s relationship with its current and prospective employees; and (iii) Company s relationships with its business partners, vendors, and other entities and people with whom it regularly does business. Vendor further agrees that it shall not, at any time during the term of this Agreement, engage in direct competition with SettlementOne as a provider of appraisal management services. Such services shall not include Vendor's direct fulfillment of appraisal service requests on their customers' behalf. In the event that the Vendor is found to be in violation of the Non-Solicitation and Non- Disclosure terms of this Agreement, the Vendor shall be liable to SettlementOne for a penalty in the amount of five thousand dollars ($5,000) for each occurrence of such violations. SettlementOne also reserves the right to seek recovery of any and all losses and damages associated with, or stemming from, the Vendor s violation of such Non-Solicitation and Non-Disclosure terms of this Agreement.
