3 RESOLUTION NO RESOLUTION APPROVING THE SUBMISSION OF A CHOICE NEIGHBORHOODS APPLICATION TO THE U.S. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT FOR THE SOUTH CITY CHOICE NEIGHBORHOODS INITIATIVE (CNI) PROJECT (FORMERLY HERITAGE TRAIL/FOOTE HOMES CNI PROJECT) INCLUDING THE SUBMISSION OF ALL PARTNERSHIP AGREEMENTS AND REQUIRED CERTIFICATIONS AND ASSURANCES IN CONNECTION WITH THE APPLICATION BY FEBRUARY 9, WHEREAS, the Memphis Housing Authority is committed to improving the quality and availability of housing for low and moderate income households in the City of Memphis; and WHEREAS, in an effort to address the aforementioned objective, the Memphis Housing Authority (MHA) in partnership with the selected development partners (McCormack Baron Salazar) will re-engage the City of Memphis, Shelby County Government, public housing residents, key development and social service partners, and other vested community organizations to develop a Choice Neighborhoods Implementation Grant Application to redevelop the South City Development Project (targeting Foote Homes Housing Development and the surrounding neighborhoods); and WHEREAS, the MHA has competitively procured an experienced developer McCormack Baron Salazar who has secured the services of an experienced development team to assist the MHA in the redevelopment of Foote Homes public housing site and the surrounding area in future planned development phases to include any additional properties acquired for development; and as the developer will assist the MHA in leveraging and exploring other financial resources (to include CIP, CDBG, HOME, LIHTC, Tax Exempt Bonds, MHA capital funds, and other funding sources); and WHEREAS, through a community planning process, the redevelopment team has refined the Neighborhood Transformation Plan, as well as develop new People, Housing and Neighborhood strategies to transform the Foote Homes site and the surrounding Vance Avenue community; and in accordance with the FY 2014 Notice of Funding Availability (NOFA), the MHA will apply to HUD for CNI Implementation Grant funds; and WHEREAS, in accordance with HUD regulations and policies, the Authority must also submit as attachments to the application, all required partnership agreements; grant application certifications and assurances to implement redevelopment activities which shall be included in the final CNI Implementation Application packet to be submitted to HUD; and WHEREAS, in addition to the above action, the MHA must also certify to HUD, that it will comply with applicable HUD requirements and CNI Implementation Application certifications and Assurances to include:

4 a) Applicable requirements under the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 (URA) and other applicable HUD policies relative to relocation of residents from Foote Homes Development; b) Resident and Community Involvement Certification; c) A One-for-One Replacement Certification d) Resident and Community Involvement Certification e) Housing Choice Voucher Application f) Partnership Legal Contract(s) g) RAD Application h) MHA Capital Match of 5% g) Other required Choice Neighborhoods Application Certifications NOW, THEREFORE, BE IT RESOLVED, that the Memphis Housing Authority Board of Commissioners hereby approves the submission of the CNI Implementation Application for the South City Redevelopment Project (targeting Foote Homes/Vance Avenue Community); and further authorizes the Authority to execute and submit all necessary and appropriate Partnership Agreements; in addition to all Certifications and Assurances and Attachments as identified above to HUD for development of FY2014 Choice Neighborhoods Initiative Implementation Grant Application.

5 REPORT ON RESOLUTION NO Purpose of the Resolution: The purpose of the resolution is to receive MHA Board approval for submission of the 2014 Choice Neighborhoods Initiative Implementation Grant Application, all Certifications, Assurances and attachments for the South City Redevelopment area targeting Foote Homes and the surrounding Vance Avenue community. Justification for Resolution: Grant maximum is $30,000,000 to be submitted to HUD by February 9, MHA Board approval must also include execution of required partnership agreements, and certifications of compliance with HUD policies and applicable federal requirements. Fiscal Impact on the Authority: Award of $30 million CNI Implementation Grant plus leveraged funds will have a positive economic impact on the Vance Avenue community. As a requirement to submit the CN Grant, MHA must provide a 5% grant match ($1,500,000 from Housing Authority funds). Prior Reviews by HUD: Grant Application will be competitively evaluated by HUD Review Committee. Recommendation: MHA recommends approval of the resolution. 6 RESOLUTION NO RESOLUTION AUTHORIZING THE MEMPHIS HOUSING AUTHORITY TO NEGOTIATE A REAL ESTATE SALES CONTRACT WITH ALSAC (AMERICAN LEBANESE SYRIAN ASSOCIATED CHARITIES, INC.) FOR THE SALE OF APPROXIMATELY ACRES OF LAND SUBJECT TO HUD APPROVAL FOR THE DEVELOPMENT OF ADDITIONAL SINGLE-FAMILY HOUSING TO BE OCCUPIED BY ST. JUDE PATIENT FAMILIES, FACULTY, RESEARCHERS, DOCTORS AND/OR STAFF) AND FOR THE CONSTRUCTION OF A FACILITY TO ACCOMMODATE A DAY CARE CENTER AND SUPPORT SERVICES FOR SAID GROUPS WHEREAS, the MHA has committed to the development of the Uptown Commercial Center (also referred to as the Auction Street Commercial Center); and as this non-hope VI sponsored component was anticipated in the original Hurt Village Revitalization Plan; and WHEREAS, all residential phases of the Uptown HOPE VI Project were completed in 2007 which resulted in the development of 886 new and rehabilitated housing units; and in 2010, the development of the first commercial activity opening of a SunTrust Bank Branch serving the Uptown community; and WHEREAS, St. Jude desires to purchase additional land adjacent to the hospital to develop patient housing, day care and other support space in support of its mission; and as the St. Jude has expressed an interest in purchase the subject land for its expansion needs to include development of additional single family housing to accommodate larger families of St. Jude patients while receiving care at the hospital, or occupancy by researchers, doctors, fellows; etc.; construction of a day care facility and support services in support of its mission; and WHEREAS, to facilitate this action, the MHA has submitted an amendment to the approved disposition application to the HUD Special Applications Center for the sale of said land to ALSAC at appraised value; and WHEREAS, in its current condition, the subject parcels located in the Uptown Commercial Center West Block bound by Mill Avenue (north), Auction Avenue (south), Seventh Street (west) and Danny Thomas Boulevard (east) are vacant and incidental to the needs of the Uptown HOPE VI project; and as the proposed development activity is consistent with the Uptown Revitalization Plan and beneficial to the support and sustainability of the residential components of this overall redevelopment initiative; and WHEREAS, the execution of a contract with St. Jude/ALSAC is contingent upon disposition approval from HUD and the successful negotiation of a Real Estate Sales and Purchase Agreement with St. Jude, as well as approval of the hospital s Board which will meet to approve the matter in late February 2015; NOW, THEREFORE, BE IT RESOLVED, that the Board of Commissioners hereby authorizes the Memphis Housing Authority to enter into negotiations with St. Jude for the sale and purchase of surplus land based on appraised value (for a maximum value at $600,000) and as said transaction is contingent upon disposition approval by the HUD Special Application Center and acceptance of the Agreement by the ALSAC Board for approximately acres of land located in the Uptown Commercial Center West Block and execution of all related documents to transfer said property.

7 REPORT ON RESOLUTION NO.4381 Purpose of the Resolution: To obtain approval to negotiate a Real Estate Sales and Purchase Agreement following HUD approval of the amended disposition application submitted in October The sale is us based on fair mark value (up to $600,000) as per the October 2014 appraisal. Justification for Resolution: This action is necessary to negotiate a sales agreement with St. Jude for sale of the MHA land to St. Jude. The land will be developed by St. Jude/ALSAC for the Hospital s expansion plans to include development of additional patient family housing, day care and support space. Funding Source and Cost Justification: No MHA funds will be used for this project. MHA will seek HUD approval to use proceeds (Program Income) from the sale for eligible development activities. Fiscal Impact on the Authority: MHA will receive proceeds from the sale of public housing land. Prior Reviews by HUD: MHA must obtain HUD approval to sale and use proceeds from sale of identified parcels.
